Management Comments
“We delivered our fourth consecutive quarter of double-digit year-over-year revenue growth, with revenue above the midpoint of our guidance,” said Dr. Mark Gitin, Chief Executive Officer of IPG Photonics. “Our performance reflects the strength of our technology, disciplined execution, and continued progress in expanding our presence in attractive, higher-growth markets. Strong demand for our differentiated welding and additive manufacturing solutions drove growth in Industrial Solutions while disciplined execution of our key strategic initiatives across defense and semiconductor markets led to strong growth in Advanced Solutions. Additionally, I anticipate that our acquisition of Lumibird Medical, which is expected to close in the fourth quarter, will further strengthen our reach, accelerate growth across medical markets, and increase revenue in Advanced Solutions.”

Financial Highlights

 Three Months Ended September 30, Nine Months Ended September 30,  2026  2025 Change  2026  2025 ChangeSales by Application           Industrial Solutions$239,548 $214,697 12% $704,181 $607,593 16%Advanced Solutions 47,952  36,095 33%  127,396  121,713 5%Total$287,500 $250,792 15% $831,577 $729,306 14%
Third quarter revenue of $288 million increased 15% year over year, driven by 12% growth in Industrial Solutions and 33% growth in Advanced Solutions. Changes in foreign exchange rates increased revenue by approximately 1%. Industrial Solutions sales, accounting for 83% of total revenue, were driven by strong performance in welding and additive manufacturing applications. Advanced Solutions sales improved, driven by higher sales in semiconductor and defense applications. Emerging growth products accounted for 52% of total revenue, down from 58% in the prior quarter due to product mix. By region, sales increased 14% in Asia and 33% in North America and decreased 1% in Europe on a year-over-year basis.

GAAP gross margin of 40.7% and adjusted gross margin of 41.0% increased year over year, driven by lower product costs and $5.0 million in net tariff refunds recorded in the period, partially offset by lower fixed cost absorption. Net income was $20 million, or $0.47 per diluted share, and adjusted EBITDA was $52 million and adjusted earnings per diluted share (EPS) was $0.61 in the third quarter. During the third quarter, IPG generated $46 million in cash flow from operations and spent $17 million on capital expenditures.

Business Outlook and Financial Guidance

“Our third quarter book-to-bill was approximately one as we continued to see improved industrial demand and executed on our strategic growth initiatives, driving adoption for our differentiated laser and photonics solutions that deliver measurable value to customers. As we move forward, we remain focused on driving profitable growth through innovation, technology differentiation, and operational excellence across our portfolio,” concluded Dr. Gitin.

For the fourth quarter of 2026, IPG expects revenue of $265 million to $295 million, adjusted gross margin between 37.0% and 40.0% and adjusted operating expenses of $91 million to $94 million. IPG anticipates delivering adjusted earnings per diluted share in the range of $0.30 to $0.60 and adjusted EBITDA in the range of $33 million to $50 million. The guidance assumes no contribution from the acquisition of Lumibird Medical.

As discussed in more detail in the "Safe Harbor" passage of this news release, actual results may differ from this guidance due to various factors including, but not limited to, trade policy changes and trade restrictions, product demand, order cancellations and delays, competition, tariffs and retaliatory tariffs, currency fluctuations and general economic conditions. The current uncertainty related to the trade environment and tariff policies increases the risks to the outlook that we have provided. This guidance is based upon current market conditions and expectations and is subject to the risks outlined in the Company's reports filed with the SEC and assumes exchange rates relative to the U.S. dollar of euro 0.88, Japanese yen 157 and Chinese yuan 6.74, respectively.

Such non-GAAP financial measures should not be considered superior to, as a substitute for or alternative to, and should be considered in conjunction with, the GAAP financial measure presented by the Company. The following information provides the definition of adjusted gross profit, adjusted gross margin, adjusted operating expense and resultant adjusted operating income, EBITDA, adjusted EBITDA, adjusted net income, adjusted net earnings per share (EPS), and adjusted tax rate as presented, which are financial measures that are not calculated or presented in accordance with GAAP, and reconciliation to the most directly comparable financial measures calculated and presented in accordance with GAAP. The Company has provided adjusted gross profit, adjusted gross margin, adjusted operating expense and resultant adjusted operating income, EBITDA, adjusted EBITDA, adjusted net income, adjusted EPS, and an adjusted tax rate as supplemental information and in addition to the financial measures presented by the Company that are calculated and presented in accordance with GAAP.

We define adjusted gross profit as reported gross profit, adjusted for non-recurring, infrequent, or unusual charges, including acquisition and integration charges and amortization of acquisition-related intangibles.

We define adjusted gross margin as adjusted gross profit divided by total revenue.

We define adjusted operating expense and resultant adjusted operating income as reported operating expenses and resultant operating income, adjusted for non-recurring, infrequent, or unusual charges, including impairment charges, settlement and fees of litigation matters, restructuring charges, acquisition and integration charges, amortization of acquisition-related intangibles, foreign exchange gains/losses and gain/loss on disposal of assets/divestiture.

We define EBITDA as net income plus interest expense (income), provision for income taxes, depreciation expense, and amortization expense.

We define adjusted EBITDA as EBITDA adjusted for non-recurring, infrequent, or unusual charges, and other adjustments that the Company believes appropriate, including stock-based compensation, restructuring charges, impairment charges, settlement and fees of litigation matters, acquisition and integration charges, foreign exchange gains/losses and gain/loss on disposal of assets/divestiture.

We define adjusted net income as reported net income, adjusted for non-recurring, infrequent, or unusual charges, and other adjustments that the Company believes appropriate, including impairment charges, settlement and fees of litigation matters, restructuring charges, amortization of acquisition-related intangibles, acquisition and integration charges, foreign exchange gains/losses and gain/loss on disposal of assets/divestiture, certain discrete tax items and non-GAAP income tax reconciling adjustments.

We define adjusted EPS as adjusted net income divided by the weighted-average diluted shares outstanding.

We define adjusted tax rate as the GAAP tax rate, adjusted for discrete tax items and the net impact of non-GAAP adjustments.

Management believes that these non-GAAP financial measures provide additional means of evaluating period-over-period operating performance. Specifically, these non-GAAP financial measures provide management with additional means to understand and evaluate the operating results and trends in our ongoing business by eliminating certain non-cash expenses and other items that management believes might otherwise make comparisons of our ongoing business with prior periods more difficult, obscure trends in ongoing operations, or reduce management’s ability to make useful forecasts.

In addition, management understands that some investors and financial analysts find this information helpful in analyzing our financial and operational performance and comparing this performance to our peers and competitors. However, these non-GAAP financial measures have limitations as an analytical tool and are not intended to be an alternative to financial measures prepared in accordance with GAAP. In addition, it should be noted that these non-GAAP financial measures may be different from non-GAAP measures used by other companies. Management may, however, utilize other measures to illustrate performance in the future. Investors are encouraged to review the reconciliation of these non-GAAP measures to their most directly comparable GAAP financial measures. A reconciliation of our non-GAAP financial measures to their most directly comparable GAAP measures has been provided below. These non-GAAP measures exclude (i) amortization of acquisition-related intangibles, (ii) restructuring charges, (iii) acquisition and integration costs, (iv) impairment charges, (v) foreign exchange gains/losses, (vi) interest income, (vii) benefit (provision) from income taxes, (viii) depreciation, (ix) amortization, (x) stock-based compensation, (xi) gain/loss on disposal of assets/divestiture, (xii) settlement and fees of litigation matters, (xiii) certain discrete tax items, and (xiv) non-GAAP income tax reconciling adjustments.

We have not provided a quantitative reconciliation of forward-looking Non-GAAP adjusted earnings per diluted share and adjusted EBITDA to their most directly comparable GAAP financial measures because we are unable to estimate with reasonable certainty the ultimate timing or amount of certain significant items without unreasonable efforts. This is due to the inherent difficulty of forecasting the timing and/or amount of various items that would impact adjusted earnings per diluted share and adjusted EBITDA. This includes items that have not yet occurred, are out of the Company’s control, cannot be reasonably predicted and/or for which there would not be any meaningful adjustment or difference. For the same reasons, the Company is unable to address the probable significance of the unavailable information.

Our non-GAAP tax provision for the fiscal third quarter of 2026 is 23%. The difference between our GAAP income tax provision and our non-GAAP income tax provision is presented as non-GAAP income tax reconciling adjustments.

Eaton Sales Up 28%; GAAP EPS Rises Just 7%: Rapid Earnings Reaction
ETN Eaton Corporation
FMP Stock News
Original source text
Eaton (ETN +7.06%) reported third-quarter sales of $8.9 billion, up 28%, and shares rose about 1.8% in Tuesday trading. Organic sales grew 19%, orders and backlog hit records, and management raised its organic growth guidance. But GAAP earnings per share rose only 7%, to $2.77. Acquisition debt and amortization absorbed most of the extra operating profit.

Key Numbers

Organic sales growth: 19%.
Segment margin: 25.3%, up 30 basis points.
Adjusted EPS: $3.68, versus $3.07.
GAAP EPS: $2.77, versus $2.59.

What It Means
Debt is the main drag. Net interest expense nearly tripled, to $198 million, as borrowings roughly doubled alongside the Boyd Thermal and Ultra PCS purchases.

Amortization is the second drag. Acquired intangible assets are expensed over time, and that charge more than doubled. Adjusted EPS excludes both charges, so it grew far faster than GAAP. Full-year GAAP EPS guidance is roughly flat with 2025, while adjusted guidance implies double-digit growth.

Orders are the real signal. Twelve-month rolling orders hit record dollars in all three segments, and Electrical backlog grew 46%.

What to Watch Next
Watch whether fourth-quarter organic growth lands in the guided 13% to 15% range, down from 19% this quarter. Also track net interest expense, which sets how much operating profit reaches GAAP earnings.

Investors Heavily Search AutoZone, Inc. (AZO): Here is What You Need to Know
AZO AutoZone
FMP Stock News
Original source text
AutoZone (AZO - Free Report) has been one of the most searched-for stocks on Zacks.com lately. So, you might want to look at some of the facts that could shape the stock's performance in the near term.

Shares of this auto parts retailer have returned +15.9% over the past month versus the Zacks S&P 500 composite's -2.3% change. The Zacks Automotive - Retail and Wholesale - Parts industry, to which AutoZone belongs, has gained 8.9% over this period. Now the key question is: Where could the stock be headed in the near term?

Although media reports or rumors about a significant change in a company's business prospects usually cause its stock to trend and lead to an immediate price change, there are always certain fundamental factors that ultimately drive the buy-and-hold decision.

Revisions to Earnings EstimatesRather than focusing on anything else, we at Zacks prioritize evaluating the change in a company's earnings projection. This is because we believe the fair value for its stock is determined by the present value of its future stream of earnings.

Our analysis is essentially based on how sell-side analysts covering the stock are revising their earnings estimates to take the latest business trends into account. When earnings estimates for a company go up, the fair value for its stock goes up as well. And when a stock's fair value is higher than its current market price, investors tend to buy the stock, resulting in its price moving upward. Because of this, empirical studies indicate a strong correlation between trends in earnings estimate revisions and short-term stock price movements.

For the current quarter, AutoZone is expected to post earnings of $36.06 per share, indicating a change of +16.2% from the year-ago quarter. The Zacks Consensus Estimate has changed -2.2% over the last 30 days.

The consensus earnings estimate of $170.3 for the current fiscal year indicates a year-over-year change of +11.6%. This estimate has changed -1.1% over the last 30 days.

For the next fiscal year, the consensus earnings estimate of $193.51 indicates a change of +13.6% from what AutoZone is expected to report a year ago. Over the past month, the estimate has changed -0.9%.

With an impressive externally audited track record, our proprietary stock rating tool -- the Zacks Rank -- is a more conclusive indicator of a stock's near-term price performance, as it effectively harnesses the power of earnings estimate revisions. The size of the recent change in the consensus estimate, along with three other factors related to earnings estimates, has resulted in a Zacks Rank #3 (Hold) for AutoZone.

The chart below shows the evolution of the company's forward 12-month consensus EPS estimate:

12 Month EPS

Projected Revenue GrowthWhile earnings growth is arguably the most superior indicator of a company's financial health, nothing happens as such if a business isn't able to grow its revenues. After all, it's nearly impossible for a company to increase its earnings for an extended period without increasing its revenues. So, it's important to know a company's potential revenue growth.

In the case of AutoZone, the consensus sales estimate of $4.95 billion for the current quarter points to a year-over-year change of +7%. The $21.86 billion and $23.43 billion estimates for the current and next fiscal years indicate changes of +7.5% and +7.1%, respectively.

Last Reported Results and Surprise HistoryAutoZone reported revenues of $6.59 billion in the last reported quarter, representing a year-over-year change of +5.6%. EPS of $56.05 for the same period compares with $48.71 a year ago.

Compared to the Zacks Consensus Estimate of $6.69 billion, the reported revenues represent a surprise of -1.38%. The EPS surprise was +2.77%.

Over the last four quarters, AutoZone surpassed consensus EPS estimates three times. The company topped consensus revenue estimates times over this period.

ValuationNo investment decision can be efficient without considering a stock's valuation. Whether a stock's current price rightly reflects the intrinsic value of the underlying business and the company's growth prospects is an essential determinant of its future price performance.

Comparing the current value of a company's valuation multiples, such as its price-to-earnings (P/E), price-to-sales (P/S), and price-to-cash flow (P/CF), to its own historical values helps ascertain whether its stock is fairly valued, overvalued, or undervalued, whereas comparing the company relative to its peers on these parameters gives a good sense of how reasonable its stock price is.

The Zacks Value Style Score (part of the Zacks Style Scores system), which pays close attention to both traditional and unconventional valuation metrics to grade stocks from A to F (an A is better than a B; a B is better than a C; and so on), is pretty helpful in identifying whether a stock is overvalued, rightly valued, or temporarily undervalued.

AutoZone is graded C on this front, indicating that it is trading at par with its peers. Click here to see the values of some of the valuation metrics that have driven this grade.

ConclusionThe facts discussed here and much other information on Zacks.com might help determine whether or not it's worthwhile paying attention to the market buzz about AutoZone. However, its Zacks Rank #3 does suggest that it may perform in line with the broader market in the near term.

Investors can track such revisions by themselves or rely on a tried-and-tested rating tool like the Zacks Rank, which has an impressive track record of harnessing the power of earnings estimate revisions.

Ahead of this earnings release, the estimate revisions trend for PJT Partners was unfavorable. While the magnitude and direction of estimate revisions could change following the company's just-released earnings report, the current status translates into a Zacks Rank #4 (Sell) for the stock. So, the shares are expected to underperform the market in the near future. You can see the complete list of today's Zacks #1 Rank (Strong Buy) stocks here.

It will be interesting to see how estimates for the coming quarters and the current fiscal year change in the days ahead. The current consensus EPS estimate is $2.70 on $608 million in revenues for the coming quarter and $7.65 on $1.92 billion in revenues for the current fiscal year.

Investors should be mindful of the fact that the outlook for the industry can have a material impact on the performance of the stock as well. In terms of the Zacks Industry Rank, Financial - Miscellaneous Services is currently in the bottom 36% of the 250 plus Zacks industries. Our research shows that the top 50% of the Zacks-ranked industries outperform the bottom 50% by a factor of more than 2 to 1.

Another stock from the same industry, IREN Limited (IREN - Free Report) , has yet to report results for the quarter ended September 2026. The results are expected to be released on November 5.

This company is expected to post quarterly loss of $0.49 per share in its upcoming report, which represents a year-over-year change of -44.1%. The consensus EPS estimate for the quarter has been revised 15.3% lower over the last 30 days to the current level.

IREN Limited's revenues are expected to be $219.95 million, down 8.5% from the year-ago quarter.

New York, New York--(Newsfile Corp. - November 3, 2026) - Faruqi & Faruqi, LLP, a leading national securities law firm, is investigating potential claims against O-I Glass, Inc. ("O-I Glass" or the "Company") (NYSE: OI) and reminds investors of the December 28, 2026 deadline to seek the role of lead plaintiff in a federal securities class action that has been filed against the Company.

Faruqi & Faruqi is a leading national securities law firm with offices in New York, Pennsylvania, California and Georgia. The firm has recovered hundreds of millions of dollars for investors since its founding in 1995. See www.faruqilaw.com.

As detailed below, the complaint alleges that the Company and its executives violated federal securities laws by making false and/or misleading statements and/or failing to disclose the true state of O-I Glass' Fit to Win program, including the delay in achieving its targeted cost savings, higher than expected expenses, operational disruptions that materially offset Fit to Win benefits, and continued competitive and energy-cost pressures affecting its European operations. Such statements absent these material facts caused Plaintiff and other shareholders to purchase O-I Glass' securities at artificially inflated prices.

On July 28, 2026, O-I Glass announced its second quarter 2026 financial results, substantially reducing its 2026 adjusted EBITDA and free cash flow guidance and realigning its 2027 Investor Day financial targets. On this news, O-I Glass's stock price fell $1.36, or approximately 15%, to close at $7.70 per share on July 29, 2026.

The court-appointed lead plaintiff is the investor with the largest financial interest in the relief sought by the class who is adequate and typical of class members who directs and oversees the litigation on behalf of the putative class. Any member of the putative class may move the Court to serve as lead plaintiff through counsel of their choice, or may choose to do nothing and remain an absent class member. Your ability to share in any recovery is not affected by the decision to serve as a lead plaintiff or not.

Faruqi & Faruqi, LLP also encourages anyone with information regarding O-I Glass's conduct to contact the firm, including whistleblowers, former employees, shareholders and others.

To learn more about the O-I Glass class action, go to www.faruqilaw.com/OI or call Faruqi & Faruqi partner Josh Wilson directly at 877-247-4292 or 212-983-9330 (Ext. 1310).

Frequently Asked Questions (FAQ) for Investors Regarding the O-I Glass Securities Class Action Lawsuit:

What is the O-I Glass securities fraud lawsuit about?

The lawsuit alleges that O-I Glass, Inc. and certain of its officers made materially false and misleading statements to investors during the Class Period concerning the company's "Fit to Win" restructuring program. Specifically, the complaint alleges that defendants concealed or misrepresented material adverse facts regarding delays in achieving targeted cost savings, higher-than-expected expenses, and operational disruptions that allegedly offset the program's benefits. The complaint further alleges that defendants failed to disclose continued competitive and energy-cost pressures affecting O-I Glass's European operations. As a result of these allegedly false and misleading statements, investors are alleged to have purchased O-I Glass securities at artificially inflated prices, suffering losses when the truth was ultimately disclosed.

Who may be eligible to participate in the lawsuit?

Investors who purchased or otherwise acquired O-I Glass, Inc. (NYSE: OI) securities on the open market between March 14, 2025 and July 28, 2026, inclusive, may be eligible to participate in this lawsuit. Eligibility to participate as a class member is not limited to those who apply to serve as lead plaintiff; any investor who purchased during the Class Period may potentially share in any recovery obtained. Eligible investors are encouraged to review their trading records for the relevant period to assess whether they may have suffered losses. Those with questions about their eligibility are encouraged to contact counsel for further information.

What is a lead plaintiff, and how can I seek appointment?

A lead plaintiff is a court-appointed representative who acts on behalf of all class members in directing the litigation, including making key decisions regarding litigation strategy and settlement. Any member of the proposed class who suffered losses from purchases of O-I Glass securities during the Class Period may move the court for appointment as lead plaintiff. The deadline to file a motion for appointment as lead plaintiff is December 28, 2026. Importantly, investors do not need to seek appointment as lead plaintiff to participate in the class action or to share in any recovery that may be obtained on behalf of the class.

Faruqi & Faruqi, LLP has represented investors in securities litigation for decades and has recovered hundreds of millions of dollars for shareholders. OI Shareholder Alert: Investors With Losses May Seek to Lead the Class Action in O-I Glass, Inc. Securities Lawsuit - Contact SueWallSt
OI O-I Glass
FMP Stock News
Original source text
NEW YORK, Nov. 03, 2026 (GLOBE NEWSWIRE) -- SueWallSt notifies investors that O-I Glass, Inc. (NYSE: OI) President and Chief Executive Officer Gordon J. Hardie and Chief Financial Officer John A. Haudrich are named as individual defendants in a securities class action on behalf of purchasers of OI common stock between March 14, 2025 and July 28, 2026. Find out if you may be eligible to recover losses. You may also contact Joseph E. Levi, Esq. at [email protected] or (888) SueWallSt.

Shareholders lost approximately 15% of their investment after O-I Glass reduced its 2026 guidance and realigned its 2027 targets on July 28, 2026. The case seeks to hold both officers accountable through CEO and CFO securities liability claims under Section 20(a), the federal control person provision. The window to apply for lead plaintiff closes on December 28, 2026.

The Named Individual Defendants

Mr. Hardie served at all relevant times as President, Chief Executive Officer and a Director. Mr. Haudrich served as Senior Vice President and Chief Financial Officer. The securities action alleges that the two executives led the earnings calls and investor conferences where O-I Glass reaffirmed its 2027 Investor Day targets and presented Fit to Win as ahead of plan.

As claimed, each officer knew that adverse facts about delayed savings, higher-than-expected expenses, and continued energy-cost and competitive pressures in Europe had not been disclosed to the public.

Alleged CEO and CFO Control Person Liability Under Section 20(a)

The complaint charges that each Individual Defendant:

Held the power and authority to control the contents of O-I Glass's SEC reports, press releases, and analyst presentationsReceived copies of the allegedly misleading reports and releases before, or shortly after, they were issuedHad the ability and opportunity to prevent their issuance or cause them to be correctedPossessed access to material non-public information about Fit to Win execution and European operationsBears responsibility for "group-published" statements reflecting the collective actions of senior management Sarbanes-Oxley Certification Obligations

Under Sections 302 and 906 of the Sarbanes-Oxley Act, a public company's chief executive and chief financial officers must personally certify its periodic SEC reports. For OI shareholders, the practical point is that the officers behind those filings, and not just the Company, are named to answer the claims.

"Corporate officers have a duty to ensure their companies' public statements are accurate and complete. The lawsuit alleges that O-I Glass's top executives kept reaffirming multi-year targets while undisclosed cost-savings delays were building, and shareholders deserve to know whether that duty was met." -- Joseph E. Levi, Esq.

SueWallSt Reminds Shareholders of a Lead Plaintiff Deadline of December 7, 2026 in Duolingo, Inc. Lawsuit - DUOL
DUOL Duolingo
FMP Stock News
Original source text
NEW YORK, Nov. 03, 2026 (GLOBE NEWSWIRE) -- SueWallSt examines the adequacy of SEC disclosures made by Duolingo, Inc. (NASDAQ: DUOL) and notifies investors that a securities class action is pending on behalf of shareholders who purchased Duolingo Class A common stock between May 2, 2025 and February 26, 2026. Find out if you might qualify for recovery or contact Joseph E. Levi, Esq. at [email protected] or (888) SueWallSt.

Duolingo shares lost a combined $97.65 per share across three disclosure days and closed at $101.00 on February 27, 2026. The complaint asserts that investors suffered billions of dollars in losses. LEAD PLAINTIFF DEADLINE: December 7, 2026.

THE CASE: The Exchange Act action is pending in the U.S. District Court for the Western District of Pennsylvania. It challenges whether Duolingo's shareholder letters, Forms 10-Q and earnings calls disclosed that ad-heavy monetization, the Energy feature and mass-produced AI content were eroding daily active user ("DAU") growth.

Duolingo SEC Disclosure Adequacy: The Language Investors Received

SEC filings stated, in Duolingo's second-quarter 2025 shareholder letter, that DAU growth reflected the Company's "ability to continuously improve our app." The letter also credited Energy with lifting DAUs, learning time and subscriber conversion, adding: "We have rarely seen a feature move more than one of these metrics, let alone all three."

On the August 6, 2025 earnings call, management said it did not believe the AI backlash was "very material in terms of when you're looking at actual financial metrics." Management also explained that the Company "typically only guide[s] to DAU whenever there's going to be a big change."

Disclosure Gaps Alleged

The complaint challenges those statements as materially incomplete. It alleges they omitted that:

Energy drained a free user's balance with each correct answer, a design plaintiffs say was aimed at forcing paid conversionsThe Company's thousands of A/B tests showed added friction was depressing DAU growth ratesUnskippable ads after each lesson pushed some users to abandon years-long streaksRapidly generated AI content brought translation errors, pronunciation errors and repetitive lessons, even in the premium Max tierThe DAU slowdown extended beyond the AI-memo backlash and was expected to persist alongside the monetization push Why Generic Warnings May Not Protect

Plaintiffs contend that cautionary language cannot shield statements about risks allegedly already visible in the Company's own test data. Management again declined to guide DAUs in November 2025, yet preliminary figures in January 2026 put DAU growth at 30% and the February 26, 2026 results guided 2026 growth to just 20%. According to the complaint, management then acknowledged deliberately introducing "friction" into the free user experience.

"Generic risk factor language cannot substitute for disclosing specific, known problems that are already affecting a company's operations. The complaint alleges Duolingo’s internal testing showed monetization friction was slowing user growth, despite management downplaying its impact. Shareholders deserve to know whether those disclosures matched what management allegedly knew." -- Joseph E. Levi, Esq.

Q: Who are the defendants named in the DUOL lawsuit? A: The complaint names Duolingo, Inc. and individual defendants including senior executives who signed SEC filings, made public statements, or certified financial disclosures under Sarbanes-Oxley.

Q: How long will the lawsuit take to resolve? A: Securities class actions typically take two to four years from initial filing to resolution. Timing depends on the court schedule, case developments, and whether the matter is dismissed, settled, or litigated further.

These 2 Computer and Technology Stocks Could Beat Earnings: Why They Should Be on Your Radar
LSCC Lattice Semiconductor
FMP Stock News

Wall Street watches a company's quarterly report closely to understand as much as possible about its recent performance and what to expect going forward. Of course, one figure often stands out among the rest: earnings.

Life and the stock market are both about expectations, and rising above what is expected is often rewarded, while falling short can come with negative consequences. Investors might want to try to capture stronger returns by finding positive earnings surprises.

The ability to identify stocks that are likely to top quarterly earnings expectations can be profitable, but it's no simple task. Here at Zacks, our Earnings ESP filter helps make things easier.

The Zacks Earnings ESP, ExplainedThe Zacks Expected Surprise Prediction, or ESP, works by locking in on the most up-to-date analyst earnings revisions because they can be more accurate than estimates from weeks or even months before the actual release date. The thinking is pretty straightforward: analysts who provide earnings estimates closer to the report are likely to have more information.

With this in mind, the Expected Surprise Prediction compares the Most Accurate Estimate (being the most recent) against the overall Zacks Consensus Estimate. The percentage difference provides the ESP figure. The system also utilizes our core Zacks Rank to provide a stronger system for identifying stocks that might beat their next quarterly earnings estimate and possibly see the stock price climb.

Bringing together a positive earnings ESP alongside a Zacks Rank #3 (Hold) or better has helped stocks report a positive earnings surprise 70% of the time. Furthermore, by using these parameters, investors have seen 28.3% annual returns on average, according to our 10 year backtest.

Stocks with a ranking of #3 (Hold), or 60% of all stocks covered by the Zacks Rank, are expected to perform in-line with the broader market. Stocks with rankings of #2 (Buy) and #1 (Strong Buy), or the top 15% and top 5% of stocks, respectively, should outperform the market; Strong Buy stocks should outperform more than any other rank.

Should You Consider Datadog? The last thing we will do today, now that we have a grasp on the ESP and how powerful of a tool it can be, is to quickly look at a qualifying stock. Datadog (DDOG - Free Report) holds a #3 (Hold) at the moment and its Most Accurate Estimate comes in at $0.65 a share one day away from its upcoming earnings release on November 4, 2026.

By taking the percentage difference between the $0.65 Most Accurate Estimate and the $0.64 Zacks Consensus Estimate, Datadog has an Earnings ESP of +0.35%. Investors should also know that DDOG is one of a large group of stocks with positive ESPs. Make sure to utilize our Earnings ESP Filter to uncover the best stocks to buy or sell before they've reported.

DDOG is part of a big group of Computer and Technology stocks that boast a positive ESP, and investors may want to take a look at Lattice Semiconductor (LSCC - Free Report) as well.

Lattice Semiconductor is a Zacks Rank #1 (Strong Buy) stock, and is getting ready to report earnings on February 9, 2027. LSCC's Most Accurate Estimate sits at $0.66 a share 98 days from its next earnings release.

For Lattice Semiconductor, the percentage difference between its Most Accurate Estimate and its Zacks Consensus Estimate of $0.64 is +3.32%.

Because both stocks hold a positive Earnings ESP, DDOG and LSCC could potentially post earnings beats in their next reports.

Find Stocks to Buy or Sell Before They're ReportedUse the Zacks Earnings ESP Filter to turn up stocks with the highest probability of positively, or negatively, surprising to buy or sell before they're reported for profitable earnings season trading. Check it out here >>

Implied Volatility Surging for Howmet Aerospace Stock Options
HWM Howmet Aerospace
FMP Stock News
Original source text
Investors in Howmet Aerospace Inc. (HWM - Free Report) need to pay close attention to the stock based on moves in the options market lately. That is because the Jan 15, 2027 $80 Call had some of the highest implied volatility of all equity options today.

What is Implied Volatility?Implied volatility shows how much movement the market is expecting in the future. Options with high levels of implied volatility suggest that investors in the underlying stocks are expecting a big move in one direction or the other. It could also mean there is an event coming up soon that may cause a big rally or a huge sell-off. However, implied volatility is only one piece of the puzzle when putting together an options trading strategy.

What do the Analysts Think?Clearly, options traders are pricing in a big move for Howmet Aerospace shares, but what is the fundamental picture for the company? Currently, Howmet Aerospace is a Zacks Rank #2 (Buy) in the Aerospace – Defense industry that ranks in the Top 42% of our Zacks Industry Rank. Over the last 30 days, three analysts have increased their earnings estimates for the current quarter, while none have revised their estimates downward. The net effect has taken our Zacks Consensus Estimate for the current quarter from $1.42 per share to $1.46 in that period.

Given the way analysts feel about Howmet Aerospace right now, this huge implied volatility could mean there’s a trade developing. Oftentimes, options traders look for options with high levels of implied volatility to sell premium. This is a strategy many seasoned traders use because it captures decay. At expiration, the hope for these traders is that the underlying stock does not move as much as originally expected.

Pilgrim's Pride Corporation (PPC) Is a Trending Stock: Facts to Know Before Betting on It
PPC Pilgrims Pride
FMP Stock News
Original source text
Pilgrim's Pride (PPC - Free Report) is one of the stocks most watched by Zacks.com visitors lately. So, it might be a good idea to review some of the factors that might affect the near-term performance of the stock.

Shares of this poultry producer have returned +2.3% over the past month versus the Zacks S&P 500 composite's -2.3% change. The Zacks Food - Meat Products industry, to which Pilgrim's Pride belongs, has gained 6% over this period. Now the key question is: Where could the stock be headed in the near term?

Although media reports or rumors about a significant change in a company's business prospects usually cause its stock to trend and lead to an immediate price change, there are always certain fundamental factors that ultimately drive the buy-and-hold decision.

Earnings Estimate RevisionsRather than focusing on anything else, we at Zacks prioritize evaluating the change in a company's earnings projection. This is because we believe the fair value for its stock is determined by the present value of its future stream of earnings.

We essentially look at how sell-side analysts covering the stock are revising their earnings estimates to reflect the impact of the latest business trends. And if earnings estimates go up for a company, the fair value for its stock goes up. A higher fair value than the current market price drives investors' interest in buying the stock, leading to its price moving higher. This is why empirical research shows a strong correlation between trends in earnings estimate revisions and near-term stock price movements.

For the current quarter, Pilgrim's Pride is expected to post earnings of $0.52 per share, indicating a change of -23.5% from the year-ago quarter. The Zacks Consensus Estimate has changed -5.5% over the last 30 days.

The consensus earnings estimate of $2.13 for the current fiscal year indicates a year-over-year change of -58.8%. This estimate has changed +8.7% over the last 30 days.

For the next fiscal year, the consensus earnings estimate of $2.46 indicates a change of +15.5% from what Pilgrim's Pride is expected to report a year ago. Over the past month, the estimate has changed +1.7%.

Having a strong externally audited track record, our proprietary stock rating tool, the Zacks Rank, offers a more conclusive picture of a stock's price direction in the near term, since it effectively harnesses the power of earnings estimate revisions. Due to the size of the recent change in the consensus estimate, along with three other factors related to earnings estimates, Pilgrim's Pride is rated Zacks Rank #4 (Sell).

The chart below shows the evolution of the company's forward 12-month consensus EPS estimate:

12 Month EPS

Revenue Growth ForecastEven though a company's earnings growth is arguably the best indicator of its financial health, nothing much happens if it cannot raise its revenues. It's almost impossible for a company to grow its earnings without growing its revenue for long periods. Therefore, knowing a company's potential revenue growth is crucial.

For Pilgrim's Pride, the consensus sales estimate for the current quarter of $4.7 billion indicates a year-over-year change of +4%. For the current and next fiscal years, $18.5 billion and $18.9 billion estimates indicate +0% and +2.2% changes, respectively.

Last Reported Results and Surprise HistoryPilgrim's Pride reported revenues of $4.65 billion in the last reported quarter, representing a year-over-year change of -2.2%. EPS of $0.49 for the same period compares with $1.52 a year ago.

Compared to the Zacks Consensus Estimate of $4.6 billion, the reported revenues represent a surprise of +1.16%. The EPS surprise was +2.08%.

Over the last four quarters, the company surpassed EPS estimates just once. The company topped consensus revenue estimates two times over this period.

ValuationNo investment decision can be efficient without considering a stock's valuation. Whether a stock's current price rightly reflects the intrinsic value of the underlying business and the company's growth prospects is an essential determinant of its future price performance.

While comparing the current values of a company's valuation multiples, such as price-to-earnings (P/E), price-to-sales (P/S), and price-to-cash flow (P/CF), with its own historical values helps determine whether its stock is fairly valued, overvalued, or undervalued, comparing the company relative to its peers on these parameters gives a good sense of the reasonability of the stock's price.

As part of the Zacks Style Scores system, the Zacks Value Style Score (which evaluates both traditional and unconventional valuation metrics) organizes stocks into five groups ranging from A to F (A is better than B; B is better than C; and so on), making it helpful in identifying whether a stock is overvalued, rightly valued, or temporarily undervalued.

Pilgrim's Pride is graded A on this front, indicating that it is trading at a discount to its peers. Click here to see the values of some of the valuation metrics that have driven this grade.

ConclusionThe facts discussed here and much other information on Zacks.com might help determine whether or not it's worthwhile paying attention to the market buzz about Pilgrim's Pride. However, its Zacks Rank #4 does suggest that it may underperform the broader market in the near term.

Silver: Price decline seen as excessive - Commerzbank
SILVER Stříbro
FMP Forex News
Original source text
Commerzbank’s Carsten Fritsch notes Silver has dropped to USD 48.6 per troy ounce, a 12‑month low, and is underperforming Gold as the gold/silver ratio reaches 80. He sees no Silver-specific trigger, citing tech-stock and base-metal weakness, but argues the decline is exaggerated given strong import demand from India and China pointing to robust industrial and investment usage.

Strong demand contrasts with Silver's price slump"The silver price has dropped to USD 48.6 per troy ounce today, its lowest level in almost a year. Silver is also significantly underperforming gold, as reflected in the rise in the gold/silver ratio to 80."

"The last time silver was this cheap relative to gold was at the end of November 2025. There is no silver-specific trigger for the price weakness. "

"The ongoing correction in technology stocks is apparently fueling concerns about silver demand from this sector. In addition, base metal prices are also under pressure, which is weighing on silver as around half of silver demand comes from industrial applications."

"We consider the current weakness in silver prices to be exaggerated. India has approved the import of large quantities of silver in the coming months. "

"According to customs data, China imported almost 50% more silver in the first nine months of the year than in the same period last year, the highest volume for this time of the year in eight years and already more than in the whole of last year."

"This points to stronger silver demand in China, be it for photovoltaics, other industrial applications or investment purposes."

Doximity, Inc. Class Action Reminder - Robbin LLP Encouraged DOCS Investors to Contact the Firm for Information About Their Rights
DOCS Doximity
FMP Stock News
Original source text
, /PRNewswire/ -- Shareholder rights law firm Robbins LLP reminds investors that a class action was filed on behalf of persons and entities who purchased or otherwise acquired Doximity, Inc. (NYSE: DOCS) common stock between August 8, 2024 and May 13, 2026, inclusive (the "Class Period"). Doximity is a digital platform for medical professionals that combines health care news, workflow products, and clinician networking.

The complaint alleges that Doximity failed to disclose to investors that it was losing market share to its competitors with more favorable pricing and engagement models.

Investors who suffered significant losses during the Class Period may be eligible to participate in the lawsuit and should contact Robbins LLP for information before the November 16, 2026, lead plaintiff deadline.

Listen to our podcast.

Why Was Doximity Sued?

The complaint alleges that during the Class Period defendants claimed the Company's Newsfeed was its "biggest revenue driver." Specifically, defendants claimed that the Company's growth was "led by our Newsfeed, which is both our most used and most monetized product" and told investors that the Newsfeed was consistently "reach[ing] new highs," with "an all-time record of quarterly active prescribers and double-digit growth in the number of articles read or tapped." In addition, Doximity touted its "deep engagement," assuring investors that Doximity does not "bombard physicians with ads and messages in hopes of getting lucky" and assured investors that "[Doximity does not] have an e-newsletter product." In truth, Doximity overstated the impact that its Newsfeed had on its revenue growth, and the Company was losing market share to its competitors with more favorable pricing and engagement models. Additionally, notwithstanding its frequent statements to the contrary, Doximity relied heavily on both banner ads and email newsletters as advertising methods.

Why Did Doximity Stock Drop?

Plaintiff alleges that on November 6, 2025, despite reporting strong second quarter results, Doximity expressed a degree of caution regarding the outlook for ad spending and implied a slowdown in sales growth in the second half of the 2026 fiscal year, which ended on March 31, 2026. As a result of these disclosures, the price of Doximity common stock declined by $8.29 per share, or 13%.

Then, on February 5, 2026, Doximity lowered its revenue guidance for 2026 full fiscal year, which ended on March 31, 2026, and announced that its sales growth had decelerated while its net income had contracted, which will negatively impact its 2026 fiscal fourth quarter. Following these poor financial results, analysts noted that "uncertainty is lingering. This is not widespread, meaning not all pharma[ceutical] clients are holding back" on their advertising spend. Analysts also began to posit that the reason for Doximity's slowing growth was that the Company was actually losing market share to its competitors. Specifically, an analyst at Evercore noted that older companies, such as Doximity, "are losing share while programmatic, social, and other new formats are gaining share." As a result of these disclosures, the price of Doximity common stock declined by $5.59 per share, or 17%.

Then, on May 13, 2026, Doximity announced that it missed its already-reduced revenue guidance and projected a significantly slower pace of growth for its 2027 fiscal year, which ends on March 31, 2027. As a result, several analysts downgraded Doximity stock citing issues specific to the Company's business. For example, Freeman Capital Markets described the news as "a tough pill to swallow" as shares fell to "an all-time low" and Jefferies placed the stock in the "penalty box." Leerink Partners also put Doximity "in the penalty box" following the "eye-catching" guidance paired with the "shock value" of "[a]ll of the dynamics that lead to the guidance, including market softness, timing of commitments and the spend to ramp its AI products." RBC Capital Markets noted that Doximity's stalled net revenue retention suggested an "increasingly competitive market." As a result of these disclosures, the price of Doximity common stock declined by $5.38 per share, or 23%.

LOS ANGELES, Nov. 03, 2026 (GLOBE NEWSWIRE) -- The Portnoy Law Firm notifies investors in Doximity, Inc. The class action lawsuit contends that throughout the Class Period, Doximity and its executives made deceptive assertions and concealed critical operational vulnerabilities. Specifically, the suit asserts that the company exaggerated the degree to which its Newsfeed product would drive top-line revenue growth. Furthermore, the filings allege that Doximity was ceding market share to competing platforms offering superior pricing structures and higher user engagement models, while relying heavily on traditional banner advertisements and email newsletters rather than cultivating deeper interaction tactics.

The complaint details a series of financial disclosures that triggered severe stock price declines. On November 6, 2025, Doximity published its second-quarter financial results, voicing caution regarding prospective advertising expenditure and signaling decelerating sales expansion for the back half of fiscal year 2026, which caused the stock price to drop 13%. Subsequently, on February 5, 2026, the company trimmed its full-year 2026 revenue forecast for the period ending March 31, 2026, while disclosing slowing top-line growth and shrinking net income expected to weigh on fiscal fourth-quarter results, sending the stock down another 17%. Finally, on May 13, 2026, Doximity revealed that it had failed to achieve its previously lowered revenue guidance and projected a substantially weaker growth trajectory for fiscal year 2027, prompting an additional 23% plunge in the company's common stock.

Lead Plaintiff Deadline: Investors who suffered losses on Doximity, Inc. stock during the Class Period have until December 16, 2026 to seek appointment as lead plaintiff.

Frequently Asked Questions About the Doximity Lawsuit

Q: What is the Doximity lead plaintiff deadline?
A: The deadline to apply for lead plaintiff appointment is December 16, 2026. This deadline applies strictly to investors seeking to serve as lead plaintiff representing the class. Class members who do not apply may still participate in any eventual financial recovery as absent class members without taking any action at this time.

Q: How much did Doximity stock drop and on what dates?
A: Following a series of cautious guidance updates, reduced forecasts, and missed expectations, Doximity's common stock experienced multiple sharp single-day percentage declines: on November 6, 2025, after the Company expressed caution regarding ad spending and implied a sales growth slowdown, the stock fell $8.29 per share, or 13%; on February 5, 2026, after lowering its full fiscal year 2026 revenue guidance and announcing decelerating sales growth and contracted net income, the stock dropped $5.59 per share, or 17%; and on May 13, 2026, after missing its reduced guidance and projecting a significantly slower growth pace for fiscal year 2027, the stock fell an additional $5.38 per share, or 23% (closing at $18.01 on May 14, 2026).

Q: What specific misstatements does the Doximity lawsuit allege?
A: The lawsuit claims that Doximity and its executives misled investors by overstating the growth, monetization, and impact of its core "Newsfeed" product. Specifically, the complaint alleges that executives repeatedly assured investors that the Newsfeed was hitting record engagement and driving revenue growth, while concealing that the company was actually losing market share to competitors offering more favorable pricing and engagement models. Furthermore, despite management's frequent public denials and claims that Doximity did not "bombard physicians with ads" or use e-newsletters, the lawsuit alleges that the company relied heavily on passive advertising formats like banner ads and email newsletters.

Q: What do Doximity investors need to do right now?
A: Investors who purchased DOCS common stock during the Class Period (August 8, 2024 through May 13, 2026) should gather their trade confirmation slips or brokerage transaction logs showing purchase dates, number of shares, and prices paid. You may submit your trade details to Portnoy Law Firm here for a free, no-obligation evaluation of your potential loss recovery. No immediate legal action is required to remain an eligible absent class member.

Q: What is a lead plaintiff and why does it matter?
A: A lead plaintiff is a court-appointed class member who acts on behalf of all other class members in directing the litigation. The lead plaintiff is typically the investor or group of investors that makes a motion with the largest financial interest in the relief sought. While serving as lead plaintiff does not increase an investor's individual financial recovery compared to other class members, it gives the investor direct authority to select lead counsel and oversee the prosecution of the lawsuit.

Q: Does the lead plaintiff receive any type of compensation?
A: Yes, in many cases, Courts award the lead plaintiff an additional amount of money to compensate the lead plaintiff for their participation in the case.

Q: Does it cost anything to participate in this case as a lead plaintiff?
A: A lead plaintiff does not pay any fees or expenses out of pocket. Our firm works on a contingency basis, and will collect any fees or expenses directly from a future recovery.

Q: What if I already sold my Doximity shares -- can I still recover losses?
A: Yes. Eligibility to participate in a securities class action recovery depends on whether you purchased or acquired DOCS common stock during the Class Period (August 8, 2024 to May 13, 2026) and suffered an economic loss. Investors who sold their shares prior to or after the public disclosures may still be eligible to recover damages based on the artificial inflation present in the stock at the time of purchase.

Q: How long will the Doximity lawsuit take to resolve?
A: Securities class action lawsuits typically take between two and four years from initial filing to full resolution. The exact timeline depends on court scheduling, motion practice (such as motions to dismiss), pre-trial discovery, and potential settlement negotiations or trial proceedings.

Q: Can I choose a different law firm to represent me?
A: Yes. Investors have the absolute right to retain any legal counsel of their choice. When multiple class action complaints are filed, the court will consolidate the actions and appoint a lead plaintiff and lead counsel. You may choose to be represented by Portnoy Law Firm, retain separate counsel, or remain an absent class member represented by court-appointed lead counsel.

CASE ALLEGATIONS: AST SpaceMobile, together with its subsidiaries, designs and develops the constellation of BlueBird satellites. According to the complaint, in September 2025, telecommunications company EchoStar Corporation announced that it had entered into a definitive agreement with SpaceX to sell its AWS-4 and H-block spectrum licenses (the “EchoStar Transaction”). The complaint alleges that, in connection with the EchoStar Transaction, SpaceX and EchoStar Corporation agreed to enter into a long-term commercial agreement, enabling EchoStar’s Boost Mobile subscribers to access SpaceX’s next generation direct-to-cellular (“D2C”) service provided by its telecommunications subsidiary Starlink Services, LLC.

The AST SpaceMobile class action lawsuit alleges that defendants throughout the Class Period made false and/or misleading statements and/or failed to disclose that: (i) AST SpaceMobile’s increasing capital requirements were likely to increase AST SpaceMobile’s debt load and share dilution with greater frequency and at greater scale than defendants had signaled to investors; (ii) accordingly, defendants had overstated the sufficiency of AST SpaceMobile’s capital and liquidity position to achieve its strategic and business goals; (iii) defendants likewise overstated the durability of AST SpaceMobile’s competitive position in the satellite D2C market; (iv) even following the EchoStar Transaction, defendants continued overstating AST SpaceMobile’s competitive position in the satellite D2C market; (v) AST SpaceMobile was experiencing slow user adoption in the United States and Japan; (vi) the foregoing was likely to have a significant negative impact on AST SpaceMobile’s business and financial prospects; and (vii) as a result, defendants’ public statements were materially false and misleading at all relevant times.

THE LEAD PLAINTIFF PROCESS: The Private Securities Litigation Reform Act of 1995 permits any investor who purchased or acquired AST SpaceMobile securities during the Class Period to seek appointment as lead plaintiff in the AST SpaceMobile class action lawsuit. A lead plaintiff is generally the movant with the greatest financial interest in the relief sought by the putative class who is also typical and adequate of the putative class. A lead plaintiff acts on behalf of all other class members in directing the AST SpaceMobile class action lawsuit. The lead plaintiff can select a law firm of its choice to litigate the AST SpaceMobile class action lawsuit. An investor’s ability to share in any potential future recovery is not dependent upon serving as lead plaintiff of the AST SpaceMobile class action lawsuit.

AST SpaceMobile, along with its subsidiaries, develops and manufactures the BlueBird satellite constellation. According to a class action lawsuit, telecommunications firm EchoStar Corporation agreed in September 2025 to sell its AWS-4 and H-block spectrum licenses to SpaceX—a deal known as the EchoStar Transaction. The suit alleges this arrangement included a long-term agreement giving EchoStar's Boost Mobile customers access to Starlink's direct-to-cellular (D2C) services. The complaint asserts that throughout the Class Period, company executives made misleading statements and concealed crucial financial and operational realities. Specifically, the lawsuit claims defendants misrepresented the strength of AST SpaceMobile's capital and liquidity positions, obscured the likelihood of frequent and large-scale debt and share dilution, overblown the durability of its market standing before and after the EchoStar Transaction, and hid lagging user growth across key markets in the United States and Japan.

A sequence of market actions and public disclosures triggered notable drops in the company's Class A common stock price. On September 8, 2025, UBS downgraded the stock from "Buy" to "Neutral" and slashed its price target from $62.00 to $43.00, warning that the EchoStar Transaction strengthened Starlink's competitive stance; shares fell more than 9%. On October 21, 2025, AST SpaceMobile announced a private offering of $850 million in convertible senior notes due 2036 to fund constellation deployment, later upsizing and pricing the offering at $1.0 billion that same day, causing the stock to drop over 9% further. Subsequently, on January 6, 2026, Scotiabank downgraded the company to "Sell" with a "Sector Underperform" rating, explicitly referencing intense competition from Starlink and sluggish user uptake in the U.S. and Japan, which prompted an additional drop of over 12%.

The stock faced further downward pressure following subsequent capital raises. On February 11 and 12, 2026, AST SpaceMobile announced and priced another private offering of $1.0 billion in convertible senior notes due 2036 at an initial conversion price of approximately $116.30 per share, sending the stock down more than 15%. Finally, on July 15, 2026, the firm revealed and priced yet another $1.0 billion offering of 1.625% convertible senior notes due 2034 at a conversion price of roughly $79.57 per share, intended for growth initiatives and vertical integration despite having no binding strategic deals in place. This final disclosure resulted in the stock plunging more than 17%.

Lead Plaintiff Deadline: Investors who suffered losses on AST Spacemobile, Inc. stock during the Class Period have until November 13, 2026 to seek appointment as lead plaintiff.

Frequently Asked Questions About the AST Lawsuit

Q: What is the AST lead plaintiff deadline?
A: The deadline to apply for lead plaintiff appointment is November 13, 2026. This deadline applies strictly to investors seeking to serve as lead plaintiff representing the class. Class members who do not apply may still participate in any eventual financial recovery as absent class members without taking any action at this time.

Q: How much did AST stock drop and on what dates?
A: Following a series of negative market disclosures and analyst downgrades, AST SpaceMobile's Class A common stock experienced several sharp single-day declines across the Class Period: on September 9, 2025, the stock fell $3.86 per share, or 9.47%, to close at $36.91 following a UBS downgrade; on October 22, 2025, it dropped $7.26 per share, or 9.24%, to close at $71.35 following a $1.0 billion convertible notes offering; on January 7, 2026, the stock fell $11.76 per share, or 12.06%, to close at $85.73 following a Scotiabank downgrade; on February 12, 2026, it fell $14.70 per share, or 15.17%, to close at $82.22 following another convertible notes announcement; and on July 16, 2026, the stock plummeted $11.30 per share, or 17.04%, to close at $55.01 following yet another $1.0 billion convertible notes offering.

Q: What specific misstatements does the AST lawsuit allege?
A: The lawsuit claims that AST SpaceMobile and its executives misled investors by painting an overly rosy picture of the company's financial and competitive standing. Specifically, the complaint alleges that executives overstated the strength and durability of the company's competitive position in the satellite direct-to-cellular market. It also alleges that they exaggerated how sufficient their cash and liquidity position was, while failing to disclose that growing capital needs would lead to heavy debt loads and frequent, large-scale stock dilution. Furthermore, the company allegedly hid the fact that it was experiencing slow user adoption in key regions like the U.S. and Japan.

Q: What do AST investors need to do right now?

While serving as lead plaintiff does not increase an investor's individual financial recovery compared to other class members, it gives the investor direct authority to select lead counsel and oversee the prosecution of the lawsuit.

A: Yes. Eligibility to participate in a securities class action recovery depends on whether you purchased or acquired ASTS common stock during the Class Period (March 4, 2025 to July 15, 2026) and suffered an economic loss. Investors who sold their shares prior to or after the public disclosures may still be eligible to recover damages based on the artificial inflation present in the stock at the time of purchase.
