(NASDAQ: MARA) (“MARA”) today announced the expiration and results of the previously announced consent solicitation (the “Consent Solicitation”) by MARA USA Corporation, its wholly owned subsidiary (the “Offeror”), relating to the outstanding 8.750% Senior Secured Notes due 2032 (the “Notes”) of Long Ridge Energy LLC (the “Issuer”).
The Consent Solicitation expired at 5:00 p.m., New York City time, on May 15, 2026 (the “Expiration Time”). On May 14, 2026, prior to the Expiration Time, the Offeror received the requisite consents from registered holders (“Holders”) of at least a majority of the aggregate principal amount of the Notes outstanding (the “Requisite Consents”) to approve the proposed amendments (the “Proposed Amendments”) to the indenture governing the Notes (the “Indenture”), as described in the consent solicitation statement dated as of May 7, 2026 (as amended or supplemented from time to time, the “Consent Solicitation Statement”). Accordingly, on May 14, 2026, the Issuer and the subsidiary guarantors party to the Indenture entered into a supplemental indenture to the Indenture with U.S. Bank Trust Company, National Association, as trustee, reflecting the Proposed Amendments.

Amendment & Consent
As described in the Consent Solicitation Statement, on April 29, 2026, the Offeror and MARA entered into an Equity Purchase Agreement with Ohio River Partners Holdco LLC, Ohio River Partners Finance LLC (collectively, the “Sellers”) and (solely for the purposes of Articles V, IX and X and Sections 2.5, 6.10, 6.16 and 6.20 of the Equity Purchase Agreement) FTAI Infrastructure Inc. Pursuant to the Equity Purchase Agreement, the Offeror will acquire 100% of the issued and outstanding limited liability company membership interests in Long Ridge Energy & Power LLC (“Long Ridge” and, such transaction, the “Transaction”). The Issuer is a wholly owned subsidiary of Long Ridge. At the closing of the Transaction, Long Ridge will become an indirect wholly owned subsidiary of MARA.
The consummation of the Transaction would constitute a “Change of Control” under the Indenture, absent the Proposed Amendments becoming operative. Game On: Wall Street's New Rules and Your MoneyMarathon Digital NASDAQ: MARA Chairman and Chief Executive Officer Fred Thiel said the company’s push into AI and high-performance computing infrastructure has been a multiyear process built on its experience aggregating low-cost power and data center capacity for bitcoin mining.
Speaking at TD Cowen’s 54th Annual CMT Conference in a fireside chat with communications infrastructure analyst Michael Elias, Thiel said MARA’s strategy evolved from an asset-light bitcoin mining model into ownership of land, power and data center assets. He said that shift positioned the company to evaluate AI infrastructure opportunities as demand for power-constrained computing capacity accelerated.

That approach made sense when the company could devote more capital directly to mining machines, he said.
But by 2023, after stress in the bitcoin mining sector, MARA was able to acquire “70% of all the capacity where we operated at less than replacement cost,” Thiel said. Those purchases gave the company ownership of land and power at many of its operating sites.
Crypto Skeptics Can Still Win Big With These Risk-Limiting ETFsThiel said MARA later added power assets, including a wind farm, and began mining using flare gas in oil fields. He also pointed to a 250-megawatt deal in the United Arab Emirates, where MARA developed two data centers in Abu Dhabi that use immersion liquid cooling and operate without air conditioning.
“All the types of technologies you need to use for AI in the future,” Thiel said.
AI Strategy Centers on Leasing Power-Backed Sites Thiel said MARA began looking seriously at AI opportunities in 2023 and 2024. While hyperscale cloud companies require highly specialized data center designs, he said MARA determined it would need a partner rather than building an entire tenant-leasing and development organization on its own.
The company hired a third-party adviser to evaluate which of its sites would be attractive to hyperscalers and what upgrades would be needed. Thiel said the results showed that “the vast majority” of MARA’s sites were attractive to potential counterparties.
MARA then developed a partnership framework with Starwood, which Thiel said was finalized in February after the companies tested customer interest together. He described the process as more than two years in the making.
Thiel said MARA has more than 1.1 gigawatts of energized power in its current portfolio. Sites of 100 megawatts or more are drawing interest from hyperscalers, while smaller sites are more likely to appeal to neocloud and inference AI providers, he said. He added that site expansion potential could take MARA’s capacity above 2 gigawatts, including growth at existing locations and the Long Ridge deal the company has announced but not yet closed.
Company Favors Real Estate Model Over GPU-as-a-Service Asked whether MARA would provide GPU-as-a-service or own compute infrastructure itself, Thiel said the company currently sees better economics in data center real estate development and leasing.
He said building a 100-megawatt site for a neocloud model could require roughly $100 million of infrastructure and $300 million of compute, creating a much heavier capital burden. By contrast, through the Starwood partnership, MARA can contribute sites to a joint venture and receive equity credit before it must contribute additional capital.
“You can’t be all things to everybody,” Thiel said. “We think that right now we have a portfolio that will do very well in a leased environment.”
He said longer term, MARA could pursue partnerships with silicon vendors on smaller sites, with MARA operating infrastructure while partners provide chips. Over time, he described the possibility of large data center campuses with hyperscalers, neoclouds and owned-and-operated components.
Demand Spans Hyperscalers, AI Labs and Enterprises Thiel said the AI infrastructure demand environment remains constrained by power availability. He said conversations are occurring with silicon providers, model providers, hyperscalers, neoclouds and enterprises.
Model providers such as OpenAI and Anthropic are competing for market share that depends on available compute capacity, Thiel said. He also said silicon vendors are increasingly focused on securing access to powered sites for their customers.
Thiel described enterprise demand as a developing long-term opportunity, particularly for private cloud infrastructure. He said enterprises may seek dedicated AI environments to reduce costs and maintain control of sensitive data. He cited MARA’s investment in Exaion in France as relevant to that opportunity, saying Exaion’s business includes private cloud infrastructure and that data sovereignty concerns in Europe create openings for non-U.S. cloud alternatives.
For enterprise customers, Thiel said expected demand is more likely in the 5-megawatt to 25-megawatt range, and generally below 50 megawatts, while some large financial institutions may seek much larger footprints.
Priorities: Tenant Leases and Long Ridge Thiel said MARA’s near-term priorities are signing tenant leases for its existing portfolio, closing the Long Ridge transaction and leasing that capacity.
“If we do all of that this year, it will be a very great year for our shareholders,” he said.
On financing, Thiel said tenant creditworthiness is critical because lower-cost capital matters in data center development. He said the Starwood partnership provides a “credit wrap” benefit, and that working with non-investment-grade AI companies would likely require backstops, potentially from silicon providers.

China, the world's largest automotive market, hasn't been as enjoyable for automakers foreign or domestic in recent times. A brutal electric vehicle (EV) price war driven by a long list of subsidized competitors created a race to the bottom of pricing. That scenario has eroded margins across the industry and forced many domestic automakers to ramp up their exports to Europe and other countries to support growth. Nio (NIO 0.38%), strangely enough, has been thriving while doing the opposite: still focusing on China.
Goodbye golden era According to Nio CEO, William Li, China's automotive market has moved past its "golden era," with China's domestic car sales falling for the seventh consecutive month in April. With China's domestic auto sales spiraling lower, compounded by economic and policy concerns, competitors are now racing each other to export vehicles overseas where many are getting a foothold in Europe and other regions.
In fact, passenger car exports from China jumped 85% in April, compared to the prior year, to nearly 800,000 vehicles, per the China Association of Automobile Manufacturers (CAAM). Within the broader figure was a surge in new energy vehicles (NEVs), which include both EVs as well as plug-in hybrids. The latter jumped more than 120% in April, compared to the prior year. BYD Co. has seen more demand overseas than anticipated, and this caused management to raise its 2026 export guidance up roughly 15% to 1.5 million vehicles.
Despite surging exports to support growth, China's two top EV makers took a walloping during the first quarter. BYD Co.'s net income tumbled 55% to 4.1 billion yuan, or $605 million, and Geely's net income dropped 26% to 4.2 billion yuan, or $619 million.

Impressive results It's the combination of surging exports, cratering domestic sales, and tumbling profits for many automakers that makes what Nio achieved during Q1 more impressive. That's because Nio hasn't followed many of its competitors overseas: Through April, Nio has sold only 217 vehicles in Europe. Nio continues to focus on its home market, and despite broader pain in the industry, Nio delivered 37,705 vehicles in May, good for a staggering 62.3% gain over the prior year. It wasn't a one-hit wonder, either, as Nio's year-to-date deliveries have surged almost 69% compared to the prior year.
Nio's impressive results go beyond deliveries with vehicle margin checking in at 18.8% during the first quarter, up strongly compared to the prior year's 10.2% level. Furthermore, Nio's vehicle sales revenue jumped 129% in Q1, far outpacing its 98% delivery growth, suggesting the company's pricing remains strong amid the industry's EV price war.
"We also maintained positive non-GAAP operating profit in the quarter, and cash reserves continued to increase," said Stanley Yu Qu, NIO's chief financial officer, in a Q1 press release. He added:

There's even reason for investors to think the best in 2026 is yet to come, as Nio only recently launched its flagship executive SUV, the ES9, on May 27.

What it all means Nio's Q1 results were a rare bright spot in a mostly gloomy market. Plug Power (PLUG 2.47%) shares have had a wild ride over the years. Since going public in 1999, the hydrogen stock has lost around 98% of its original value. Over the past 12 months, however, shares have surged by more than 380%.
The truth is that Plug Power isn't the company it was in decades past. Today, the company is a bona fide climate change stock, with rising global regulatory tailwinds making its hydrogen fuel systems more economically viable. According to one industry report, "clean hydrogen will grow 100-fold from today ... by 2060."
The hydrogen industry growing 100-fold by 2060 provides a long-term foundation of growth for Plug Power despite its relatively paltry $5 billion market cap. Before you jump in, however, there is one key risk to keep in mind.

Two reasons to avoid Plug Power stock despite promising industry growth In 2024, a Hydrogen Council industry report observed that investment in hydrogen projects had grown by more than 600% over the trailing-four-year period. "While the global project pipeline has grown by a factor of seven since 2020 from 228 projects in 2021 to 1,572 projects in 2024 across the value chain, it has also matured," the industry group highlighted. "Over the years, a larger portion of projects have shifted from announcements to more advanced stages. Between 2020 and 2024, investments made in front end engineering design (FEED) stage projects increased by [a] factor [of] 20."
In combination, these statistics paint a promising picture for hydrogen, as well as Plug Power, which designs and sells hydrogen fuel systems. Not only is investment in the technology ramping up quickly, but massive industry growth is expected over the next three decades and beyond.
But there are two problems that should mitigate optimism.

First, industry forecasts have been wrong in the past. Global consulting group McKinsey & Co., for example, has lowered its forecasts many times in recent years and now predicts hydrogen demand will grow by just twofold to fourfold by 2050 -- far below other industry forecasts like the one I cited that calls for 100-fold growth by 2060.
Second, much of this growth will be backloaded. That is, growth will be minimal in the first decade, building to higher growth rates decades down the line. That's bad news for the likes of Plug Power, which is still struggling to reach profitability. To plug the cash-flow gap, Plug Power has needed to sell massive amounts of stock in recent years, resulting in mounting shareholder dilution. So while Plug Power may succeed as a business long term, shareholders may see most of their theoretical gains offset by this dilution.

Cryogenic equipment and liquefiers sales slowed due to 30 units sold during the quarter compared with 66 units sold during the year ago period.
Overall, PLUG’s equipment sales are gaining traction, supported by stronger demand for electrolyzers and hydrogen infrastructure. If this trend continues, it could support sustained growth in the coming quarters.
Snapshot of Plug Power’s PeersAmong its major peers, Flux Power Holdings, Inc. (FLUX - Free Report) reported revenues of $6.59 million in the third quarter of fiscal 2026. Flux Power’s total revenues decreased 60.6% year over year. However, Flux Power continues to expand its lithium-ion energy storage solutions and SkyEMS software platform.
In the first quarter of 2026, PLUG’s another peer, Bloom Energy Corporation’s (BE - Free Report) product revenues surged more than 200% year over year. Plug Power's focus over the past few decades has been on building an end-to-end green hydrogen ecosystem, including electrolyzers, green hydrogen plants, hydrogen storage, and transportation. The company offers several products and services, and one of its primary offerings is warehouse equipment for Amazon and Walmart, including hydrogen-powered forklifts and other heavy-duty warehouse equipment.
While Plug Power has focused on the hydrogen ecosystem, the company sees a massive opportunity in data centers ahead. It offers proton exchange membrane (PEM) fuel cells, which could provide zero-emission backup power. The company has its GenSure HP Platforms, which scale from 500 kilowatts to 1.5 megawatts and could be combined to support large data centers.
While the opportunity exists, the biggest issue right now is that its PEM fuel cells run on pure hydrogen. To get around this bottleneck, Plug must pair its fuel cells with electrolyzers, enabling data centers and other industrial operators to generate hydrogen on-site. Without these on-site electrolyzers, Plug Power faces an uphill battle, as the hydrogen fuel supply chain is still far from established.

Plug Power needs to prove itself Bloom Energy stock has surged as the company has grown into a serious player in providing energy to hyperscalers. The company demonstrated the timeliness of its technology last year when it delivered an operational fuel cell system to Oracle in just 55 days, well ahead of the 90-day commitment. Bloom Energy is also ramping up its manufacturing capacity to meet this growing demand.
For Plug Power to accomplish this, it needs to secure hyperscaler customers for both its fuel cells and electrolyzers to effectively utilize hydrogen power. Because the hydrogen fuel supply chain isn't built out, on-site electrolyzers are a must for Plug Power. That said, the company has posted a net loss every single year since going public in 1999. Investors are best off waiting to see if it can secure binding deals with hyperscalers before buying the stock.

The drugmaker has been under pressure from manufacturing issues and generic-drug competition, prompting investors to watch whether its base business and new launches can support steadier growth this year.
Viatris posted quarterly adjusted profit of 59 cents per share, beating analysts' average estimate of 50 cents, according to LSEG data. Revenue rose 8% to $3.52 billion from a year ago, above estimates of $3.36 billion.
Revenue from its Greater China business rose 22% to $680.1 million, beating expectations of $547.7 million.
The company expects mid- to high-single-digit growth in China this year, up from its earlier forecast of low-single-digit, interim CFO Paul Campbell said on a call with analysts.
First-quarter revenue from its branded medicines, including cholesterol drug Lipitor and blood-pressure treatment Norvasc, rose 10% to $2.33 billion, helped by strong growth in China and emerging markets such as Eastern Europe and Latin America.
Viatris' stable base business, potential launch of fast-acting pain drug meloxicam and upcoming data for heart and immunology candidates selatogrel and cenerimod are driving investor interest, J.P. Morgan analyst Chris Schott said.
The company reaffirmed its 2026 adjusted profit forecast of $2.33 to $2.47 per share.
Despite the strong quarter, the management said it was too early to raise full-year forecast and that it would reassess trends after the second quarter.
Generic drug sales rose 5% to $1.18 billion during the first quarter.
Viatris expects the entry of generic GLP-1 weight-loss drugs by the end of the decade to be a longer-term growth driver.
"We have developed a significant strategy for GLP-1s and will be supplying a significant part of that market with an hyper focus on the U.S. going forward," Chief R&D Officer Philippe Martin said.
