Levi & Korsinsky Reminds Shareholders of a Lead Plaintiff Deadline of August 24, 2026 in ZoomInfo Technologies, Inc. Lawsuit - GTM
ZI ZoomInfo Technologies
FMP Stock News
Original source text
NEW YORK, Aug. 24, 2026 (GLOBE NEWSWIRE) -- Levi & Korsinsky, LLP examines the adequacy of ZoomInfo Technologies, Inc.'s (NASDAQ: GTM) risk disclosures during the period between November 3, 2025 and May 11, 2026. A securities class action has been filed on behalf of investors who suffered losses. Find out if you qualify to recover losses from inadequate disclosures. You may also contact Joseph E. Levi, Esq. at [email protected] or (212) 363-7500.

Shares fell $1.98 per share, a 33% decline, after ZoomInfo revealed a sharp deterioration in its 2026 growth outlook on May 11, 2026, slashing full-year guidance that had been set just three months earlier.

What the Company Disclosed

Throughout the Class Period, ZoomInfo's public filings and earnings presentations contained forward-looking statements about revenue growth, net revenue retention improvement, and the trajectory of its AI-driven product suite. The Company's fiscal 2026 guidance projected revenue of $1.247 billion to $1.267 billion, representing positive 1% annual growth at the midpoint. SEC filings included standard cautionary language warning that actual results could differ from projections.

What the Complaint Challenges as Missing

The securities action contends that these disclosures failed to address specific, material risks that were already affecting ZoomInfo's business:

Customers were actively migrating from legacy seat-based subscription platforms toward consumption-based usage models, undermining the renewal economics that supported guidanceDownmarket customer retention was weakening in ways not reflected in the aggregate 90% NRR figure highlighted to investorsEnterprise customers were developing internal AI-driven go-to-market solutions that competed directly with ZoomInfo's core value propositionThe Operations suite's 20% year-over-year growth, while real, was insufficient to offset accelerating churn in the legacy seat-based businessThe Company's transition from seat-based pricing to Data-as-a-Service models carried execution risks that were not quantified or meaningfully addressed in risk factor disclosures Why Generic Warnings Allegedly Failed Investors

The complaint challenges the adequacy of ZoomInfo's cautionary language by drawing a distinction between hypothetical risks and risks that had already begun to materialize. As pleaded, the Company's boilerplate warnings about competitive pressures and customer purchasing patterns did not disclose that specific, quantifiable headwinds were already eroding the business assumptions underlying the fiscal 2026 outlook.

While executives publicly described "a lot in the positive column" and expressed confidence in "sustainably delivering revenue growth," the lawsuit maintains that known internal trends contradicted these assurances. The gap between what was disclosed generically and what was allegedly known specifically is at the center of the disclosure adequacy claims.

"Generic risk factor language cannot substitute for disclosing specific, known problems that are already affecting a company's operations. When a company's own internal metrics show deterioration that contradicts public guidance, investors deserve more than boilerplate cautionary statements." -- Joseph E. Levi, Esq.

("ZoomInfo" or the "Company") (NASDAQ: GTM) and reminds investors of the August 24, 2026 deadline to seek the role of lead plaintiff in a federal securities class action that has been filed against the Company.

Faruqi & Faruqi is a leading national securities law firm with offices in New York, Pennsylvania, California and Georgia. The firm has recovered hundreds of millions of dollars for investors since its founding in 1995. See www.faruqilaw.com.

As detailed below, the complaint alleges that the Company and its executives violated federal securities laws by making false and/or misleading statements and/or failing to disclose that the true state of ZoomInfo's slowing growth its legacy seat-based subscription platforms and weakening customer retention in its downmarket segment. Further, the Company minimized concerns that customers were moving towards consumption-based usage models and developing internal AI-driven go-to-market solutions.

Frequently Asked Questions (FAQ) for Investors Regarding the ZoomInfo Securities Class Action Lawsuit:

What is the ZoomInfo securities fraud lawsuit about?

The lawsuit alleges that ZoomInfo Technologies, Inc. (NASDAQ: GTM) and certain of its officers and directors violated federal securities laws by making materially false and misleading statements to investors during the class period. Specifically, the complaint alleges that defendants issued overwhelmingly positive statements while allegedly concealing the true extent of slowing growth in ZoomInfo's legacy seat-based subscription platforms and weakening customer retention in its downmarket segment. The complaint further alleges that defendants minimized concerns that customers were shifting toward consumption-based usage models and developing internal AI-driven go-to-market solutions, which allegedly masked material adverse trends affecting the Company's business. On May 11, 2026, after markets closed, ZoomInfo allegedly disclosed the severity of these conditions when it announced sharply lowered full-year 2026 guidance, a realignment of its downmarket business, a workforce reduction of approximately 20%, and anticipated restructuring costs of approximately $45-60 million — news that allegedly caused the Company's stock to decline approximately 33% the following trading day.

Who may be eligible to participate in the lawsuit?

Investors who purchased or otherwise acquired ZoomInfo Technologies, Inc. (NASDAQ: GTM) securities during the class period — between November 3, 2025 and May 11, 2026, inclusive — may be eligible to participate in this lawsuit. Eligible investors are not limited to those who seek appointment as lead plaintiff; any class member who suffered losses during the class period may potentially share in any recovery obtained on behalf of the class. Investors are encouraged to review their trading records to determine whether their purchases fall within the applicable class period dates. Participation in the litigation does not require that an investor take an active role in the case or incur out-of-pocket legal expenses to be considered a potential class member.

What is a lead plaintiff, and how can I seek appointment?

A lead plaintiff is a court-appointed representative who acts on behalf of all class members in directing the litigation, including selecting and overseeing class counsel and making key strategic decisions in the case. Under the Private Securities Litigation Reform Act, any investor who purchased ZoomInfo Technologies securities during the class period and suffered a loss may move the court for appointment as lead plaintiff. The deadline to file a motion seeking lead plaintiff appointment is August 24, 2026. Importantly, investors are not required to serve as lead plaintiff in order to be eligible to share in any recovery that may result from the litigation; the vast majority of class members participate without taking on that representative role.

What should investors do if they purchased ZoomInfo stock during the Class Period?

Investors who purchased ZoomInfo Technologies, Inc. (NASDAQ: GTM) securities between November 3, 2025 and May 11, 2026 should promptly review their brokerage and account records to confirm the dates and prices of any relevant transactions. Investors are strongly encouraged to preserve all documentation related to their ZoomInfo securities purchases, including trade confirmations, account statements, and any communications concerning those investments. Given that the lead plaintiff motion deadline is August 24, 2026, investors who wish to explore their legal options — including the possibility of seeking appointment as lead plaintiff — should act in a timely manner. Investors may wish to consult with Faruqi & Faruqi, LLP or other qualified securities counsel to evaluate their rights and potential claims prior to that deadline.

Why should investors contact Faruqi & Faruqi, LLP?

Faruqi & Faruqi, LLP has represented investors in securities litigation for decades and has recovered hundreds of millions of dollars for shareholders. Investors who purchased ZoomInfo securities during the Class Period may contact the firm to discuss their legal rights, potential claims, and the lead plaintiff process at no cost or obligation.

NEW YORK, Aug. 21, 2026 (GLOBE NEWSWIRE) -- Leading securities law firm Bleichmar Fonti & Auld LLP announces that a class action lawsuit has been filed against ZoomInfo Technologies Inc. (NASDAQ:GTM) and certain of the Company’s senior executives for securities fraud after its significant stock drop resulting from potential violations of the federal securities laws.

If you invested in ZoomInfo, you are encouraged to obtain additional information by visiting: https://www.bfalaw.com/cases/zoominfo-class-action-lawsuit.

Key Details of the ZoomInfo ($GTM) Class Action:

Lead Plaintiff Deadline: August 24, 2026Alleged Misconduct: Securities fraud alleging that ZoomInfo misled investors regarding the impact of ZoomInfo’s AI-integrated products on customer retentionStock Drop: May 12, 2026 – 33% Stock DropCourt: U.S. District Court for the Western District of WashingtonAction: Contact BFA Law to discuss your rights Investors have until August 24, 2026 to ask the Court to be appointed to lead the case. The complaint asserts securities fraud claims under Sections 10(b) and 20(a) of the Securities Exchange Act of 1934 on behalf of investors in ZoomInfo securities. The class action is pending in the U.S. District Court for the Western District of Washington. It is captioned Tejeda v. ZoomInfo Technologies et al., No. 26-cv-05696.

Why is ZoomInfo Being Sued for Securities Fraud?

ZoomInfo has been sued for securities fraud following a significant stock drop resulting from potential violations of the federal securities laws. The decline in ZoomInfo’s stock price caused significant losses to investors.

ZoomInfo provides go-to-market (“GTM”) intelligence and a customer engagement platform for sales, marketing, operations, and recruiting professionals.

Throughout the relevant period, ZoomInfo allegedly stated that “the demand for AI for GTM is evident up and down our customer stack.” According to ZoomInfo, its “innovative go-to-market AI” was “driving stronger daily engagement from a diverse set of go-to-market personas.”

On February 9, 2026, ZoomInfo issued its 2026 revenue guidance “in the range of $1.247 billion to $1.267 billion,” because “in 2026, our focus is on bringing” ZoomInfo’s “all-in-one AI platform for go-to-market teams . . . to our customers at scale.”

As alleged, ZoomInfo’s customer retention declined as customers were rejecting ZoomInfo’s AI products.

Why did ZoomInfo’s Stock Drop?

On May 11, 2026, ZoomInfo announced its Q1 2026 results and slashed its 2026 revenue guidance from $1.247-$1.267 billion to $1.185-$1.205 billion. ZoomInfo revealed that its customer growth “regressed” due to “AI and agentic confusion” leading to “a pause in [customers’] purchasing decisions[.]”

This news caused the price of ZoomInfo stock to decline $1.98 per share, or 32.78%, from a closing price of $6.04 per share on May 11, 2026, to $4.06 per share on May 12, 2026.

SueWallSt Reminds Shareholders of a Lead Plaintiff Deadline of August 24, 2026 in ZoomInfo Technologies, Inc. Lawsuit - GTM

ZoomInfo's SEC Filings Allegedly Used Generic Risk Language to Obscure Specific, Known Threats to Its Legacy Seat-Based Business and Downmarket Retention While Executives Publicly Projected Confidence in 2026 Growth

, /PRNewswire/ -- SueWallSt examines the adequacy of ZoomInfo Technologies, Inc.'s (NASDAQ: GTM) risk disclosures during the period between November 3, 2025 and May 11, 2026. A securities class action has been filed on behalf of investors who suffered losses. Check if you might be eligible to recover your investment losses. You may also contact Joseph E. Levi, Esq. at [email protected] or (888) SueWallSt.

Customers were actively migrating from legacy seat-based subscription platforms toward consumption-based usage models, undermining the renewal economics that supported guidance Downmarket customer retention was weakening in ways not reflected in the aggregate 90% NRR figure highlighted to investors Enterprise customers were developing internal AI-driven go-to-market solutions that competed directly with ZoomInfo's core value proposition The Operations suite's 20% year-over-year growth, while real, was insufficient to offset accelerating churn in the legacy seat-based business The Company's transition from seat-based pricing to Data-as-a-Service models carried execution risks that were not quantified or meaningfully addressed in risk factor disclosures Why Generic Warnings Allegedly Failed Investors

Levi, Esq.

Frequently Asked Questions About the GTM Lawsuit

Q: What specific misstatements does the GTM lawsuit allege? A: The complaint alleges ZoomInfo made materially false or misleading statements regarding its growth potential for fiscal year 2026, particularly concerning the health of its legacy seat-based subscription business, downmarket customer retention, and the ability of its AI product transition to offset churn. Q: When did ZoomInfo allegedly mislead investors? A: The class period runs from November 3, 2025 to May 11, 2026.

On May 11, 2026, after markets closed, ZoomInfo allegedly disclosed the severity of these conditions when it announced sharply lowered full-year 2026 guidance, a realignment of its downmarket business, a workforce reduction of approximately 20%, and anticipated restructuring costs of approximately $45-60 million - news that allegedly caused the Company's stock to decline approximately 33% the following trading day.

Who may be eligible to participate in the lawsuit?

Investors who purchased or otherwise acquired ZoomInfo Technologies, Inc. (NASDAQ: GTM) securities during the class period - between November 3, 2025 and May 11, 2026, inclusive - may be eligible to participate in this lawsuit.

Given that the lead plaintiff motion deadline is August 24, 2026, investors who wish to explore their legal options - including the possibility of seeking appointment as lead plaintiff - should act in a timely manner.

Levi & Korsinsky Reminds ZoomInfo Technologies Investors of the Pending Class Action Lawsuit With a Lead Plaintiff Deadline of August 24, 2026 - GTM
ZI ZoomInfo Technologies
FMP Stock News

Important Information Regarding Section 20(a) Individual Liability Claims Against ZoomInfo's CEO and CFO for Alleged $1.98 Per-Share Shareholder Losses

, /PRNewswire/ -- Levi & Korsinsky, LLP alerts investors in ZoomInfo Technologies, Inc. (NASDAQ: GTM) that two senior executives are named as individual defendants in a securities class action covering purchases between November 3, 2025 and May 11, 2026. Find out if you qualify to recover losses or contact Joseph E. Levi, Esq. at [email protected] or (212) 363-7500.

Shares fell $1.98 per share, a 33% decline, after ZoomInfo disclosed a sharp deterioration in its 2026 growth outlook on May 11, 2026. The Court has set August 24, 2026 as the deadline to apply for lead plaintiff appointment.

The Named Individual Defendants

The complaint names Henry Schuck, Chief Executive Officer and Chairman of the Board, and M. Graham O'Brien, Chief Financial Officer, as controlling persons of ZoomInfo during the entire Class Period. As CEO and Chairman, Schuck held dual authority over both corporate strategy and board governance. O'Brien, as CFO, directed financial reporting, revenue guidance, and investor communications. Both executives signed SEC filings, participated in earnings calls, and presented at investor conferences where the alleged misrepresentations were made.

Sarbanes-Oxley Certification Obligations

Under Sections 302 and 906 of the Sarbanes-Oxley Act, Schuck and O'Brien personally certified the accuracy and completeness of ZoomInfo's quarterly and annual reports filed with the SEC. These certifications attested that:

Financial statements fairly presented the Company's financial condition in all material respects Reports did not contain untrue statements of material fact or omit material facts necessary to avoid misleading investors Internal controls were designed to ensure material information was made known to the certifying officers Any significant deficiencies or fraud involving management were disclosed to auditors and the audit committee The lawsuit contends these certifications were made while Schuck and O'Brien knew or should have known that ZoomInfo's legacy seat-based subscription business was deteriorating and that customers were migrating toward consumption-based models faster than publicly acknowledged.

Section 20(a) Control Person Framework

Section 20(a) of the Securities Exchange Act of 1934 imposes liability on individuals who control entities that violate Section 10(b). The complaint asserts that Schuck and O'Brien possessed the power and authority to control the contents of ZoomInfo's SEC filings, press releases, earnings call statements, and investor conference presentations. The pleading further alleges both executives were provided with copies of the Company's public statements prior to issuance and had the ability to prevent their release or cause corrections.

Scienter Allegations

The action charges that Schuck and O'Brien knew adverse facts had not been disclosed to investors and that positive representations being made were materially false or misleading at the time they were issued. Both executives repeatedly touted improving net revenue retention, 20%-plus operations growth, and AI product momentum across multiple public forums from November 2025 through February 2026, while allegedly concealing weakening downmarket retention and the growing adoption of internally developed AI-driven go-to-market solutions that reduced demand for the Company's products.

"Corporate officers have a duty to ensure their companies' public statements are accurate and complete. When executives personally certify SEC filings, they assume individual responsibility for the information investors rely upon to make purchasing decisions." -- Joseph E. Levi, Esq.

LOS ANGELES, Aug. 19, 2026 (GLOBE NEWSWIRE) -- The Portnoy Law Firm advises ZoomInfo Technologies, Inc., (“ZoomInfo” or the "Company") (NASDAQ: GTM) investors of a class action on behalf of investors that bought securities between November 3, 2025 and May 11, 2026, inclusive (the “Class Period”). ZoomInfo investors have until August 24, 2026 to file a lead plaintiff motion.

Investors are encouraged to contact attorney Lesley F. Portnoy, by phone 310-692-8883 or email: [email protected], to discuss their legal rights, or join the case via https://portnoylaw.com/zoominfo-technologies-inc. The Portnoy Law Firm can provide a complimentary case evaluation and discuss investors’ options for pursuing claims to recover their losses.

The ZoomInfo class action lawsuit alleges that defendants throughout the Class Period made false and/or misleading statements and/or failed to disclose that: (i) defendants created the false impression that they possessed reliable information pertaining to ZoomInfo’s projected revenue outlook and anticipated growth of its legacy and emerging AI-driven products, core software business, and sustained improvement in net revenue retention; and (ii) ZoomInfo’s optimistic plan for continued growth was undermined by slowing seat-based demand, weakening upsells, and customers revising decisions to purchase AI products and develop internal AI-driven go-to-market solutions, making ZoomInfo’s 2026 full year revenue guidance increasingly unlikely to be met.

On May 11, 2026, after the market closed, ZoomInfo announced its first quarter 2026 financial results, allegedly disclosing a sharp decline in growth outlook and that ZoomInfo lowered its 2026 full year financial guidance.  On this news, the price of ZoomInfo stock fell approximately 33%, according to the complaint.

NEW YORK, Aug. 19, 2026 (GLOBE NEWSWIRE) -- Leading securities law firm Bleichmar Fonti & Auld LLP announces that a class action lawsuit has been filed against ZoomInfo Technologies Inc.

National Recruiting Network Raised Candidate Connection Rates 25% with ZoomInfo
ZI ZoomInfo Technologies
FMP Stock News
Original source text
-

The North Carolina recruiting firm moved candidate sourcing off hand-built spreadsheets and onto filtered searches with automated outreach, cutting manual effort in half.

VANCOUVER, Wash.--(BUSINESS WIRE)--ZoomInfo (NASDAQ: GTM), the all-in-one AI GTM platform, has reported that National Recruiting Network, a recruiting firm placing engineering, maintenance, and leadership talent in plastics and packaging manufacturing, has raised its candidate connection rates by 25% and cut its manual sourcing work by 50%, according to the company. It did so with a small team, in a labor market where every qualified candidate had options.

National Recruiting Network was under two years old and growing fast. Its sourcing process was manual. Candidate information came out of various sources and went into Excel spreadsheets, work the firm describes as incredibly tedious and time consuming. For a large agency with a research department, that is a line item. For a firm this size, it was the workweek.

Worse, the tedium was hiding a targeting problem. Plastics and packaging manufacturing roles require very specific expertise and education, and a spreadsheet assembled from whatever was findable cannot tell you who has that background. So the firm was contacting people who looked plausible rather than people who qualified. Its own stated baseline: reach out to 100 candidates, and one reply was a good day. Ninety-nine touches went nowhere.

The firm changed three things with ZoomInfo, and each attacks a different part of that failure. First, precision. Detailed searches isolate candidates matching a specific expertise and education requirement, so in a niche like plastics processing the list is 40 qualified people instead of 500 plausible ones. Second, reach. Accurate contact data means the message lands in a live inbox rather than bouncing, and a bounce is a candidate the recruiter never knows was interested. Third, volume without headcount. The firm builds a separate automated outreach sequence per type of role, then sends it to the candidates those searches surface. Reporting shows which messaging works for which audience, so the pitch for a maintenance lead is tuned separately from the pitch for a process engineer.

The results followed the mechanism. Candidate connection rates rose 25% against that one-reply-per-100 baseline, and manual effort fell by half, according to the company. The recovered hours went into relationship-building with candidates and clients instead of data entry. The firm reported its best month on record and a lower time to hire, which gave it room to take on more clients, and it credits ZoomInfo for the revenue that followed.

The bet from here is capacity, not headcount. Each recruiter carries more searches, so the same small team serves more clients. In a niche where the qualified pool is narrow and the competition for it is not, finding the right 40 people beats reaching the wrong 500.

GTM Shareholder Alert: Investors With Losses May Seek to Lead the Class Action in ZoomInfo Technologies Securities Lawsuit - Contact SueWallSt
ZI ZoomInfo Technologies
FMP Stock News
Original source text
NEW YORK, Aug. 18, 2026 (GLOBE NEWSWIRE) -- During the period from November 3, 2025 through May 11, 2026, ZoomInfo Technologies, Inc. (NASDAQ: GTM) shareholders allege they were fed a steady stream of optimistic projections about AI-driven growth and improving retention, only to watch the stock lose a third of its value when reality surfaced.

SueWallSt encourages investors who suffered losses in ZoomInfo Technologies, Inc. (NASDAQ: GTM) to contact the firm. Those who purchased GTM securities between November 3, 2025 and May 11, 2026 may be entitled to recover damages.

Check if you might be eligible to recover your investment losses. You may also contact Joseph E. Levi, Esq. at [email protected] or (888) SueWallSt.

GTM shares fell $1.98 per share, a decline of approximately 33%, closing at $4.06 on May 12, 2026. The window to apply for lead plaintiff closes on August 24, 2026.

November 3, 2025 — Q3 Results Tout "Record Revenue" and Improving Retention

ZoomInfo reported Q3 2025 GAAP revenue of $318.0 million, a 5% year-over-year increase, and raised full-year 2025 guidance. Management described net revenue retention reaching 90%, the highest since Q2 2023, and highlighted 20%-plus growth in the Operations suite. The complaint alleges these statements painted a misleadingly optimistic picture of ZoomInfo's trajectory while concealing deterioration in the downmarket segment and the threat posed by customers developing their own AI-driven go-to-market solutions.

November 18 Through December 9, 2025 — Conference Circuit Reinforces Growth Narrative

Across investor conferences hosted by Wells Fargo, UBS, and Nasdaq, the lawsuit contends that ZoomInfo executives doubled down on the same themes:

Operations suite "growing 20% and accelerating," now over 15% of total ACVUpmarket net retention above 100% for a second consecutive quarterLegacy seat compression described as a 2021-2022 phenomenon, not a current riskAI characterized as an "accelerant" with ZoomInfo positioned as a clear beneficiaryDownmarket concerns dismissed with assurances of sequential improvement The action claims these presentations reinforced artificial confidence in a growth story that was already weakening beneath the surface.

February 9, 2026 — FY 2025 Results and 2026 Guidance Issued

ZoomInfo issued fiscal 2026 revenue guidance of $1.247 billion to $1.267 billion, representing approximately 1% annual growth. Management expressed confidence in "sustainably delivering revenue growth and industry-leading profitability." The securities action alleges this guidance was issued without adequate disclosure that legacy seat-based subscription erosion and customer migration to consumption-based models were accelerating beyond what the projections could absorb.

May 11, 2026 — The Corrective Disclosure

After the market closed, ZoomInfo announced Q1 2026 results that revealed a sharp decline in growth outlook and lowered full-year 2026 guidance. The filing states that the gap between the February projections and the May reality demonstrated that the risks management had minimized throughout the Class Period were already materializing when earlier statements were made.

"Timely disclosure of material developments is fundamental to fair and efficient markets. The chronology here raises questions about whether investors received an accurate and evolving picture of ZoomInfo's business trajectory during the Class Period." -- Joseph E. Levi, Esq.

, /PRNewswire/ -- Leading securities law firm Bleichmar Fonti & Auld LLP announces that a class action lawsuit has been filed against ZoomInfo Technologies Inc. (NASDAQ:GTM) and certain of the Company's senior executives for securities fraud after its significant stock drop resulting from potential violations of the federal securities laws.

If you invested in ZoomInfo, you are encouraged to obtain additional information by visiting: https://www.bfalaw.com/cases/zoominfo-class-action-lawsuit.

Key Details of the ZoomInfo ($GTM) Class Action:

Lead Plaintiff Deadline: August 24, 2026 Alleged Misconduct: Securities fraud alleging that ZoomInfo misled investors regarding the impact of ZoomInfo's AI-integrated products on customer retention Stock Drop: May 12, 2026 – 33% Stock Drop Court: U.S. District Court for the Western District of Washington Action: Contact BFA Law to discuss your rights Investors have until August 24, 2026 to ask the Court to be appointed to lead the case.

The decline in ZoomInfo's stock price caused significant losses to investors.

ZoomInfo provides go-to-market ("GTM") intelligence and a customer engagement platform for sales, marketing, operations, and recruiting professionals.

Throughout the relevant period, ZoomInfo allegedly stated that "the demand for AI for GTM is evident up and down our customer stack."  According to ZoomInfo, its "innovative go-to-market AI" was "driving stronger daily engagement from a diverse set of go-to-market personas."

On February 9, 2026, ZoomInfo issued its 2026 revenue guidance "in the range of $1.247 billion to $1.267 billion," because "in 2026, our focus is on bringing" ZoomInfo's "all-in-one AI platform for go-to-market teams . . . to our customers at scale."

As alleged, ZoomInfo's customer retention declined as customers were rejecting ZoomInfo's AI products.

Why did ZoomInfo's Stock Drop?

On May 11, 2026, ZoomInfo announced its Q1 2026 results and slashed its 2026 revenue guidance from $1.247-$1.267 billion to $1.185-$1.205 billion.  ZoomInfo revealed that its customer growth "regressed" due to "AI and agentic confusion" leading to "a pause in [customers'] purchasing decisions[.]"

This news caused the price of ZoomInfo stock to decline $1.98 per share, or 32.78%, from a closing price of $6.04 per share on May 11, 2026, to $4.06 per share on May 12, 2026.

What Happened?
On May 11, 2026, after market hours, ZoomInfo released its first quarter 2026 financial results, revealing that the Company was reducing its revenue guidance, realigning its downmarket business, laying off 20% of its workforce, and expecting to incur approximately $45-60 million in restructuring costs due, in part, to “a trend of AI and agentic confusion in [the Company’s] customer conversations.”

On this news, ZoomInfo’s stock price fell $1.98, or 32.8%, to close at $4.06 per share on May 12, 2026, thereby injuring investors.

What Is The Lawsuit About?
The complaint filed in this class action alleges that between November 3, 2025 and May 11, 2026, Defendants made materially false and/or misleading statements, as well as failed to disclose material adverse facts about the Company's business, operations, and prospects. Specifically, Defendants failed to disclose to investors that: (1) ZoomInfo's optimistic plan for continued growth was undermined by slowing seat-based demand, weakening upsells and customers revising decisions to purchase AI products and develop internal AI-driven go-to-market solutions, making ZoomInfo's 2026 full year revenue guidance increasingly unlikely to be met; and (2) as a result, Defendants' positive statements about the Company's business, operations, and prospects were materially misleading and/or lacked a reasonable basis at all relevant times.

If you purchased or otherwise acquired ZoomInfo Technologies, Inc. securities between November 3, 2025 and May 11, 2026, you may move the Court no later than August 24, 2026 to request appointment as lead plaintiff in this putative class action lawsuit.

GTM Shareholder Alert: August 24, 2026 Lead Plaintiff Deadline in ZoomInfo Technologies, Inc. Securities Class Action - Contact Levi & Korsinsky
ZI ZoomInfo Technologies
FMP Stock News
Original source text
NEW YORK, Aug. 17, 2026 (GLOBE NEWSWIRE) -- Institutional investors holding positions in ZoomInfo Technologies, Inc. (NASDAQ: GTM) during the period from November 3, 2025 through May 11, 2026 may wish to evaluate lead plaintiff opportunities in a pending securities class action. Request an institutional investor loss assessment. You may also contact Joseph E. Levi, Esq. at [email protected] or (212) 363-7500.

Shares of GTM declined approximately 33%, falling $1.98 per share, after the Company revealed a sharp decline in its 2026 growth outlook and lowered full-year financial guidance. The Court has set August 24, 2026 as the deadline to apply for lead plaintiff appointment.

Notice to Institutional Holders

Pension funds, endowments, mutual funds, and asset managers that acquired GTM securities between November 3, 2025 and May 11, 2026 may have sustained material portfolio losses when ZoomInfo's corrective disclosure erased over a third of the stock's value in a single trading session. The securities class action, filed in the United States District Court for the Western District of Washington, alleges that ZoomInfo and certain officers disseminated materially misleading statements about the Company's revenue trajectory, customer retention strength, and the commercial viability of its AI-driven product transition.

Fiduciary Obligations and Recovery Options

Institutional fiduciaries face distinct considerations when evaluating participation in securities class actions:

Fiduciaries holding GTM in managed portfolios have a duty to evaluate whether pursuing lead plaintiff status could maximize recovery for beneficiariesLead plaintiff appointment provides direct oversight of litigation strategy, settlement negotiations, and counsel selectionThe Private Securities Litigation Reform Act favors institutional investors with the largest financial interest in the relief soughtServing as lead plaintiff involves no out-of-pocket cost; counsel fees are paid from any recovery and approved by the courtInstitutional lead plaintiffs historically achieve larger settlements and stronger governance reforms than retail-led actionsFailure to evaluate recovery options may itself raise fiduciary questions when losses are substantial Contact us for institutional recovery options or call (212) 363-7500.

Portfolio Impact Assessment

The lawsuit contends that throughout the Class Period, ZoomInfo's management projected confidence in sustained revenue growth, improving net revenue retention, and accelerating demand for its AI and Operations products. These representations allegedly induced institutional purchases at artificially inflated prices. When the Company disclosed deteriorating fundamentals on May 11, 2026, shares fell from $6.04 to $4.06, potentially creating significant mark-to-market losses across institutional portfolios with GTM exposure.

"Institutional investors play a critical role in securities class actions. Their participation as lead plaintiffs can drive stronger outcomes for the entire class and ensure that litigation is conducted with the rigor and oversight that significant investor losses demand." -- Joseph E. Levi, Esq.

Case Summary

The action asserts claims under Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5, as well as Section 20(a) controlling person liability. The complaint alleges that defendants concealed slowing growth in ZoomInfo's legacy seat-based subscription business, weakening downmarket customer retention, and the risk that customers were migrating to consumption-based models and developing internal AI alternatives, while publicly projecting confidence and issuing guidance that proved materially overstated.

Frequently Asked Questions About the GTM Lawsuit

Q: Who is eligible to join the GTM investor lawsuit? A: Investors who purchased GTM stock or securities between November 3, 2025 and May 11, 2026 and suffered financial losses may be eligible. Eligibility is based on purchase date and documented losses, not on whether you still hold the shares.

Q: How much did GTM stock drop? A: Shares fell approximately 33%, a decline of $1.98 per share, after ZoomInfo disclosed a sharp decline in its 2026 growth outlook and lowered full-year financial guidance. Investors who purchased shares during the Class Period at artificially inflated prices may be entitled to compensation.

Q: What is a lead plaintiff and why does it matter? A: A lead plaintiff is the investor appointed by the court to represent the entire class. Lead plaintiffs are typically investors with the largest documented losses. Being appointed does not increase individual recovery but gives direct oversight of how the case is run.

Q: What do GTM investors need to do right now? A: Gather brokerage records including purchase dates, share quantities, and prices paid. Contact Levi & Korsinsky for a free, no-obligation evaluation at [email protected] or (212) 363-7500. No immediate action is required to remain eligible as a class member.

Q: What does it cost me to participate? A: Nothing. Securities class actions are handled on a pure contingency basis. No upfront fees, no retainer, no out-of-pocket costs.

Q: What if I already sold my GTM shares -- can I still recover losses? A: Yes. Eligibility is based on when you purchased, not whether you still hold them. Investors who bought during the Class Period and sold at a loss may still participate.

Q: What if I missed the lead plaintiff deadline? A: The deadline applies only to investors seeking lead plaintiff appointment. Class members who miss it can still participate in any settlement or recovery.

Q: Has Levi & Korsinsky handled similar cases before? A: Yes, including securities class actions involving revenue inflation, earnings guidance fraud, dividend misrepresentation, and executive misconduct across numerous industries.

Original source text
NEW YORK, Aug. 17, 2026 (GLOBE NEWSWIRE) -- Leading securities law firm Bleichmar Fonti & Auld LLP announces that a class action lawsuit has been filed against ZoomInfo Technologies Inc.

District Court for the Western District of WashingtonAction: Contact BFA Law to discuss your rights
Investors have until August 24, 2026 to ask the Court to be appointed to lead the case.

SAN DIEGO, Aug. 14, 2026 (GLOBE NEWSWIRE) -- Robbins LLP reminds investors that a securities class action has been filed on behalf of all persons and entities that purchased or otherwise acquired ZoomInfo Technologies Inc. (NASDAQ: GTM) securities between November 3, 2025 and May 11, 2026, inclusive (the "Class Period").

The lawsuit alleges that ZoomInfo Technologies made materially false or misleading statements regarding its growth prospects, revenue outlook, customer retention, legacy software business, and ability to expand its artificial intelligence ("AI") products.

Investors who suffered losses during the Class Period may have legal rights and should be aware of the August 24, 2026 deadline to seek appointment as lead plaintiff.

Why Was ZoomInfo Technologies Sued?

The complaint alleges that ZoomInfo Technologies misled investors regarding the Company's expected growth and financial performance for fiscal year 2026.

According to the complaint, during the Class Period, defendants provided investors with positive information concerning:

ZoomInfo Technologies' projected revenue growth for fiscal year 2026;anticipated growth of the Company's legacy and emerging AI-driven products;the Company's core software business;expected improvement in net revenue retention; andZoomInfo Technologies' overall growth prospects. The complaint alleges that, at the same time, defendants failed to disclose material adverse information concerning:

slowing growth across ZoomInfo Technologies' business;weaknesses in its legacy seat-based subscription platforms;declining customer retention, particularly among customers in the Company's down-market segment;customer migration toward consumption-based pricing and usage models;customers developing or adopting their own AI-driven go-to-market solutions; andthe resulting risks to ZoomInfo Technologies' revenue growth and financial outlook. The lawsuit alleges that these omissions caused investors to purchase ZoomInfo Technologies securities at artificially inflated prices.

What Happened to ZoomInfo Technologies Stock?

According to the complaint, the alleged truth emerged on May 11, 2026, when ZoomInfo Technologies announced its financial results for the first quarter of 2026. The Company disclosed a significant deterioration in its growth outlook and reduced its full-year 2026 financial guidance. Following the disclosure, ZoomInfo Technologies' stock price fell to $4.06 per share on May 12, 2026.

The complaint alleges that the disclosure revealed that ZoomInfo Technologies' prior growth expectations were not supported by the Company's actual business trends, including challenges involving its legacy subscription products and customer retention.

Who May Be Eligible?

The proposed class includes investors who purchased or otherwise acquired ZoomInfo Technologies Inc. (NASDAQ: GTM) securities between November 3, 2025 and May 11, 2026.

If you purchased ZoomInfo Technologies securities during this period and suffered losses, you may have rights under the federal securities laws.

What Is a Lead Plaintiff?

The lead plaintiff is an investor appointed by the court to represent the interests of the proposed class throughout the litigation. Investors do not have to serve as lead plaintiff to potentially share in any future recovery if the lawsuit is successful.

The deadline to seek appointment as lead plaintiff is August 24, 2026.

On May 11, 2026, after markets closed, ZoomInfo allegedly disclosed the severity of these conditions when it announced sharply lowered full-year 2026 guidance, a realignment of its downmarket business, a workforce reduction of approximately 20%, and anticipated restructuring costs of approximately $45–60 million — news that allegedly caused the Company's stock to decline approximately 33% the following trading day.

Prodoscore Grew Email Open Rates 15% in a Year with ZoomInfo

The Irvine, California employee productivity software company replaced a smaller data vendor with ZoomInfo, cleaned up its contact data, and lifted email open rates by 15% over the following year.

VANCOUVER, Wash.--(BUSINESS WIRE)--ZoomInfo (NASDAQ: GTM), the all-in-one AI GTM platform, has reported that Prodoscore, an employee productivity software company based in Irvine, California, grew its email open rates by 15% in a single year after switching to ZoomInfo for cleaner, more accurate data, according to the company.

Prodoscore builds software that turns activity across a company's everyday tools into a single productivity score. To sell it, the revenue team has to reach the right people at the right accounts. For a while it could not. The company ran on a smaller data provider, and the technology and contact data was not accurate enough for its reps to trust.

The damage showed up in marketing's inbox. Campaigns kept bouncing. The same replies kept coming back: the contact had not worked there in two years, had moved into a new role, or could not be reached at all. Every bounce is a wasted send and a buyer never reached. For a small company selling into other businesses, dirty data is not an annoyance. It is pipeline that never forms.

Prodoscore moved off its previous vendor and consolidated on ZoomInfo. Cleaner, more accurate contact data meant fewer dead addresses and more messages that actually landed. A direct integration with Salesforce, the team's CRM, put verified records in front of reps inside the tools they already use. Website visitor identification turned anonymous traffic into named accounts. Buying signals showed which companies were researching relevant topics. Automated website chat and drip campaigns kept the outreach running on its own, and several vendors folded into one platform along the way.

The payoff was measurable. Email open rates rose 15% in the year after the switch, according to the company, as clean data cut the bounces that had dogged earlier campaigns. Prodoscore credits the accuracy of the data and the Salesforce integration for letting its reps work faster and perform at a higher level than before.

Accurate data has become the input the company's whole revenue motion runs on. Prodoscore describes ZoomInfo as the fuel for the engine that produces its revenue. The company now treats the platform as automation working quietly behind sales and marketing rather than a tool for one team.
