The appointments add three accomplished executives and investors with deep experience across technology and emerging markets, investment and capital allocation, building and scaling businesses, and public-company finance and governance. Timothy Adams is a seasoned financial executive and board director with more than 20 years of leadership experience across public and private technology companies. He currently serves as Chief Financial Officer of Validity Inc. and previously served as Chief Financial Officer of Rapid7, Inc., and BitSight Technologies, Inc. Adams also served on the Board of Directors of Model N, where he chaired the Audit Committee. Throughout his career, he has led and advised on IPOs, M&A transactions, capital raises, and strategic financings, bringing extensive experience in public-company governance, financial discipline, and investor relations. He holds a B.S. in Accounting from Murray State University, and an M.B.A. from Boston University.

Matthew Salzberg is a CEO, investor, and founder with extensive experience building, scaling, and transforming technology-enabled businesses. He is co-founder and Chairman of Unlimited, an alternative investment manager, and co-founder of Embark Veterinary and Coldcart. Salzberg founded Blue Apron in 2011 and served as CEO for its first six years, growing the company from an idea into a nationally recognized consumer brand with approximately $910 million in annual revenue and more than 5,000 employees. He led Blue Apron's 2017 initial public offering and later served as Chairman of its Board. Salzberg also founded venture capital firm Material, and previously served as CEO of Ambr Group. He holds an A.B. in Economics, summa cum laude, from Harvard College, and an M.B.A. from Harvard Business School.

Michael Thompson has served as Managing Partner of Reinvent Capital, a private investment fund focused on technology companies, since 2017. Previously, he founded and served as Managing Partner of BHR Capital, a New York-based hedge fund. Thompson has invested in and advised numerous innovative technology companies throughout his career, with particular experience across aerospace, advanced energy, emerging technologies, and AI applications in the physical world. He currently serves on the Boards of Directors of Joby Aviation, Oklo Inc. and American Banknote Corporation, and is an advisor to Xona Space Systems. Thompson holds a Bachelor of Business Administration in International Finance from the Honors Program at the University of Georgia.

, /PRNewswire/ -- Shutterstock, Inc. (NYSE: SSTK) (the "Company"), a family of brands delivering scalable creative and GenAI solutions to help customers fuel great work, today announced financial results for the second quarter ended June 30, 2026.

Commenting on the Company's performance, Rik Powell, the Company's Interim Chief Executive Officer and Chief Financial Officer, said, "Following the termination of our proposed merger, we have moved quickly to strengthen our balance sheet, reduce our cost structure, and sharpen our focus on the areas with the greatest potential and are approaching every aspect of the business with discipline and urgency. We have taken significant cost actions over the past 18 months that equate to over $70 million of annualized run-rate operating expense reductions and are targeting an additional $60 million in annualized run-rate operating expense reductions by the end of the year. These actions will give us greater optionality in our capital allocation strategy."

EARNINGS TELECONFERENCE INFORMATION

In light of the pending strategic update, the Company will no longer be hosting the conference call originally scheduled for August 6, 2026 or issuing guidance for the remainder of 2026.

Second Quarter 2026 highlights as compared to Second Quarter 2025:

     Financial Highlights

Revenues were $221.8 million compared to $267.0 million. Net loss was $155.9 million compared to net income of $29.4 million. Net loss includes a $163.4 million non-cash, after-tax goodwill impairment charge. Net loss per diluted common share was $4.25 compared to net income per diluted common share of $0.82. Adjusted net income was $30.0 million compared to $42.9 million. Adjusted net income per diluted common share was $0.82 compared to $1.19. Adjusted EBITDA was $65.1 million compared to $82.2 million. SECOND QUARTER RESULTS

Revenue

Second quarter revenue of $221.8 million decreased by $45.2 million or 17% as compared to the second quarter of 2025.

Revenue from our Content product offering decreased by $34.1 million, or 17%, as compared to the second quarter of 2025, to $165.7 million. The reduction in our Content revenue was driven primarily by weakness in new customer acquisition. Content revenue represented 75% of our total revenue in the second quarter of 2026.

Revenue generated from our Data, Distribution, and Services product offering decreased by $11.1 million, or 16%, as compared to the second quarter of 2025, to $56.1 million, and represented 25% of second quarter revenue in 2026. Revenue recognition in our data offering may vary from quarter-to-quarter based on the delivery timing of metadata licenses.

Net income and net income per diluted common share

Net income decreased by $185.4 million to a net loss of $155.9 million in the second quarter of 2026, compared to net income of $29.4 million for the second quarter of 2025. Net loss per diluted common share was $4.25, as compared to net income per diluted common share of $0.82 for the same period in 2025. In the second quarter of 2026, the Company recorded a non-cash goodwill impairment charge of $173.7 million resulting from the decline in the Company's fair value after the announcement of the terminated merger agreement. Additionally, the Company had further declines in revenue, with operating costs not declining at a similar rate, as well as $3.0 million of unrealized losses related to our investment in Meitu, Inc, $3.7 million of Merger related costs, $5.0 million of legal contingency expenses and $3.0 million of workforce optimizations expenses.

Adjusted net income and adjusted net income per diluted common share

Adjusted net income of $30.0 million in the second quarter of 2026 decreased by $12.9 million, compared to adjusted net income of $42.9 million for the second quarter of 2025, primarily due to the decline in revenue.

Adjusted net income per diluted common share was $0.82, compared to $1.19 for the second quarter of 2025.

Adjusted EBITDA

Adjusted EBITDA of $65.1 million for the second quarter of 2026 decreased by $17.1 million, or 21%, as compared to the second quarter of 2025, primarily due to the decline in revenue.

Net loss margin of 70.3% for the second quarter of 2026 decreased by 81.3%, as compared to net income margin of 11.0% in the second quarter of 2025. The adjusted EBITDA margin of 29.3% for the second quarter of 2026 decreased by 1.5%, as compared to 30.8% in the second quarter of 2025.

SECOND QUARTER LIQUIDITY

Our cash and cash equivalents decreased by $29.3 million to $133.2 million at June 30, 2026, as compared with $162.5 million as of March 31, 2026. This was driven by $0.6 million of net cash from operating activities, including a $35.0 million payment for the settlement of the FTC's civil investigative demand on the Company's subscription disclosure and enrollment and cancellation practices. In addition, the Company had $18.5 million of net cash used in financing activities and $10.1 million of net cash used in investing activities.

Net cash from operating activities was driven by the $35.0 million payment to the FTC. This was offset by cash generation from our business operations and changes in the timing of cash collections from our customers and payments pertaining to operating expenses. In addition, cash flows for the three months ended June 30, 2026 were unfavorably impacted by $3.0 million of expenses related to the Getty Images proposed merger.

Cash used in investing activities for the three months ended June 30, 2026 consisted of $10.1 million related to capital expenditures, $0.1 million of content acquisition, partially offset by $0.1 million related to the receipt of the Giphy Retention Compensation, as reimbursed by the Giphy seller.

Cash used in financing activities for the three months ended June 30, 2026 consisted of $13.2 million related to the payment of the quarterly cash dividend, $4.5 million paid in settlement of tax withholding obligations related to employee stock-based compensation awards, and $0.8 million used for the repayment of our credit facility.

Adjusted free cash flow was $28.5 million for the second quarter of 2026, an increase of $11.0 million from the second quarter of 2025.

Accordingly, the metrics include Subscribers, Subscriber revenue, and Average revenue per customer from Backgrid beginning February 2025. 2025 metrics include the counts and revenues from Envato, which was acquired in July 2024.

(4) Paid downloads is the number of downloads that our customers make in a given period of our content. Paid downloads exclude content related to our Studios business, downloads of content that are offered to customers for no charge, including our free trials and metadata delivered through our data deal offering.

NON-GAAP FINANCIAL MEASURES

To supplement Shutterstock's consolidated financial statements presented in accordance with the accounting principles generally accepted in the United States, or GAAP, Shutterstock's management considers certain financial measures that are not prepared in accordance with GAAP, collectively referred to as non-GAAP financial measures, including adjusted EBITDA, adjusted EBITDA margin, adjusted net income, adjusted net income per diluted share, revenue growth (including by distribution channel) on a constant currency basis (expressed as a percentage), and adjusted free cash flow.

Shutterstock defines adjusted EBITDA as net income adjusted for depreciation and amortization, non-cash equity-based compensation, Giphy Retention Compensation Expense - non-recurring, foreign currency transaction gains and losses, severance costs associated with strategic workforce optimizations, goodwill impairment, impairment loss on long-term investment, impairment of lease assets, unrealized losses / gains on investments, legal contingencies, interest income and expense, income taxes and Merger related costs; adjusted EBITDA margin as the ratio of adjusted EBITDA to revenue; adjusted net income as net income adjusted for the impact of non-cash equity-based compensation, amortization of acquisition-related intangible assets, Giphy Retention Compensation Expense - non-recurring, severance costs associated with strategic workforce optimizations (reported in Other), unrealized losses / gains on investments (reported in Other), goodwill impairment, impairment loss on long-term investment, legal contingencies, Merger related costs and the estimated tax impact of such adjustments; adjusted net income per diluted common share as adjusted net income divided by weighted average diluted shares; revenue growth (including by product offering) on a constant currency basis (expressed as a percentage) as the increase in current period revenues over prior period revenues, utilizing fixed exchange rates for translating foreign currency revenues for all periods presented in the comparison; and adjusted free cash flow as net cash provided by operating activities, adjusted for capital expenditures, content acquisition, cash received related to Giphy Retention Compensation in connection with the acquisition of Giphy, cash paid for the settlement of the FTC investigation, and cash paid for costs related to the Getty Images merger.

The expense associated with the Giphy Retention Compensation related to (i) the one-time employment inducement bonuses and (ii) the vesting of the cash value of unvested Meta equity awards held by the employees prior to closing, which are reflected in operating expenses (together, the "Giphy Retention Compensation Expense - non-recurring"), are required payments in accordance with the terms of the acquisition. Meta's sale of Giphy was directed by the United Kingdom Competition and Markets Authority (the "CMA") and accordingly, the terms of the acquisition were subject to CMA preapproval. Management considers the operating expense associated with these required payments to be unusual and non-recurring in nature. The Giphy Retention Compensation Expense - non-recurring is not considered an ongoing expense necessary to operate the Company's business. Therefore, such expenses have been included in the below adjustments for calculating adjusted EBITDA, adjusted EBITDA margin, adjusted net income and adjusted net income per diluted common share.

These figures have not been calculated in accordance with GAAP and should be considered only in addition to results prepared in accordance with GAAP and should not be considered as a substitute for, or superior to, GAAP results. Shutterstock cautions investors that non-GAAP financial measures are not based on any standardized methodology prescribed by GAAP and are not necessarily comparable to similarly-titled measures presented by other companies.

Shutterstock's management believes that adjusted EBITDA, adjusted EBITDA margin, adjusted net income, adjusted net income per diluted common share, revenue growth (including by product offering) on a constant currency basis (expressed as a percentage) and adjusted free cash flow are useful to investors because these measures enable investors to analyze Shutterstock's operating results on the same basis as that used by management. Additionally, management believes that adjusted EBITDA, adjusted EBITDA margin, adjusted net income and adjusted net income per diluted common share provide useful information to investors about the performance of the Company's overall business because such measures eliminate the effects of unusual or other infrequent charges that are not directly attributable to Shutterstock's underlying operating performance; and revenue growth (including by product offering) on a constant currency basis (expressed as a percentage) provides useful information to investors by eliminating the effect of foreign currency fluctuations that are not directly attributable to Shutterstock's operating performance. Management also believes that providing these non-GAAP financial measures enhances the comparability for investors in assessing Shutterstock's financial reporting. Shutterstock's management believes that adjusted free cash flow is useful for investors because it provides them with an important perspective on the cash available for strategic measures, after making necessary capital investments in internal-use software and website development costs to support the Company's ongoing business operations, and provides them with the same measures that management uses as the basis for making resource allocation decisions.

Shutterstock's management also uses the non-GAAP financial measures adjusted EBITDA, adjusted EBITDA margin, adjusted net income, adjusted net income per diluted common share, revenue growth (including by product offering) on a constant currency basis (expressed as a percentage), and adjusted free cash flow, in conjunction with GAAP financial measures, as an integral part of managing the business and to, among other things: (i) monitor and evaluate the performance of Shutterstock's business operations, financial performance and overall liquidity; (ii) facilitate management's internal comparisons of the historical operating performance of its business operations; (iii) facilitate management's external comparisons of the results of its overall business to the historical operating performance of other companies that may have different capital structures and debt levels; (iv) review and assess the operating performance of Shutterstock's management team and, together with other operational objectives, as a measure in evaluating employee compensation; (v) analyze and evaluate financial and strategic planning decisions regarding future operating investments; and (vi) plan for and prepare future annual operating budgets and determine appropriate levels of operating investments.

(2) Subscriber revenue is defined as the revenue generated from subscribers during the period.

(3) Average revenue per customer is calculated by dividing total revenue for the last twelve-month period by customers. Customers is defined as total active, paying customers that contributed to total revenue over the last twelve-month period. 

(4) Paid downloads is the number of downloads that our customers make in a given period of our content. Paid downloads exclude content related to our Studios business, downloads of content that are offered to customers for no charge, including our free trials and metadata delivered through our data deal offering.

(5) Subscribers and Subscriber Revenue are presented as if Envato was acquired as of the beginning of the period presented. Average revenue per customer includes Envato historical results over the last twelve month period.

The Board has appointed Rik Powell, the Company's Chief Financial Officer, to serve as Interim Chief Executive Officer, effective immediately. Powell has served as the Company's Chief Financial Officer since November 2024 and started with the Company in June 2024 as Senior Vice President, Finance and Investor Relations. He will continue to serve as the Company's CFO during this transition.

The Company is grateful for Paul Hennessy's contributions to Shutterstock over the last 4 years as CEO and for the 11 years he has been a member of the Board of Directors. Shares of Shutterstock (SSTK 29.03%) plummeted to an all-time low on Wednesday. The stock was down by 29% at 2:45 p.m. ET, as Getty Images (GETY 10.46%) walked away from the Shutterstock merger it announced in January.

The U.K. said, "Not so fast, mate" The deal didn't survive regulatory requirements.

The British Competition and Markets Authority asked the companies to exclude Shutterstock's editorial services from the merger. Including it would result in a "substantial lessening of competition" in the field of U.K. journalism, according to the regulatory body.

The Authority recently cleared this merger on the condition of spinning out Shutterstock's editorial business. That was a deal-breaker for Getty, whose Board of Directors unanimously canceled the merger. Getty will pay down $628 million of debt notes, which were intended to finance the Shutterstock deal.

Getty's stock also fell on the news, dipping as much as 10.5% around 11 a.m. ET. Together, the two image service stocks burned roughly $200 million of investor value today.

Is there a silver lining here? So where does this leave investors? Two jilted image companies, both trading at bargain-bin valuations, both bleeding red ink on the bottom line, both in the microcap category since 2024.

The merger would have created cost synergies and combined two struggling competitors. Without it, each company faces the generative AI threat alone. Shutterstock has been building AI tools and licensing deals; Getty has pursued similar strategies. Whether either can stabilize on its own remains uncertain. Hitting the panic button due to a single British carve-out requirement looks like a bad idea.

The valuations look tempting on paper, with both stocks trading at price to free cash flow ratios below 6. But "cheap" and "good investment" aren't always the same picture. I'm not drooling over Shutterstock or Getty shares in today's dip.

In a Tuesday regulatory filing, Getty (GETY) that the U.K.'s Competition and Markets Authority determined the new Getty would be required to sell off Shutterstock's (SSTK) editorial business to get the deal approved. Getty said its board decided not to sell the division and will abandon its merger plans.1

Shutterstock shares plummeted 32% in premarket trading to $9.40 following the news, which would be their lowest level since their 2012 debut. Getty shares were down about 4% to 83 cents.

Why This Matters to Investors Wednesday's tumble suggests investors are disappointed by the move and less confident in the companies individually than they were about the combined firm.

The companies first announced the deal in January 2025, calling the transaction a merger of equals that would see Shutterstock shareholders get the option to receive cash, shares of the new Getty, or a combination of the two. At the time, the companies said the deal would allow the combined company to invest more in new offerings like 3D imagery and generative AI tools. The U.S. Department of Justice cleared the deal to proceed back in February.2

Since the day the deal was announced, both Getty and Shutterstock shares have lost nearly 70% of their value amid worries that the spread of AI image creation tools could reduce demand for stock photos in the long term. Getty also said Tuesday it will retain a financial advisor to advise the company on "strategic financing alternatives" the company could pursue since the deal has been dropped.

Getty declined to comment on the board's decision, and Shutterstock did not respond to a request for comment in time for publication.

Shutterstock SSTK shares plunged more than 30% in premarket trading on Wednesday after Getty Images abandoned its planned $3.7 billion merger with the company, ending a deal that was expected to create one of the world's largest licensed visual content providers.

Getty Images shares were also lower, falling more than 5% in premarket trading following the announcement.

The companies said the merger was terminated after Britain's Competition and Markets Authority (CMA) required Shutterstock to divest its editorial business as a condition for approving the transaction.

Getty and Shutterstock first announced the all-stock merger in January last year, positioning the combination as a way to strengthen their businesses amid rapid changes brought about by generative artificial intelligence.

The CMA granted conditional approval in May but required Shutterstock to sell its editorial division after concluding that the combined company would reduce competition in supplying editorial images to UK media organizations.

The regulator said Shutterstock was one of the few meaningful competitors to Getty in the editorial content market and warned that the merger could reduce customer choice and ultimately lead to higher prices.

Getty said in a regulatory filing on Tuesday that it would officially terminate the merger after the extended July 6 deadline.

The company also said it plans to redeem its 10.5% senior secured notes due in 2030 and retain a financial adviser to evaluate strategic financing alternatives.

Getty, which competes with Reuters and The Associated Press in supplying editorial photographs and videos, said its board would also explore broader financing options.

The merger had been pitched as a way to generate annual operating and capital expense savings of between $150 million and $200 million while strengthening the companies' ability to compete with technology firms developing AI-powered image generation tools.

The combined company was expected to have greater scale to respond to rapid changes in the visual content industry as artificial intelligence increasingly transforms how images are created.

However, analysts questioned whether the merger would have been enough to offset the structural challenges facing the sector.

"We are not convinced that scale would have done more than stave off competitive pressures for a little while longer, but without the scale that the merger would bring, the outlook for each looks even more difficult," said Luke Stillman, managing director at trend advisory firm Madison and Wall.

Both companies have faced growing competition from AI image generators that allow users to create visual content more cheaply and quickly than purchasing licensed images.

The failed merger comes at a difficult time for Shutterstock.

In April, the company missed Wall Street's first-quarter revenue expectations after sales fell 17.9% year over year to $199.2 million, reflecting weaker new customer acquisition.

Investor sentiment had improved earlier this month after Getty announced a display agreement with OpenAI, allowing Getty Images' content to be displayed within ChatGPT to enhance visual responses.

The partnership lifted Shutterstock shares by around 20% on expectations that closer ties between Getty and OpenAI could ultimately benefit the planned merger.

The Russell 2000 is explicitly constructed as the benchmark for the U.S. small-cap segment. It consists of the smallest 2,000 companies (by market capitalization) in the broader Russell 3000 Index, which covers roughly 98% of the investable U.S. equity market.

Investors have rotated toward smaller companies as optimism builds around a resilient economy. While the prospect of lower interest rates may have to wait until next year, as inflation has returned due to rising energy prices and supply chain issues, growing unease about how concentrated the market is in a handful of giant tech stocks has led to a change of direction, and the shift has paid off; small-caps have punched above their weight for stretches this year, at times stringing together consecutive sessions of outperforming the S&P 500 and touching record highs, even as large-cap indexes whipsawed on the back of turbulence in the tech sector.

We screened the Russell 2000 index, looking for the highest-yielding stocks. Still, we purposely avoided REITs, MLPs, BDCs, and royalty trusts, which often carry even higher yields, as many of those investments require a K-1, which can prove troublesome come tax time.

Commenting on the Company's performance, Paul Hennessy, the Company's Chief Executive Officer, said, "During the first quarter, we maintained a strong focus on operational discipline and cost management, delivering $43 million in Adjusted EBITDA in the face of ongoing industry headwinds. While first quarter revenue was impacted by a slower start in our Content business than expected and the timing of revenue recognition associated with data licensing deals, we continue to invest in areas that will drive long-term growth and remain committed to simplifying our product offerings to better meet our customers' needs."

He continued, "We remain highly confident in the long-term trajectory of our Data Licensing and AI Services division. With a robust pipeline of major opportunities currently in progress, we are making the necessary investments today to expand our commercial execution and position Shutterstock as the premier, go-to provider for end-to-end AI model training data and adjacent services."

With regards to the pending merger with Getty Images, Mr. Hennessy said, "Like Getty Images, we disagree with the CMA's most recent assessment and do not believe the merger would substantially lessen competition in Editorial content in the UK.  We remain confident in the merits of the merger and will continue working closely with Getty Images and the CMA toward closing."

MERGER AGREEMENT UPDATE WITH GETTY IMAGES

The Company has been working diligently towards regulator Merger approval.

On February 23, 2026, the Company announced the DOJ had concluded its review of the Merger and the applicable waiting period under the Hart-Scott-Rodino Antitrust ("HSR") Act had expired, without conditions. As a result, the Merger condition under the HSR Act has been satisfied. On February 19, 2026, the Company announced that the U.K. Competition and Markets Authority ("CMA") issued its Interim Report and provisionally concluded the Merger is not expected to result in competition issues in the global stock content market, but that the Merger may result in a "substantial lessening of competition" ("SLC") in the U.K. editorial market; and On April 16, 2026, the CMA published the summary of its Interim Report on Remedies ("IRR"), following its interim report of February 19, 2026 which provisionally found that the Merger could be expected to lead to an SLC in the supply of editorial content in the U.K. The IRR states that the remedy proposal offered by Getty Images was unlikely to address the provisional SLC it had identified but that a sale of Shutterstock's Rex Features, Backgrid and Splash News businesses would likely be acceptable. The CMA is now further consulting on that proposition including its view that Rex Features Backgrid and Splash News could be sold to different buyers. The statutory deadline for the CMA to publish its final report is June 14, 2026.  The Company remains committed to the proposed Merger and will continue to engage with the CMA, including on its provisional SLC finding, and work with Getty Images to expeditiously secure the necessary clearances on its Editorial business.

In 2025, global Editorial revenue was $32.7 million, of which $11.7 million related to our Rex Features related content and Shutterstock brands and $21.0 million was from our Backgrid and Splash branded content. In addition, our 2025 Editorial revenue for customers in the U.K. was $10.6 million, of which $5.4 million related to our Rex Features and Shutterstock brands and $5.2 million was from our Backgrid and Splash branded content.

First Quarter 2026 highlights as compared to First Quarter 2025:

     Financial Highlights

Revenues were $199.2 million compared to $242.6 million. Net loss was $47.6 million compared to net income of $18.7 million. Net loss per diluted common share was $1.34 compared to net income per diluted common share of $0.53. Adjusted net income was $20.7 million compared to $36.3 million. Adjusted net income per diluted common share was $0.58 compared to $1.03. Adjusted EBITDA was $42.7 million compared to $63.4 million. FIRST QUARTER RESULTS

Revenue

First quarter revenue of $199.2 million decreased by $43.5 million or 18% as compared to the first quarter of 2025.

Revenue from our Content product offering decreased by $24.8 million, or 12%, as compared to the first quarter of 2025, to $178.1 million. The reduction in our Content revenue was driven primarily by weakness in new customer acquisition. Content revenue represented 89% of our total revenue in the first quarter of 2026.

Revenue generated from our Data, Distribution, and Services product offering decreased by $18.7 million, or 47%, as compared to the first quarter of 2025, to $21.0 million, and represented 11% of first quarter revenue in 2026. Revenue recognition in our data offering may vary from quarter-to-quarter based on the delivery timing of metadata licenses.

Net income and net income per diluted common share

Net income decreased by $66.3 million to a net loss of $47.6 million in the first quarter of 2026, compared to net income of $18.7 million for the first quarter of 2025. Net loss per diluted common share was $1.34, as compared to net income per diluted common share of $0.53 for the same period in 2025. These increased losses were attributable to the decline in revenue with operating costs not declining at a similar rate, $15.3 million of unrealized losses related to our investment in Meitu, Inc, $28.0 million of legal contingency expenses and $6.1 million of workforce optimizations expenses.

Adjusted net income and adjusted net income per diluted common share

Adjusted net income of $20.7 million in the first quarter of 2026 decreased by $15.6 million, compared to adjusted net income of $36.3 million for the first quarter of 2025, primarily due to the decline in revenue.

Adjusted net income per diluted common share was $0.58 as compared to $1.03 for the first quarter of 2025.

Adjusted EBITDA

Adjusted EBITDA of $42.7 million for the first quarter of 2026 decreased by $20.7 million, or 33%, as compared to the first quarter of 2025, primarily due to the decline in revenue.

Net loss margin of 23.9% for the first quarter of 2026 decreased by 31.6%, as compared to net income margin of 7.7% in the first quarter of 2025. The adjusted EBITDA margin of 21.4% for the first quarter of 2026 decreased by 4.7%, as compared to 26.1% in the first quarter of 2025.

FIRST QUARTER LIQUIDITY

Our cash and cash equivalents decreased by $15.7 million to $162.5 million at March 31, 2026, as compared with $178.2 million as of December 31, 2025. This decrease was driven by $17.4 million of net cash provided by our operating activities, partially offset by $20.0 million of net cash used in financing activities and $11.1 million of net cash used in investing activities.

Net cash provided by our operating activities was driven by our operating income and changes in the timing of cash collections from our customers and payments pertaining to operating expenses, offset by payments of year-end bonuses and commissions. In addition, cash flows for the three months ended March 31, 2026 were unfavorably impacted by $7.2 million of expenses related to the Getty Images proposed merger.

Cash used in investing activities for the three months ended March 31, 2026 consisted of $11.8 million related to capital expenditures and content acquisition, partially offset by $0.4 million related to the receipt of the Giphy Retention Compensation, as reimbursed by the Giphy seller.

Cash used in financing activities for the three months ended March 31, 2026 consisted of $12.8 million related to the payment of the quarterly cash dividend, $6.4 million paid in settlement of tax withholding obligations related to employee stock-based compensation awards, and $0.8 million used for the repayment of our credit facility.

Adjusted free cash flow was $13.1 million for the first quarter of 2026, an decrease of $10.3 million from the first quarter of 2025.

QUARTERLY CASH DIVIDEND

During the three months ended March 31, 2026, the Company declared and paid a cash dividend of $0.36 per common share or $12.8 million.

On April 20, 2026, the Board of Directors declared a dividend of $0.36 per share of outstanding common stock, payable on June 18, 2026 to stockholders of record at the close of business on June 4, 2026.

Accordingly, the metrics include Subscribers, Subscriber revenue, and Average revenue per customer from Backgrid beginning February 2025. 2025 metrics include the counts and revenues from Envato, which was acquired in July 22, 2024.

(1) Subscribers is defined as those customers who purchase one or more of our monthly recurring products for a continuous period of at least three months, measured as of the end of the reporting period.

(2) Subscriber revenue is defined as the revenue generated from subscribers during the period.

(3) Average revenue per customer is calculated by dividing total revenue for the last twelve-month period by customers. Customers is defined as total active, paying customers that contributed to total revenue over the last twelve-month period. 

(4) Paid downloads is the number of downloads that our customers make in a given period of our content. Paid downloads exclude content related to our Studios business, downloads of content that are offered to customers for no charge, including our free trials and metadata delivered through our data deal offering.

NON-GAAP FINANCIAL MEASURES

To supplement Shutterstock's consolidated financial statements presented in accordance with the accounting principles generally accepted in the United States, or GAAP, Shutterstock's management considers certain financial measures that are not prepared in accordance with GAAP, collectively referred to as non-GAAP financial measures, including adjusted EBITDA, adjusted EBITDA margin, adjusted net income, adjusted net income per diluted share, revenue growth (including by distribution channel) on a constant currency basis (expressed as a percentage), billings and adjusted free cash flow.

Shutterstock defines adjusted EBITDA as net income adjusted for depreciation and amortization, non-cash equity-based compensation, Giphy Retention Compensation Expense - non-recurring, foreign currency transaction gains and losses, severance costs associated with strategic workforce optimizations, impairment loss on long-term investment, impairment of lease assets, unrealized losses / gains on investments, legal contingencies, interest income and expense, income taxes and Merger related costs; adjusted EBITDA margin as the ratio of adjusted EBITDA to revenue; adjusted net income as net income adjusted for the impact of non-cash equity-based compensation, amortization of acquisition-related intangible assets, Giphy Retention Compensation Expense - non-recurring, severance costs associated with strategic workforce optimizations (reported in Other), unrealized losses / gains on investments (reported in Other), impairment loss on long-term investment, impairment of lease assets, legal contingencies Merger related costs and the estimated tax impact of such adjustments; adjusted net income per diluted common share as adjusted net income divided by weighted average diluted shares; revenue growth (including by product offering) on a constant currency basis (expressed as a percentage) as the increase in current period revenues over prior period revenues, utilizing fixed exchange rates for translating foreign currency revenues for all periods in the comparison; billings as revenue adjusted for the change in deferred revenue, excluding deferred revenue acquired through business combinations; and adjusted free cash flow as net cash provided by operating activities, adjusted for capital expenditures, content acquisition, cash received related to Giphy Retention Compensation in connection with the acquisition of Giphy, and cash paid for costs related to the Getty Images merger.

The expense associated with the Giphy Retention Compensation related to (i) the one-time employment inducement bonuses and (ii) the vesting of the cash value of unvested Meta equity awards held by the employees prior to closing, which are reflected in operating expenses (together, the "Giphy Retention Compensation Expense - non-recurring"), are required payments in accordance with the terms of the acquisition. Meta's sale of Giphy was directed by the United Kingdom Competition and Markets Authority (the "CMA") and accordingly, the terms of the acquisition were subject to CMA preapproval. Management considers the operating expense associated with these required payments to be unusual and non-recurring in nature. The Giphy Retention Compensation Expense - non-recurring is not considered an ongoing expense necessary to operate the Company's business. Therefore, such expenses have been included in the below adjustments for calculating adjusted EBITDA, adjusted EBITDA margin, adjusted net income and adjusted net income per diluted common share. For the three months ended March 31, 2026, the Company also incurred $3.3 million of Giphy Retention Compensation expense related to recurring employee costs, which is included in operating expenses, and are not included in the below adjustments for calculating adjusted EBITDA, adjusted EBITDA margin, adjusted net income and adjusted net income per diluted common share.

These figures have not been calculated in accordance with GAAP and should be considered only in addition to results prepared in accordance with GAAP and should not be considered as a substitute for, or superior to, GAAP results. Shutterstock cautions investors that non-GAAP financial measures are not based on any standardized methodology prescribed by GAAP and are not necessarily comparable to similarly-titled measures presented by other companies.

Shutterstock's management believes that adjusted EBITDA, adjusted EBITDA margin, adjusted net income, adjusted net income per diluted common share, revenue growth (including by product offering) on a constant currency basis (expressed as a percentage), billings and adjusted free cash flow are useful to investors because these measures enable investors to analyze Shutterstock's operating results on the same basis as that used by management. Additionally, management believes that adjusted EBITDA, adjusted EBITDA margin, adjusted net income and adjusted net income per diluted common share provide useful information to investors about the performance of the Company's overall business because such measures eliminate the effects of unusual or other infrequent charges that are not directly attributable to Shutterstock's underlying operating performance; and revenue growth (including by product offering) on a constant currency basis (expressed as a percentage) provides useful information to investors by eliminating the effect of foreign currency fluctuations that are not directly attributable to Shutterstock's operating performance. Management also believes that providing these non-GAAP financial measures enhances the comparability for investors in assessing Shutterstock's financial reporting. Shutterstock's management believes that adjusted free cash flow is useful for investors because it provides them with an important perspective on the cash available for strategic measures, after making necessary capital investments in internal-use software and website development costs to support the Company's ongoing business operations and provides them with the same measures that management uses as the basis for making resource allocation decisions.

Shutterstock's management also uses the non-GAAP financial measures adjusted EBITDA, adjusted EBITDA margin, adjusted net income, adjusted net income per diluted common share, revenue growth (including by product offering) on a constant currency basis (expressed as a percentage), billings and adjusted free cash flow, in conjunction with GAAP financial measures, as an integral part of managing the business and to, among other things: (i) monitor and evaluate the performance of Shutterstock's business operations, financial performance and overall liquidity; (ii) facilitate management's internal comparisons of the historical operating performance of its business operations; (iii) facilitate management's external comparisons of the results of its overall business to the historical operating performance of other companies that may have different capital structures and debt levels; (iv) review and assess the operating performance of Shutterstock's management team and, together with other operational objectives, as a measure in evaluating employee compensation; (v) analyze and evaluate financial and strategic planning decisions regarding future operating investments; and (vi) plan for and prepare future annual operating budgets and determine appropriate levels of operating investments.

Previously Announced Merger Agreement with Getty Images

On January 7, 2025, Shutterstock announced that it entered into a merger agreement with Getty Images to combine in a merger of equals transaction, creating a premier visual content company. The transaction is subject to the satisfaction of customary closing conditions, including receipt of required regulatory approvals. As previously announced, a majority of Shutterstock stockholders approved the adoption of the merger agreement at a special meeting of stockholders held on June 10, 2025.

Shutterstock (SSTK - Free Report) came out with quarterly earnings of $0.58 per share, missing the Zacks Consensus Estimate of $1.12 per share. This compares to earnings of $1.03 per share a year ago. These figures are adjusted for non-recurring items.

This quarterly report represents an earnings surprise of -48.21%. A quarter ago, it was expected that this online marketplace for royalty-free images and videos would post earnings of $1.05 per share when it actually produced earnings of $0.67, delivering a surprise of -36.19%.

Over the last four quarters, the company has not been able to surpass consensus EPS estimates.

Shutterstock, which belongs to the Zacks Internet - Content industry, posted revenues of $199.17 million for the quarter ended March 2026, missing the Zacks Consensus Estimate by 20.89%. CompaniesMay 15 (Reuters) - Britain's competition regulator ​on Friday said it would clear ‌Getty Images' (GETY.N), opens new tab proposed $3.7 billion merger with Shutterstock (SSTK.N), opens new tab if the latter sells its editorial arm to address ​concerns around news content supply in ​the country.

The decision follows an in-depth investigation launched in ⁠November by the UK's Competition and ​Markets Authority (CMA) after initial remedies offered by ​the U.S.-based companies had failed to address the watchdog's concerns.

Getty Images and Shutterstock did not immediately respond ​to requests for comment. The companies' stocks ​were up 3.8% and 1.1%, respectively, in U.S. premarket ‌trading.

The ⁠CMA on Friday said the companies had since offered to divest Shutterstock's global editorial business, home to brands such as Backgrid ​and Splash, ​which they ⁠described as non-essential to their core operations.

The regulator's independent inquiry ​group found that the editorial business, ​if ⁠not sold, would reduce choice for UK media outlets and could ultimately raise prices for ⁠customers , ​saying Shutterstock is one ​of the "few meaningful" rivals to Getty.

(NYSE:FDX) is spinning off FedExFreight Holding in a transaction expected to be completed June 1. Post spin-off, the parent FedEx will remain in the S&P 500 and 100. EPAM Systems is more representative of the small-cap market space. Shutterstock is anticipated to be acquired in a deal that is expected to close soon. Dave Inc. (NASD: DAVE) will replace American Woodmark Corp. (NASD: AMWD) in the S&P SmallCap 600 effective prior to the opening of trading on Monday, June 1. S&P SmallCap 600 constituent MasterBrand Inc. (NYSE: MBC) is acquiring American Woodmark in a deal expected to close May 29, pending final closing conditions.
