CompaniesMUNICH, March 20 (Reuters) - U.S. packaging company Silgan Holdings (SLGN.N), opens new tab has signalled interest ​in taking over German medical packaging maker ‌Gerresheimer <GXIG.DE, opens new tab, according to two sources familiar with the matter.

Silgan is working with advisers on the approach that could value ​Gerresheimer at 41 euros per share, one source ​said, cautioning that there is no certainty ⁠there will be a bid and that a ​transaction will be completed.

Gerresheimer declined to comment.

Silgan was ​not immediately available for comment.

Gerresheimer shares rose 6.7% following the news to trade at 18.9 euros.

Gerresheimer, worth about 600 million euros ($694 million), ​has seen its shares drop more than ​80% from its 2023 peak and the stock is down ‌37% ⁠since the start of the year.

The company said in late February that Germany's financial regulator BaFin is widening a probe into its financial statements, adding pressure ​on the ​medical products ⁠maker as it grapples with accounting issues and a plunging share price.

The Duesseldorf-based ​company held talks last year with ​private equity ⁠investors over a potential sale, but the conversations ended without an agreement.

CompaniesMUNICH, April 17 (Reuters) - German medical packaging maker Gerresheimer (GXIG.DE), opens new tab ​has rejected a takeover bid ‌from its U.S. rival Silgan (SLGN.N), opens new tab, three sources familiar with the situation told Reuters.

There are ​no longer any talks between ​the two companies, according to the ⁠sources.

Shares in Gerresheimer were down 5.4% ​on the news before paring losses ​and swinging slightly into positive territory.

One source said that Gerresheimer wants to focus for now ​on resolving its accounting problems ​and selling its U.S. subsidiary Centor.

Reuters reported in March ‌that ⁠Silgan had signalled an interest in taking over Gerresheimer with a non-binding offer of 41 euros ($48.31) per share, ​more than ​double the ⁠current share price.

A Gerresheimer spokesperson said the company does ​not comment on market rumours. ​Silgan ⁠did not respond to a request for comment.

The Metal Containers segment’s revenues improved 15% year over year to $724.9 million due to improved price/mix resulting from contractual pass-through of higher raw material and other manufacturing costs and higher volumes. The segment’s adjusted EBITDA was $69.8 million compared with $68.8 million in the prior-year quarter. Adjusted EBIT edged up 0.4% to $49.8 million from $49.6 million, driven by higher volumes, partly offset by weaker pricing and product mix in certain markets.

In the Custom Containers segment, revenues totaled $151.1 million, down 9.6% from $167.2 million in the year-ago quarter, primarily due to lower volumes. Volumes bore the impact of the company’s decision to exit businesses with lower margins in 2025 as part of Silgan’s footprint optimization plans. The segment reported an adjusted EBITDA of $29.7 million, down from the prior-year quarter’s $33.3 million. Segment adjusted EBIT declined to $21.7 million from $24.6 million, mainly due to lower sales volumes.

SLGN’s Cash Flow & Cash PositionThe company had cash and cash equivalents of $435.4 million at the end of the first quarter of 2026, compared with $353 million at the end of the first quarter of 2025.
