GameStop just rewrote the terms of a billion-dollar note exchange overnight, and the stock is responding, but the earnings story behind the move is more complicated than the headline gain suggests.

The dilution overhang that hovered over GameStop since it first announced a convertible note exchange this month is off the table this morning. GameStop (NYSE:GME | GME Price Prediction) stock is up 4% to $18.52 after the company amended its exchange agreements to fix the total share count and pay part of the consideration in cash.

Meanwhile, Roblox (NYSE:RBLX) stock is down 1% to $38.12 as investor-alert activity continues to pressure sentiment, and Take-Two Interactive (NASDAQ:TTWO) stock is up 0.1% to $235.63 ahead of its Grand Theft Auto VI launch.

The SPDR S&P 500 ETF Trust (NYSEARCA:SPY) is down 0.36% to $766.57, so this is a GameStop-specific repricing rather than a sector bid. The video game group isn’t moving together today.

Note Exchange Caps the Share Count GameStop amended its exchange agreements covering approximately $1.4 billion aggregate principal of 0.00% convertible senior notes due 2030 and 2032. As originally structured, the exchange was to settle entirely in Class A common stock, with the share count based in part on a volume-weighted average price over a 35 trading day reference period that began August 3, 2026. The amendment terminates the remainder of that reference period.

Under the revised terms, noteholders will receive roughly 55.5 million shares, or 73% of the consideration, and roughly $358.4 million in cash, or 27%, which GameStop expects to fund from cash on hand. No additional shares are issuable in respect of the exchange, fixing the total share count.

After closing, roughly $2.8 billion of notes will remain outstanding, split between roughly $1.1 billion due 2030 and $1.7 billion due 2032. GameStop expects the exchange to close on or about September 3, 2026.

Preliminary Q2 Shows an Investment Gain Doing the Heavy Lifting GameStop also released preliminary results for the second quarter, covering the 13 weeks ended August 1, 2026. Net sales are expected in the range of $780 million to $800 million, against $972.2 million a year earlier. The retailer attributes the decline to the prior-year launch of the Nintendo Switch 2, planned store closures, and the divestiture of its France operations.

Operating income is expected in the range of $150 million to $170 million, against $66.4 million, with net income between $290 million and $310 million, against $168.6 million. GameStop’s net income includes roughly $238 million of net gains tied to GameStop’s eBay derivative asset and equity investment, partially offset by a loss of roughly $75 million on digital assets and related receivables. Cash, cash equivalents and marketable securities are expected between $5.05 billion and $5.07 billion, against $8.694 billion.

GameStop’s position in eBay (NASDAQ:EBAY) anchors the profit line. The retailer held roughly 43.4 million eBay shares with a fair value near $4.947 billion as of August 1. GameStop CEO Ryan Cohen made an unsolicited $56 billion offer for eBay earlier this year, which eBay rejected as “neither credible nor attractive,” per The Wall Street Journal, after GameStop disclosed a 7.78% stake in a May SEC filing.

Peers Show the Video Game Group Isn’t Moving Together Through Friday’s close, GameStop stock was down 11% year to date (YTD), Roblox stock was down 52%, and Take-Two Interactive stock was down 8%. Roblox has been weighed down by monetization concerns after its Q2 2026 call flagged bookings weakness tied to under 13 cohorts and discovery algorithm changes.

Take-Two Interactive delivered a strong Q1 FY2027 with net bookings of $1.39 billion above its guidance range, and management reiterated its $8 to $8.2 billion FY2027 net bookings outlook ahead of the November 19 release of Grand Theft Auto VI. CEO Strauss Zelnick called pre-order activity unprecedented while cautioning that “we haven’t sold one unit yet you can cancel a pre-order.”

What to Watch Investors can watch for the exchange to close on or about September 3 and for complete second-quarter results on September 8, 2026 to confirm the preliminary figures. The operating swing came from an eBay-related investment gain rather than the retail business, which is worth weighing on GameStop’s forward multiple.

Traders can keep an eye on GameStop stock for how the fixed share count and reduced dilution risk shape the next leg. Roblox is expanding beyond its traditional younger-user base and targeting the much larger 18-and-over gaming market. U.S. daily active users and hours among the 18-to-34 cohort are growing about 40% year over year. New initiatives such as Build, Moments and Roblox Reality could further broaden content, engagement and monetization opportunities.

Roblox is increasingly using AI to make game creation easier and accelerate content development. Its Build initiative lets users turn ideas into playable experiences with a conversational interface, while management expects the discovery system to surface higher-quality content as creation volumes rise. These efforts could strengthen Roblox’s creator ecosystem and deepen user engagement over time.

Roblox is facing near-term monetization pressure. Although second-quarter revenues rose 36% to $1.5 billion, bookings increased only 8%, with weaker monetization among younger users weighing on results. Management expects this pressure to persist in the third quarter, forecasting bookings to decline 14-18% year over year. Higher infrastructure spending tied to AI initiatives could also pressure margins in the near term.

How Do the Estimates Compare for SNAL & RBLX?The Zacks Consensus Estimate for SNAL’s fiscal 2026 sales and EPS indicates year-over-year growth of 22.5% and 113.2%, respectively. However, earnings estimates for fiscal 2026 have moved lower over the past 30 days, signaling some caution around the company’s near-term outlook.

For RBLX, the Zacks Consensus Estimate for 2026 sales calls for a modest 1.3% year-over-year increase. The consensus estimate is pegged at a loss of $1.55 per share, slightly wider than the $1.54 loss reported in 2025. Moreover, loss estimates for 2026 have been revised downward over the past 30 days, pointing to continued pressure on the company’s earnings outlook.

From a valuation perspective, SNAL is trading at a forward 12-month price-to-sales ratio of 0.25X, compared with its one-year median of 0.28X. RBLX carries a considerably higher forward sales multiple of 3.54X, although this is below its 12-month median of 4.88X. Thus, while RBLX trades at a discount to its historical valuation, SNAL appears substantially cheaper on a sales-based basis.

Wrapping UpBoth SNAL and RBLX carry a Zacks Rank #3 (Hold). But SNAL appears slightly more attractive at present. Snail offers a more favorable combination of growth prospects, improving financial performance, a growing content pipeline and a substantially lower valuation, while its shares have also demonstrated greater resilience.

RBLX has stronger scale, a large user base and significant long-term opportunities from AI, content diversification and expansion into older audiences, but near-term monetization challenges and elevated infrastructure investments could weigh on its financial performance. Given SNAL’s stronger expected growth, cheaper valuation and improving fundamentals, the stock appears to have a modest edge over RBLX right now, although its smaller scale and greater reliance on successful game launches make the investment riskier.

What this transaction means for investorsSean Jack Buckley's sale of a part of his Roblox position is probably not a move that should worry investors.

Meta, Roblox agree to child-safety measures sought by Philippines, minister says

Meta (META.O) and gaming platform Roblox (RBLX.N) have agreed to strengthen child-safety protections ‌for Philippine users, Information and Communications Technology Secretary Henry Aguda said on Thursday.

The measures include age-verification, parental controls, faster takedowns of harmful content and closer cooperation with law enforcement, he said.

The commitments were made during meetings ​between Philippine officials and executives of Meta (META.O) and Roblox (RBLX.N) in Singapore, Aguda told Reuters.

Meta ​and Roblox did not immediately respond to a request for comment.

AGREEMENT COMES A ⁠DAY AFTER US SETTLEMENT
The agreement came a day after Meta agreed to pay up to $18 ​billion over the next decade and impose new safeguards for teenage users in the United States, ​including usage limits, parental controls and stronger age-assurance measures, to settle claims by U.S. states that its platforms harmed children.

Ahead of the talks, Aguda said the U.S. settlement would "boost" discussions with Meta on child safety and platform ​accountability.

"Both agreed to the safety protocols that we requested," including locating their office in the Philippines, ​providing age verification, cooperating with law enforcement, faster takedown of content, Aguda said in a phone interview after ‌the ⁠meetings.

Roblox is aiming to establish a Philippine office as early as October, Aguda said, while Meta would send a team to Manila to discuss a timeline for expanding its presence.

LAWMAKERS CONSIDER FURTHER MEASURES TO PROTECT MINORS ONLINE
The talks come as Philippine lawmakers consider measures to tighten protections for ​minors online, including proposals that ​would restrict or ⁠ban children's access to social media.

Calls for stronger regulation intensified after a fatal shooting at a university in the southern Philippines last week, with officials ​saying a student livestreamed the attack, and following a separate incident of school ​violence in ⁠June.

Philippine officials have increasingly linked concerns over youth safety, online harms and social media platforms to the broader debate over regulation of minors' access to digital services.

Aguda said Meta and Roblox also agreed ⁠to engage ​with legislators as Congress considers online safety measures.

Asked whether the ​companies were open to a potential social media ban for minors, Aguda said they have indicated they would cooperate with ​whatever policy Philippine lawmakers ultimately adopt.

The European Commission on Monday said ChatGPT, Reddit and Roblox will need ​to adhere to the EU regulations ‌for very large online platforms and search engines.

The services have declared that they reach at least ​45 million monthly users in the ​EU.

This qualifies them for the "very large" designation ⁠under the bloc's Digital Services Act, ​the Commission said.

ChatGPT, Reddit and Roblox have four ​months to comply with additional obligations following their designation.

This includes assessing and mitigating risks of illegal content ​being disseminated through their platforms.

They also ​need to mitigate the negative effects on minors, and ‌on ⁠the physical and mental wellbeing of users.

Very large platforms and search engines also need to limit risks for fundamental rights, electoral ​processes and public ​security.

The ⁠Commission can supervise compliance with the DSA and will get investigative ​powers to assess functionalities behind the ​services.

AI-system ⁠ChatGPT qualifies as an online search engine under the DSA.

In late 2024, Zach Letter says Wonder Works Studio was running out of cash.

The Roblox developer had already cut most of its staff. Its work-for-hire business was drying up and Letter believed the company had time for one more attempt. That attempt became SpongeBob Tower Defense, pitched to Paramount in September and released that December.

The game had passed 600 million visits. Letter says it saved the company. It’s a dramatic turnaround with a fascinating story in the skills behind it.

Letter spent more than a decade making gaming videos on YouTube before starting Wonder Works. His experience taught him how algorithms distribute content, how audiences respond and why creative work needs to keep changing after publication. Those skills now influence how his studio builds games.

Roblox is a game platform with a discovery model many YouTube creators will recognize. And that is changing what game development looks like.

Roblox’s Discovery System Rewards Creator SkillsThe majority of discovery on Roblox happens through its home page, where a recommendation system decides which games to show each player.

Roblox says that system measures qualified play-through rate, time spent, repeat visits, spending and how often people deliberately play with friends. An experience that performs well with an initial group can receive wider distribution.

Presentation matters. Developers can test different thumbnails with different audiences, much as YouTubers test the packaging around a video. Roblox says experiences using thumbnail personalization saw an average 8.5% increase in qualified play-through rate during its testing.

Letter recognized the similarity. “YouTube, TikTok. Roblox. They all use an algorithm to identify content,” he said during an interview for The Business of Creators.

Before building SpongeBob Tower Defense, Wonder Works studied Discord communities for competing games and read comments beneath YouTube videos about them. Letter says the team looked for repeated complaints, chose a genre with clear demand and paired it with an intellectual property that could help the game stand out.

Wonder Works had used a related model before. Its early Roblox game Overlook Bay grew from a business connected to an established creator audience. The studio knew how to attract attention and involve players in the development process.

Then it expanded. Letter says the company hired aggressively after raising outside capital and began adopting longer, more conventional production methods. Its attention shifted from making better games to running a much larger organization.

The company’s later contraction raises a sharper question: how does a creator-led studio hold on to the habits that produced its first success?

Roblox advises studios to publish smaller updates every 1 to 2 weeks and plan ongoing live operations before release. A game can gain a new audience, receive feedback and change while people are still playing it.

That pulls distribution inside the creative process. Thumbnails affect who starts playing. Early retention affects whether Roblox recommends the experience. Updates give players a reason to return and give YouTubers something new to cover.

A launch spike helps. A game that holds players for months builds a business.

Roblox made that distinction more explicit in June 2026, when it expanded the period used by its recommendation system from 7 days to 28. The updated system places more weight on sustained play, repeat visits and long-term spending.

Alex Seropian, the co-creator of Halo and founder of Look North World, has experienced both production models. His company develops games for Roblox and Fortnite while working with creators who grew up inside those communities.

“We have been making games for decades and we’re masters of this craft,” Seropian said in a separate Business of Creators interview. “But there’s a ton that we don’t know and we did not grow up here.”

Look North World runs game jams and a publishing program to find platform-native talent. Its experienced developers bring production knowledge. The creators bring an instinct for the culture, pace and social behavior inside each platform.

Professional modder Sean Philip van Zyl, known as Garuga123, described doing most of the modeling, texturing, animation and game integration behind his Ark creature mods himself. As demand grew, he began looking for other modders who could share the workload without losing the character of his work.

That problem will be familiar to almost any successful YouTuber. The creator’s taste drives the business, but the business eventually needs more output than one person can produce.

Game development adds another layer. A creator may understand audience behavior and platform culture while relying on specialists to build stable systems, produce artwork and operate a game for millions of players.

Letter says Wonder Works’ engineers use AI to speed up routine programming, but experienced developers still check the output. He remains closely involved in game design while depending on other people to turn those ideas into working products.

The stronger studio model combines these abilities. Creator instinct informs what gets made, how it is presented and how quickly the team responds. Professional craft makes the game reliable enough to survive its own success.

Roblox also says it believes most of its top 1,000 experiences were built by teams averaging fewer than 10 people. The company hasn’t published the methodology behind that estimate, so it should be treated as a broad indication rather than a precise measure.

The rewards remain concentrated. Roblox disclosed that 51% of all time spent inside experiences in December 2025 went to the top 50 games.

Wonder Works understands that volatility. Letter says the studio released dozens of games between its early success and SpongeBob Tower Defense without finding another comparable hit.

SpongeBob’s global recognition clearly helped. Tower defense already had a large audience, Paramount backed the project and Wonder Works had experienced developers. Timing and luck mattered too.

Roblox’s use of spending as a discovery signal also creates a harder question. Many players are young, and studios must decide where healthy monetization ends and pressure to spend begins. Audience knowledge carries responsibility alongside commercial value.

Wonder Works and Look North World are testing a hybrid studio model: professional production paired with creators who understand the platform from the inside.

The teams that master both still won’t know where the next hit will come from. They’ll simply be better prepared to learn when players arrive, respond before they leave and have something new for them next Friday.

CompaniesSYDNEY, Aug 20 (Reuters) - Australia's internet regulator secured a court-enforceable undertaking from Roblox to improve protections against grooming and sexual exploitation, after tests found ​adult strangers could still contact children despite safety measures introduced ‌by the world's biggest gaming platform.

The agreement marks an incremental win for the eSafety Commissioner as it seeks to use its enforcement powers to make online ​platforms comply with Australia's sweeping child-safety rules, including a landmark ​ban on social media for children under 16.

eSafety said on ⁠Thursday its testing found adults could send connection requests to ​young Australian children on Roblox (RBLX.N), opens new tab without parental consent, while children and adults ​could interact on forums outside games without parental approval. Children's connections, profiles and other information were also visible to other users.

The regulator gave Roblox three months to ​roll out measures including stopping adults from contacting unknown children without ​parental consent, making children's accounts private by default and improving systems for reporting ‌complaints ⁠and notifying users of outcomes.

The San Mateo, California-headquartered company must also hire an independent third-party auditor to assess the effectiveness of its safety measures, including its age-estimation technology. eSafety said this was the first time ​it required an ​external safety audit ⁠by a tech firm.

"Roblox cannot mark their own homework," eSafety Commissioner Julie Inman Grant said in a ​statement.

If Roblox breaches the undertaking, eSafety can apply to ​the ⁠Federal Court for an order requiring the company to comply, as well as seek other orders, the regulator added.

A Roblox spokesperson said the platform ⁠had "delivered ​on the commitments we made to eSafety ​over the last 12 months and (we) will continue to work towards our shared goal of ​keeping Australian children safe online".

Because Apple accounts for nearly 29% of FY 2025 revenue and Alphabet accounts for about 15%, customer concentration like this adds a layer of risk to the business.

In FY 2025, revenue reached nearly $4.9 billion, which was a robust 35.8% increase over the previous fiscal year. However, the company reported a net loss of approximately $1.1 billion during this period. This resulted in a net margin of approximately -21.8%, as the company continues to prioritize user growth and platform infrastructure over immediate profitability.

The debt-to-equity ratio, which compares total debt to the value of shareholder ownership, was nearly 4.6x. As of the December 2025 balance sheet, the current ratio was roughly 1.0x, meaning its short-term assets are just enough to cover its immediate liabilities. Free cash flow, which is the cash a company generates after accounting for capital expenditures, was approximately $1.4 billion. I'd go with Airbnb. Roblox deserves credit for building one of the most engaged gaming platforms in the world, though. Daily active users are growing and free cash flow surged dramatically in the most recent quarter. The company’s international expansion into markets like Japan and India is adding a new dimension to the growth story.

But Roblox is navigating a tricky moment. Bookings growth slowed sharply in Q2 and the company missed revenue estimates. The Q3 guidance is discouraging, pointing toward a double-digit bookings decline. Management is betting that a better user experience today will drive stronger revenue growth down the road, which may prove to be the right call eventually. But investors are being asked to absorb a lot of uncertainty in the meantime, and the stock has fallen sharply as a result.

Airbnb, by contrast, is firing on all cylinders with a business model that is already proven. Revenue is growing steadily, free cash flow is substantial, and travel demand is holding up well across both leisure and business segments. The travel demand environment is holding up well, and Airbnb sits at the center of it with a loyal, growing user base.

For a long-term investor, Airbnb offers a more stable growth story at a more comfortable moment. Roblox may reward patient investors eventually, but the near-term outlook is cloudier than it has been in a while.

Roblox and Reddit Stocks Just Both Crashed More Than 20%, but Only One Is a Buy

The stocks of Roblox (RBLX -26.85%) and Reddit (RDDT -20.99%) both crashed after they reported earnings after the bell on July 30. However, Reddit is the only one worth buying on the dip, in my view. Let's look at why.

Both Roblox and Reddit stocks have had tough years, with Roblox plunging nearly 60% this year and the latter 40%. While both stocks sank more than 20% following their latest earnings reports, Reddit looks like the much better bet to rebound, while Roblox is starting to look like a broken company.

Cratering stocks Both companies struggled when it came to user growth. Roblox's daily active users (DAUs) rose 10% to 123 million, but that fell far short of the 128.7 million DAUs analysts were expecting. Reddit saw its daily active unique users (DAUq) climb 18% to 130.3 million, ahead of the 129.9 million analyst estimate, but U.S. DAUq increased by just 6% to 53.2 million.

Roblox blamed its user growth issues on new safety measures, such as age verification, for hurting user growth and customer engagement. Reddit, meanwhile, suffered choppy Google search referrals.

Reddit and other publishers have seen their search referrals tumble as Alphabet pushes Google AI Overviews. In response, Reddit is reconsidering a $60 million-a-year deal it has with Alphabet that lets the search giant train its model on Reddit data, which is set to expire soon. A successful negotiation that also better directs traffic to its platform could be a big catalyst.

Roblox is in a more precarious situation. Its user base skews very young, and lawsuits from state attorneys general forced the company's hand to implement strong safety measures, which have been negatively impacting its growth. Meanwhile, after surpassing 45 million monthly European Union users, the platform is likely to face more strict monitoring requirements in this region.

Between infrastructure and server costs, trust and safety expenses, and developer exchange fees (what it pays out to game makers on its platform), Roblox only has around a 30% gross margin, while it also continues to incur huge stock-based compensation (SBC) expense. When taking into account stock-based comp, Roblox does not have a great business model, and its bookings (which are more reflective of the current state of its business than revenue, given how sales are recorded) are seeing pressure. Bookings grew only 8% to $1.6 billion this past quarter, while the company forecast bookings to decline by 14% to 18% next quarter. The weak forecast comes despite the company reentering the Russian market in June.

Overall, Roblox doesn't look like a company with a clear path to profitability, barring its ability to greatly reduce costs through AI. While this is possible, it's not something I'd be willing to bet on just yet.

While Roblox's business has been struggling, Reddit's overall business remains strong despite the clear user- and search-related headwinds. Its revenue surged 61% last quarter to $804.9 million, while its earnings per share (EPS) nearly tripled to $1.25. Growth was strong across regions, with U.S. revenue up 56% to $638.1 million, and international revenue soaring 84% to $166.8 million.

Ad revenue climbed 64% year over year to $762 million, as average revenue per user (ARPU) soared 36%, including 51% in the U.S. Other revenue, which includes data licensing, grew 24% to $43 million. Meanwhile, the company's gross margins edged up 50 basis points to 91.3%.

And while Roblox expected a significant decline in its business next quarter, Reddit projected revenue growth of 47% to 49% in Q3. It also said it was seeing good leverage with stock-based compensation expense, and as a result, it lowered its full-year outlook for SBC to be low to mid-teens as a percentage of revenue.

Time to buy Reddit Reddit is a more structurally attractive business than Roblox, with higher gross margins. Like other social media companies, it is leaning into AI to help improve ad targeting and conversion, which is driving growth. Meanwhile, reworking a better deal with Alphabet and possibly securing other data-licensing deals would be a catalyst.

With the stock trading at a forward P/E of just 15 times 2027 analyst estimates, Reddit looks like a rebound candidate worth betting on.
