(NYSE: PLNT) between November 6, 2025 and May 6, 2026, inclusive (the "Class Period"). A class action lawsuit has already been filed. If you wish to serve as lead plaintiff, you must move the Court no later than September 14, 2026.

So What: If you purchased Planet Fitness common stock during the Class Period you may be entitled to compensation without payment of any out of pocket fees or costs through a contingency fee arrangement.

What to do next: To join the Planet Fitness class action, go to https://rosenlegal.com/cases/planet-fitness-inc/join or call Phillip Kim, Esq. toll-free at 866-767-3653 or email [email protected] for information on the class action. A class action lawsuit has already been filed. If you wish to serve as lead plaintiff, you must move the Court no later than September 14, 2026. A lead plaintiff is a representative party acting on behalf of other class members in directing the litigation.

Why Rosen Law: We encourage investors to select qualified counsel with a track record of success in leadership roles. Often, firms issuing notices do not have comparable experience, resources, or any meaningful peer recognition. Be wise in selecting counsel. The Rosen Law Firm represents investors throughout the globe, concentrating its practice in securities class actions and shareholder derivative litigation. Rosen Law Firm has achieved the largest ever securities class action settlement against a Chinese Company. Rosen Law Firm was Ranked No. 1 by ISS Securities Class Action Services for number of securities class action settlements in 2017. The firm has been ranked in the top 4 each year since 2013 and has recovered billions of dollars for investors. In 2019 alone the firm secured over $438 million for investors. In 2020, founding partner Laurence Rosen was named by law360 as a Titan of Plaintiffs' Bar. Many of the firm's attorneys have been recognized by Lawdragon and Super Lawyers.

Details of the case: According to the lawsuit, throughout the Class Period, defendants made materially false and misleading statements and/or concealed material adverse facts concerning the true state of Planet Fitness' customer acquisition and marketing metrics. Notably, Planet Fitness' updated marketing messaging was failing to resonate with, and was actively intimidating, its core target demographic of fitness beginners and casual gym-goers. As a result, Planet Fitness was experiencing a significant headwind in net member joins during its peak first-quarter sign-up period that rendered its previously issued fiscal 2026 guidance and long term financial targets unachievable. Instead, Planet Fitness would be required to restructure its marketing strategy, losing the gains they praised from continuing the same marketing campaign, and entirely halt the planned Black Card price increase which sale projections were premised upon. When the true details entered the market, the lawsuit claims that investors suffered damages.

To join the Planet Fitness class action, go to https://rosenlegal.com/cases/planet-fitness-inc/join or call Phillip Kim, Esq. toll-free at 866-767-3653 or email [email protected] for information on the class action.

No Class Has Been Certified. Until a class is certified, you are not represented by counsel unless you retain one. You may select counsel of your choice. Will Planet Fitness (PLNT) Beat Estimates Again in Its Next Earnings Report?
PLNT Planet Fitness
FMP Stock News
Original source text
Have you been searching for a stock that might be well-positioned to maintain its earnings-beat streak in its upcoming report? It is worth considering Planet Fitness (PLNT - Free Report) , which belongs to the Zacks Leisure and Recreation Services industry.

This fitness center operator has an established record of topping earnings estimates, especially when looking at the previous two reports. The company boasts an average surprise for the past two quarters of 11.26%.

For the most recent quarter, Planet Fitness was expected to post earnings of $0.63 per share, but it reported $0.74 per share instead, representing a surprise of 17.46%. For the previous quarter, the consensus estimate was $0.79 per share, while it actually produced $0.83 per share, a surprise of 5.06%.

Price and EPS Surprise

Thanks in part to this history, there has been a favorable change in earnings estimates for Planet Fitness lately. In fact, the Zacks Earnings ESP (Expected Surprise Prediction) for the stock is positive, which is a great indicator of an earnings beat, particularly when combined with its solid Zacks Rank.

Our research shows that stocks with the combination of a positive Earnings ESP and a Zacks Rank #3 (Hold) or better produce a positive surprise nearly 70% of the time. In other words, if you have 10 stocks with this combination, the number of stocks that beat the consensus estimate could be as high as seven.

The Zacks Earnings ESP compares the Most Accurate Estimate to the Zacks Consensus Estimate for the quarter; the Most Accurate Estimate is a version of the Zacks Consensus whose definition is related to change. The idea here is that analysts revising their estimates right before an earnings release have the latest information, which could potentially be more accurate than what they and others contributing to the consensus had predicted earlier.

Planet Fitness currently has an Earnings ESP of +3.37%, which suggests that analysts have recently become bullish on the company's earnings prospects. This positive Earnings ESP when combined with the stock's Zacks Rank #3 (Hold) indicates that another beat is possibly around the corner. We expect the company's next earnings report to be released on August 6, 2026.

Investors should note, however, that a negative Earnings ESP reading is not indicative of an earnings miss, but a negative value does reduce the predictive power of this metric.

Many companies end up beating the consensus EPS estimate, though this is not the only reason why their shares gain. Additionally, some stocks may remain stable even if they end up missing the consensus estimate.

Because of this, it's really important to check a company's Earnings ESP ahead of its quarterly release to increase the odds of success. Make sure to utilize our Earnings ESP Filter to uncover the best stocks to buy or sell before they've reported.

New York, New York--(Newsfile Corp. - July 24, 2026) - Faruqi & Faruqi, LLP, a leading national securities law firm, is investigating potential claims against Planet Fitness, Inc. (""Planet Fitness" or the "Company") (NYSE: PLNT) and reminds investors of the September 14, 2026 deadline to seek the role of lead plaintiff in a federal securities class action that has been filed against the Company.

Faruqi & Faruqi is a leading national securities law firm with offices in New York, Pennsylvania, California and Georgia. The firm has recovered hundreds of millions of dollars for investors since its founding in 1995. See www.faruqilaw.com.

As detailed below, the complaint alleges that the Company and its executives violated federal securities laws by making false and/or misleading statements and/or failing to disclose facts concerning the true state of Planet Fitness' customer acquisition and marketing metrics. Notably, the Company's updated marketing messaging was failing to resonate with, and was actively intimidating, its core target demographic of fitness beginners and casual gym-goers. As a result, Planet Fitness was experiencing a significant headwind in net member joins during its peak first-quarter sign-up period that rendered its previously issued fiscal 2026 guidance and long term financial targets unachievable.

On May 7, 2026, Planet Fitness announced its first quarter results for fiscal 2026, revealing that its critical peak sign-up period was off to a slower-than-expected start internally, slashing same-store growth guidance from 4-5% to only 1%, completely withdrawing its long-term three-year growth algorithm, and announcing a pause of the planned national rollout of the Black Card price increase. On this news, Planet Fitness's stock price fell $19.95, or 31.19%, to close at $44.01 per share on May 7, 2026.

The court-appointed lead plaintiff is the investor with the largest financial interest in the relief sought by the class who is adequate and typical of class members who directs and oversees the litigation on behalf of the putative class. Any member of the putative class may move the Court to serve as lead plaintiff through counsel of their choice, or may choose to do nothing and remain an absent class member. Your ability to share in any recovery is not affected by the decision to serve as a lead plaintiff or not.

Faruqi & Faruqi, LLP also encourages anyone with information regarding Planet Fitness's conduct to contact the firm, including whistleblowers, former employees, shareholders and others.

To learn more about the Planet Fitness class action, go to www.faruqilaw.com/PLNT or call Faruqi & Faruqi partner Josh Wilson directly at 877-247-4292 or 212-983-9330 (Ext. 1310).

Frequently Asked Questions (FAQ) for Investors Regarding the Planet Fitness Securities Class Action Lawsuit:

What is the Planet Fitness securities fraud lawsuit about?

This securities class action lawsuit alleges that Planet Fitness, Inc. made materially false and misleading statements and/or concealed material adverse facts during the class period concerning the company's customer acquisition and marketing metrics. Specifically, the complaint alleges that Planet Fitness's updated marketing messaging was failing to resonate with - and was allegedly actively intimidating - its core target demographic of fitness beginners and casual gym-goers. As a result, the company allegedly experienced a significant headwind in net member joins during its critical peak first-quarter sign-up period, rendering its previously issued fiscal 2026 guidance and long-term financial targets unachievable. On May 7, 2026, Planet Fitness announced its first quarter fiscal 2026 results, at which time it slashed same-store growth guidance from 4-5% to only 1%, completely withdrew its long-term three-year growth algorithm, and announced a pause of the planned national rollout of its Black Card price increase. On that news, Planet Fitness's stock price fell $19.95 per share, or approximately 31.19%, to close at $44.01 per share on May 7, 2026.

Who may be eligible to participate in the lawsuit?

Investors who purchased or otherwise acquired Planet Fitness, Inc. common stock traded on the NASDAQ under the ticker symbol PLNT between November 6, 2025 and May 6, 2026, inclusive, may be eligible to participate in this lawsuit. Eligibility to participate in any potential recovery is not limited to investors who seek appointment as lead plaintiff; any class member who suffered losses during the class period may be entitled to share in any recovery that may be obtained. Investors are encouraged to review their trading records to determine whether their purchases fall within the applicable class period. Additional information about eligibility may be obtained by contacting Faruqi & Faruqi, LLP.

What is a lead plaintiff, and how can I seek appointment?

A lead plaintiff is a court-appointed representative who serves on behalf of all class members and plays an active role in directing the litigation, including working with counsel on case strategy and settlement negotiations. The lead plaintiff is typically the class member who suffered the largest financial loss and who satisfies certain adequacy and typicality requirements under the Private Securities Litigation Reform Act of 1995. Investors who wish to seek appointment as lead plaintiff must file a motion with the court no later than September 14, 2026. Importantly, investors do not need to serve as lead plaintiff in order to participate in the lawsuit or share in any recovery that may be obtained - class membership alone may entitle eligible investors to a portion of any proceeds.

What should investors do if they purchased Planet Fitness stock during the Class Period?

Investors who purchased Planet Fitness, Inc. common stock on the NASDAQ (PLNT) during the class period from November 6, 2025 through May 6, 2026 are encouraged to review their brokerage and trading records to confirm the timing and details of their purchases. Investors should take steps to preserve all relevant documentation, including trade confirmations, account statements, and any communications related to their Planet Fitness holdings, as such records may be important to establishing their claims. Given that the lead plaintiff motion deadline is September 14, 2026, investors who wish to be considered for appointment as lead plaintiff should act promptly. Investors may wish to consult with Faruqi & Faruqi, LLP prior to that deadline to evaluate their legal options and understand their rights, even if they do not intend to seek the lead plaintiff role.

Why should investors contact Faruqi & Faruqi, LLP?

Faruqi & Faruqi, LLP has represented investors in securities litigation for decades and has recovered hundreds of millions of dollars for shareholders. Investors who purchased Planet Fitness securities during the Class Period may contact the firm to discuss their legal rights, potential claims, and the lead plaintiff process at no cost or obligation.

PLNT LAWSUIT: Planet Fitness, Inc. Sued for Securities Fraud; Investors Should Contact Block & Leviton To Learn How They Might Recover Losses
PLNT Planet Fitness
FMP Stock News
Original source text
Boston, Massachusetts--(Newsfile Corp. - July 24, 2026) - Block & Leviton announces that a securities fraud lawsuit has been filed against Planet Fitness, Inc. (NYSE: PLNT) and certain of its executives. Investors who have lost money in their Planet Fitness, Inc. investment should contact the firm to learn more about how they might recover those losses. For more details, visit https://blockleviton.com/cases/plnt.

What is this all about?

The lawsuit alleges Planet Fitness told investors during the class period that its "We Are All Strong on This Planet" marketing campaign was resonating and had "legs to extend into 2026," expressed confidence in a planned national Black Card price increase to $29.99, and reaffirmed its FY2026 guidance and a new three-year growth plan. The complaint alleges the company concealed that its marketing had pivoted too far toward fitness-minded consumers and was alienating its core beginner customers, dragging down new member joins. On May 7, 2026, Planet Fitness slashed its same-store sales growth guidance from 4-5% to approximately 1%, withdrew its three-year growth targets, paused the Black Card price increase, and acknowledged that its marketing had "pivoted too far" and alienated core customers. On this news, the company's stock fell about 31% in a single day, from $63.96 to $44.01, causing substantial losses for investors.

Who is eligible?

Anyone who purchased Planet Fitness, Inc. common stock between November 6, 2025, and May 6, 2026, and has seen their shares fall may be eligible, whether or not they have sold their investment. Investors should contact Block & Leviton to learn more.

What should you do next?

The deadline to seek appointment as lead plaintiff is September 14, 2026. A class has not yet been certified, and until a certification occurs, you are not represented by an attorney. If you choose to take no action, you can remain an absent class member. If you've lost money on your investment, you should contact Block & Leviton to learn more via our case website, by email at [email protected], or by phone at (888) 256-2510.

Whistleblower?

DETAILS OF THE CASE: According to the lawsuit, throughout the Class Period, defendants made materially false and misleading statements and/or concealed material adverse facts concerning the true state of Planet Fitness’ customer acquisition and marketing metrics. Notably, Planet Fitness’ updated marketing messaging was failing to resonate with, and was actively intimidating, its core target demographic of fitness beginners and casual gym-goers.

On May 7, 2026, Planet Fitness reported its first quarter 2026 financial results and updated its full-year outlook.  Among other items, Planet Fitness disclosed that "2026 is off to a slower than expected start from a net member growth perspective" as the Company faced "internal and external headwinds during our peak sign-up period."  The Company further disclosed that it was pausing its planned national Black Card price increase pending a broader pricing review.  In addition, Planet Fitness stated that, based on "lower net joins than planned in the first quarter" and the decision to pause the Black Card price increase, it was reducing several of its 2026 growth expectations.  The Company lowered expected system-wide same club sales growth to approximately 1%, compared to its prior guidance of 4% to 5%; revenue growth to approximately 7%, compared to prior guidance of approximately 9%; adjusted EBITDA growth to approximately 6%, compared to prior guidance of approximately 10%; adjusted net income to a decrease of approximately 2%, compared to prior guidance of 4% to 5% growth; and adjusted diluted EPS growth to approximately 4%, compared to prior guidance of 9% to 10%.

On this news, Planet Fitness's stock price fell $19.95 per share, or 31.19%, to close at $44.01 per share on May 7, 2026.

PLNT Deadline Alert: SueWallSt Reminds Planet Fitness, Inc. (PLNT) Investors of Securities Class Action Deadline on September 14, 2026
PLNT Planet Fitness
FMP Stock News
Original source text
Planet Fitness allegedly used risk disclosures and investor communications that failed to identify specific marketing and pricing problems already affecting net joins, Black Card rollout assumptions, and 2026 guidance.

, /PRNewswire/ -- SueWallSt alerts investors in Planet Fitness, Inc. (NYSE: PLNT) that a securities class action has been filed on behalf of shareholders who purchased Planet Fitness securities between November 6, 2025 and May 6, 2026. Submit your information. You may also contact Joseph E. Levi, Esq. at [email protected] or (888) SueWallSt.

PLNT declined from $63.96 per share on May 6, 2026 to $44.01 per share on May 7, 2026, a $19.95 per-share drop of approximately 31.19%. LEAD PLAINTIFF DEADLINE: September 14, 2026.

Alleged Disclosure Adequacy Issues in Planet Fitness Risk Statements

The complaint challenges whether Planet Fitness' public statements and risk disclosures adequately informed investors that its national marketing campaign allegedly was not resonating with core fitness beginners and casual gym-goers. As alleged, the Company's communications created the impression that management possessed reliable information supporting the Black Card price rollout, projected membership growth, and sales targets.

The action claims those statements omitted that the campaign allegedly was "actively intimidating" the Company's target demographic during the peak first-quarter sign-up period. Planet Fitness later announced reduced 2026 guidance, withdrew its three-year growth algorithm, and paused the planned national Black Card price increase.

Disclosure Gaps Alleged in Planet Fitness SEC and Investor Communications

The complaint contends investors were not specifically told that net member joins were facing internal headwinds during the most important seasonal sign-up period. The action asserts that the Black Card price increase to $29.99 depended on assumptions that were allegedly not achievable under current marketing conditions. The lawsuit claims the three-year growth algorithm relied on rate and volume expectations that were allegedly undermined before the May 7, 2026 update. Plaintiffs allege the Company minimized risks tied to seasonality, weather, macroeconomic conditions, and customer acquisition while omitting specific marketing problems. Why the May 7 Guidance Reset Matters to Shareholders

On May 7, 2026, Planet Fitness updated 2026 expectations, including system-wide same-club sales growth of approximately 1%, down from 4% to 5%; revenue growth of approximately 7%, down from approximately 9%; adjusted EBITDA growth of approximately 6%, down from approximately 10%; and adjusted diluted EPS growth of approximately 4%, down from 9% to 10%.

The lawsuit asserts claims under Sections 10(b) and 20(a) of the Exchange Act and Rule 10b-5. The filing states that investors purchased PLNT shares at allegedly inflated prices before the disclosure corrected prior alleged omissions.

"Generic risk factor language cannot substitute for disclosing specific, known problems that are already affecting a company's operations. Here, investors should review whether Planet Fitness' disclosures adequately described the alleged marketing and pricing risks that preceded the $19.95 per-share decline." -- Joseph E. Levi, Esq.

Frequently Asked Questions About the PLNT Lawsuit

Q: What specific misstatements does the PLNT lawsuit allege? A: The complaint alleges Planet Fitness made materially false or misleading statements regarding the effectiveness of its marketing strategy, its ability to drive membership growth, the planned Black Card price increase, and its financial targets during the Class Period. When the Company disclosed slower net member growth, reduced 2026 guidance, withdrew its three-year growth algorithm, and paused the Black Card price rollout, the stock price declined sharply.

Q: What court was the PLNT class action filed in? A: The case was filed in the United States District Court for the District of New Hampshire and asserts claims under the federal securities laws.

Q: Who are the defendants named in the PLNT lawsuit? A: The complaint names Planet Fitness, Inc. and individual defendants Colleen Keating, Chief Executive Officer and Director, and Jay Stasz, former Chief Financial Officer.

Q: What is a lead plaintiff and why does it matter? A: A lead plaintiff is the investor appointed by the court to represent the entire class. Lead plaintiffs are typically investors with significant documented losses. Being appointed does not increase individual recovery but gives direct oversight of how the case is run.

Q: What if I already sold my PLNT shares, can I still recover losses? A: Yes. Eligibility is based on when you purchased, not whether you still hold the shares. Investors who bought during the Class Period and sold at a loss may still be eligible to participate.

Q: What does it cost me to participate? A: There is no upfront cost to contact the firm. Securities class actions are generally handled on a pure contingency basis. No upfront fees, no retainer, and no out-of-pocket costs. Any attorneys' fees and expenses awarded to class counsel are subject to court approval.

Q: What if I live outside the United States? A: U.S. securities class actions generally cover purchases on U.S. exchanges regardless of the investor's country of residence.

PLNT UPCOMING DEADLINE: Levi & Korsinsky Alerts Planet Fitness, Inc. Stockholders of Securities Class Action - Contact the Firm
PLNT Planet Fitness

Planet Fitness investors allegedly suffered a $19.95 per-share loss after the lawsuit claims the Company overstated the effectiveness of its marketing strategy securities fraud issue during the peak sign-up season.

, /PRNewswire/ -- Levi & Korsinsky, LLP notifies investors in Planet Fitness, Inc. (NYSE: PLNT) that a class action lawsuit has been filed on behalf of shareholders who purchased securities between November 6, 2025 and May 6, 2026. Find out if you could qualify to recover your losses. You may also contact Joseph E. Levi, Esq. at [email protected] or (212) 363-7500.

PLNT shares declined 31.19%, or $19.95 per share, after the Company announced first quarter 2026 results and reduced its outlook. Applications to serve as lead plaintiff must be filed by September 14, 2026.

The Alleged Marketing Strategy Securities Fraud Issue

According to the lawsuit, Planet Fitness made materially false and misleading statements about the effectiveness of its national marketing campaign and its ability to achieve projected membership growth. The complaint alleges that the Company's campaign failed to resonate with its core audience of fitness beginners and casual gym-goers, creating a material headwind in net member joins during the Company's critical first-quarter sign-up period.

How Marketing Messaging Allegedly Affected Membership Growth

The lawsuit contends that Planet Fitness presented its marketing strategy as effective and capable of supporting continued growth, while allegedly failing to disclose that the messaging was not producing the necessary customer acquisition results. The alleged problem was especially significant because Planet Fitness' high-value, low-price subscription model depends heavily on new member volume and recurring membership revenue.

"This case presents important questions about marketing strategy disclosure obligations in the fitness subscription sector. The lawsuit alleges that investors were told the campaign was driving joins while the Company was experiencing marketing-related headwinds during its most important seasonal sign-up period." -- Joseph E. Levi, Esq.

Key Marketing Strategy Allegations for Shareholders

Planet Fitness allegedly overstated the effectiveness of its national marketing messaging. The campaign allegedly failed to connect with the Company's core beginner-focused customer base. The complaint alleges that marketing headwinds reduced net member joins during the peak sign-up period. The lawsuit claims the Company's projected membership growth and financial targets became unrealistic under existing conditions. Investors allegedly purchased PLNT shares at inflated prices before the May 2026 disclosure. The Peak Sign-Up Season Factor

The complaint alleges that the first quarter carried outsized importance for Planet Fitness because membership joins during that period materially affected full-year subscription revenue. When the Company later disclosed slower-than-expected net member growth and a need to sharpen its marketing strategy, the market allegedly reassessed the Company's growth prospects.

Investors who purchased shares during the Class Period and suffered losses may be eligible to seek compensation.

Q: Who is eligible to join the PLNT investor lawsuit? A: Investors who purchased PLNT stock or securities between November 6, 2025 and May 6, 2026 and suffered financial losses may be eligible. Eligibility is based on purchase date and documented losses, not on whether you still hold the shares.

Q: What if my PLNT losses are small, is it still worth contacting a lawyer? A: Yes. There is no minimum loss amount required to participate as a class member.

Lead Plaintiff Deadline September 14, 2026

, /PRNewswire/ -- Wolf Haldenstein Adler Freeman & Herz LLP announces that a securities fraud class action lawsuit has been filed on behalf of investors who purchased or otherwise acquired Planet Fitness, Inc. ("Planet Fitness" or the "Company") (NYSE: PLNT) common stock between November 6, 2025, and May 6, 2026, inclusive (the "Class
Period").

PLEASE CLICK HERE TO JOIN THE CASE AND SUBMIT CONTACT INFORMATION

Investors who purchased Planet Fitness shares during the class period and suffered losses may be eligible to participate in the case, with the lead-plaintiff deadline set for September 14, 2026.

The filed complaint alleges that throughout the Class Period, Defendants made materially false and/or misleading statements, as well as failed to disclose material adverse facts about the Company's business, operations, and prospects. Specifically, Defendants failed to disclose to investors that:

Planet Fitness could not continue to grow its membership rate to the level necessary without a significant overhaul to its marketing message or the introduction of new marketing campaigns, nor could it proceed with the planned rollout of the Black Card price increase that such guidance was significantly reliant upon; and as result, Defendants' positive statements about the Company's business, operations, and prospects were materially misleading and/or lacked a reasonable basis at all relevant times. On May 7, 2026, Planet Fitness released its first quarter 2026 financial results, slashing same-store growth from 4-5% to only 1%, and completely withdrawing its long-term three-year growth algorithm it had introduced just six months prior, citing, among other things, an over-pivoted marketing campaign that failed to resonate with its core customer base, alongside external competition. The Company further disclosed that it was pausing its planned national rollout of its Black Card price increase to prioritize revitalizing new membership growth.

On this news, Planet Fitness's stock price fell $19.95, or 31.2%, to close at $44.01 per share on May 7, 2026.

A lead plaintiff is a representative party acting on behalf of other class members in directing the litigation.

WHY ROSEN LAW: We encourage investors to select qualified counsel with a track record of success in leadership roles. Rosen Law Firm was Ranked No. 1 by ISS Securities Class Action Services for number of securities class action settlements in 2017.

On May 7, 2026, Planet Fitness reported its first quarter 2026 financial results and updated its full-year outlook.  Among other items, Planet Fitness disclosed that “2026 is off to a slower than expected start from a net member growth perspective” as the Company faced “internal and external headwinds during our peak sign-up period.”  The Company further disclosed that it was pausing its planned national Black Card price increase pending a broader pricing review.  In addition, Planet Fitness stated that, based on “lower net joins than planned in the first quarter” and the decision to pause the Black Card price increase, it was reducing several of its 2026 growth expectations.

New York, New York--(Newsfile Corp. - July 21, 2026) - Faruqi & Faruqi, LLP, a leading national securities law firm, is investigating potential claims against Planet Fitness, Inc.

As a result, the company allegedly experienced a significant headwind in net member joins during its critical peak first-quarter sign-up period, rendering its previously issued fiscal 2026 guidance and long-term financial targets unachievable. On May 7, 2026, Planet Fitness announced its first quarter fiscal 2026 results, at which time it slashed same-store growth guidance from 4–5% to only 1%, completely withdrew its long-term three-year growth algorithm, and announced a pause of the planned national rollout of its Black Card price increase.

Importantly, investors do not need to serve as lead plaintiff in order to participate in the lawsuit or share in any recovery that may be obtained — class membership alone may entitle eligible investors to a portion of any proceeds.

Did You Lose Money Investing in Planet Fitness, Inc.? Robbins LLP Urges Investors with Significant Losses to Contact the Firm for Information About Their Rights Against PLNT
PLNT Planet Fitness
FMP Stock News
Original source text
San Diego, California--(Newsfile Corp. - July 21, 2026) - Robbins LLP reminds stockholders that a class action was filed on behalf of all investors who purchased or otherwise acquired Planet Fitness, Inc. (NYSE: PLNT) common stock between November 6, 2025 and May 5, 2026. Planet Fitness is one of the largest franchisors and operators of fitness centers in the world by member count and location footprint.

For more information, submit a form, email attorney Aaron Dumas, Jr., or give us a call at (800) 350-6003.

What is the class period? November 6, 2025 – May 5, 2026

What are the allegations? Robbins LLP is Investigating Allegations that Planet Fitness, Inc. (PLNT) Misled Investors Regarding its Long-Term Prospects

According to the complaint, during the class period, defendants created the false impression that they possessed reliable information pertaining to the Company's ability to nationally rollout the Black Card price increase, to Planet Fitness' projected membership growth outlook and associated sales growth, and to the Company's ability to drive new joins on its existing marketing campaign, purportedly saving the Company additional funds, while also minimizing risks from seasonality, weather-related events, and general macroeconomic fluctuations. In truth, the Company's projections, both for fiscal 2026 and in its three-year growth algorithm, fell short of reality; Planet Fitness could not continue to grow its membership rate at the level necessary without a significant overhaul to its marketing message or the introduction of new marketing campaigns, nor could it proceed with the planned rollout of the Black Card price increase that such guidance was significantly reliant upon.

Plaintiff alleges that on May 7, 2026, Planet Fitness announced its financial results for the first quarter of fiscal year 2026, revealing that its critical peak sign-up period was off to a slower-than-expected start internally. Management slashed full-year 2026 growth guidance, notably slashing same-store growth from 4-5% to only 1%, and completely withdrew its long-term three-year growth algorithm it had introduced just six months prior. Planet Fitness attributed these results to an over-pivoted marketing campaign that failed to resonate with its core customer base, alongside external competition, macroeconomic, and weather-related impacts. Management then announced they were pausing the planned national rollout of the Black Card price increase to prioritize revitalizing new membership growth. On this news, Planet Fitness stock fell from a closing market price of $63.96 per share on May 6, 2026, to $44.01 per share on May 7, 2026, a decline of about 31.19% in the span of just a single day.

What can shareholders do now? You may be eligible to participate in the class action against Planet Fitness, Inc. Shareholders who wish to serve as lead plaintiff for the class must submit their papers to the court by September 14, 2026. The lead plaintiff is a representative party who acts on behalf of other class members in directing the litigation. You do not have to participate in the case to be eligible for a recovery. If you choose to take no action, you can remain an absent class member. For more information, click here.

All representation is on a contingency fee basis. Shareholders pay no fees or expenses.

ALLEGATIONS: According to the complaint, defendants provided overwhelmingly positive statements to investors while, at the same time, disseminating materially false and misleading statements and/or concealing material adverse facts concerning the true state of Planet Fitness' customer acquisition and marketing metrics. On May 7, 2026, Planet Fitness announced its financial results for the first quarter of fiscal year 2026, revealing that its critical peak sign-up period was off to a slower-than-expected start internally. PLNT Shareholder Alert: Planet Fitness, Inc. Securities Class Action Lawsuit - Investors Should Contact SueWallSt
PLNT Planet Fitness
FMP Stock News
Original source text
NEW YORK, July 21, 2026 (GLOBE NEWSWIRE) -- SueWallSt notifies investors in Planet Fitness, Inc. (NYSE: PLNT) that a securities class action has been filed on behalf of shareholders who purchased PLNT securities between November 6, 2025 and May 6, 2026. Submit your information now.

PLNT shares fell from $63.96 to $44.01 on May 7, 2026, a decline of $19.95 per share, or approximately 31.19%. Investors have until September 14, 2026 to seek appointment as lead plaintiff.

SEC Filing Adequacy Under the Planet Fitness Regulatory Compliance Securities Allegations

The action contends that Planet Fitness created the allegedly false impression that it possessed reliable information about the national rollout of its Black Card price increase, projected membership growth, and associated sales growth. The complaint challenges whether the Company’s disclosures adequately warned investors that its marketing campaign was allegedly failing to resonate with beginners and casual gym-goers during the critical first-quarter sign-up period.

The securities action asserts claims under Section 10(b) and Section 20(a) of the Exchange Act and Rule 10b-5. The practical investor issue is whether class members purchased PLNT shares at prices allegedly inflated by incomplete or misleading disclosure about membership demand, pricing execution, and long-term targets.

Disclosure Gaps Alleged in Planet Fitness' Risk Warnings

The complaint identifies several areas where investors allegedly lacked specific information before the May 7, 2026 announcement:

Whether the “We Are All Strong on This Planet” campaign was allegedly intimidating the Company’s core beginner demographic.Whether net member joins were allegedly weakening during the Company’s most important seasonal acquisition window.Whether the $29.99 Black Card price rollout was allegedly dependent on assumptions that current marketing conditions could not support.Whether the three-year growth algorithm allegedly relied on membership and rate-growth projections that were no longer achievable.Whether prior risk disclosures allegedly described possibilities rather than specific conditions already affecting the business. Why the May 7 Guidance Reset Matters to Investors

On May 7, 2026, Planet Fitness reported first-quarter results and reduced its 2026 outlook, including lowering same-club sales growth expectations from 4% to 5% to approximately 1%. The Company also withdrew its three-year growth algorithm and paused the planned national Black Card price increase pending a broader pricing review.

“Generic risk factor language cannot substitute for disclosing specific, known problems that are already affecting a company’s operations. Here, the complaint alleges that investors were not given a complete picture of marketing and pricing risks before PLNT shares lost nearly one-third of their value in a single day.” -- Joseph E. Levi, Esq.

PLNT Lawsuit Notice: Planet Fitness Membership Growth Issues and 31% Stock Drop Trigger Securities Fraud Class Action
PLNT Planet Fitness
FMP Stock News
Original source text
A securities fraud class action lawsuit has been filed on behalf of Planet Fitness investors after its stock dropped over 31% relating to Planet Fitness's failed marketing campaign that alienated the company's core market, casual gym-goers, and led to disappointing membership growth during the key Q1 sign-up period.

, /PRNewswire/ -- Leading securities law firm Bleichmar Fonti & Auld LLP announces that a class action lawsuit has been filed against Planet Fitness, Inc. (NYSE:PLNT) and certain of the Company's senior executives for securities fraud after its significant stock drop resulting from potential violations of the federal securities laws.

If you invested in Planet Fitness, you are encouraged to obtain additional information by visiting: https://www.bfalaw.com/cases/planet-fitness-class-action-lawsuit.

Key Details of the Planet Fitness ($PLNT) Class Action Lawsuit:

Lead Plaintiff Deadline: September 14, 2026  Alleged Misconduct: Securities fraud relating to Planet Fitness's failed marketing campaign that led to disappointing membership growth during the key Q1 sign-up period Stock Drop: May 7, 2026 – 31% Stock Drop Court: U.S. District Court for the District of New Hampshire Take Action: Contact BFA Law to discuss your rights Investors have until September 14, 2026, to ask the Court to be appointed to lead the case. The complaint asserts securities fraud claims under Sections 10(b) and 20(a) of the Securities Exchange Act of 1934 on behalf of investors in Planet Fitness common stock. The class action is pending in the U.S. District Court for the District of New Hampshire. It is captioned Matsunaga v. Planet Fitness, Inc., et al., No. 26-cv-00576.

Why is Planet Fitness Being Sued for Securities Fraud?

Planet Fitness is a large franchisor and operator of fitness centers across the United States. The company aims to offer a fitness experience in a non-intimidating environment, which it calls the Judgement Free Zone.

The complaint alleges that throughout the relevant period, Planet Fitness misrepresented the success of its marketing campaign to focus on "fitness-minded" members. For instance, Planet Fitness told investors that it "continue[d] to lean into our 'we are all strong on this Planet' campaign." Planet Fitness also stated that "[b]ecause this campaign resonated so strongly last year, we extended it into 2026."

In truth, Planet Fitness's marketing campaign alienated fitness beginners and more casual gym-goers, which traditionally had been the company's focus and would be forced to restructure its marketing strategy. This caused the company to halt planned increases which its sales projections were premised on.

Why did Planet Fitness's Stock Drop?

On May 7, 2026, Planet Fitness released its Q1 2026 financial results. The company announced disappointing membership growth and cut 2026 revenue growth guidance from approximately 9% to about 7% and adjusted EBITDA growth guidance from roughly 10% to approximately 6%. During the same-day earnings call, the company stated that its marketing "may have pivoted too far" as the company "shift[ed] from [its] lighthearted approachable tone" to one that "increased penetration with the fitness-minded." As such it announced that, "we are pausing the planned national Black Card price increase pending a broader pricing review."

This news caused the price of Planet Fitness stock to decline $19.95 per share, or 31%, from a closing price of $63.96 per share on May 6, 2026, to $44.01 per share on May 7, 2026.

Franchise Equity Partners Logo Investment Advances Planet Fitness' Commitment to Providing Accessible and Affordable Fitness Internationally and Targets Over 135 Planet Fitness Clubs Throughout Australia

, /PRNewswire/ -- Planet Fitness, Inc. (NYSE: PLNT), one of the largest and fastest-growing franchisors and operators of fitness centers with more members than any other fitness brand, and Franchise Equity Partners (FEP), a private investment firm on a mission to create long-term partnerships with quality franchisees and franchisors, today announced that FEP has acquired Bravo Fit, the Planet Fitness franchisee in Australia, from existing shareholders including Planet Fitness, which has exited its minority ownership position as a result of the transaction. As part of the agreement, Bravo Fit's management team will continue to lead the business and oversee its future growth in the region.

Bravo Fit, which has been central to bringing the brand's Judgement Free® model to members across the country, currently operates 32 Planet Fitness clubs and holds exclusive area development rights for up to approximately 100 clubs across Victoria, New South Wales, South Australia, Queensland, and the Australian Capital Territory. The transaction provides Bravo Fit with flexible, strategic capital to accelerate club expansion and continue investing in the member experience, while preserving the premier operating culture the team has built.

The acquisition marks FEP's first investment in an Australian-headquartered business and follows FEP's January 2026 acquisition of IMO Car Wash, a UK-headquartered business with operations in Australia.

"We are thrilled by the performance of the Planet Fitness brand in Australia since first entering the market seven years ago," said Colleen Keating, Chief Executive Officer at Planet Fitness. "We partnered with Bravo Fit initially to bring our brand promise of high-value, low-price fitness to the region, and our model has resonated well in the country. The success we've seen to date demonstrates one of the ways we can successfully deploy capital in a disciplined and focused manner to drive Planet Fitness' expansion in international markets. The sale of our ownership stake in Bravo Fit to FEP validates our approach, and we are confident that FEP and Bravo Fit will continue to further scale Planet Fitness' presence and growth in Australia."

"Bravo Fit is exactly the kind of partner FEP is built to support: a proven operator with a clear runway in a high-quality, globally recognized franchise system," said David O'Donnell, Managing Director, Head of Investments at FEP. "We have established experience with Planet Fitness as a minority partner in a U.S.-based franchise group, and we are excited by the opportunity to become a full-scale franchise owner in one of the world's most attractive fitness markets. Our flexible capital and experience scaling franchise businesses are designed to help the management team accelerate that buildout while preserving the operating discipline and member focus that have made Bravo Fit successful."

For Bravo Fit's founding team, the partnership with FEP marks the next chapter in a business built around long-term conviction in the Planet Fitness franchise model and the Australian market.

"This partnership with FEP is an important milestone for our entire team," said Danielle Monroy, Chief Executive Officer of Bravo Fit. "Over the past several years we have built a business defined by operational discipline and a genuine commitment to our members and our people. We look forward to benefitting from FEP's expertise in scaling franchises as we work to open clubs faster, invest in our team and continue bringing the Planet Fitness brand and experience to more communities across Australia — without compromising the standards that have gotten us here."

In connection with the transaction, Rob Coombe will serve as Chairman of Bravo Fit. Mr. Coombe is a senior Australian executive with more than 40 years of experience across financial services and consumer businesses, including as former Chief Executive Officer of BT Financial Group and as former Chief Executive Officer and Chairman of Craveable Brands, one of Australia's largest franchised quick-service restaurant operators.

FEP partners with leading franchisees and franchisors across multi-unit consumer-related sectors, providing flexible capital to support growth, ownership simplification, succession, and estate planning. With the addition of Bravo Fit, FEP further diversifies its portfolio internationally in a manner consistent with its core strategy.

Terms of the transaction were not disclosed. FEP was advised by Mallesons, PwC, and Davis Wright Tremaine LLP. The Bravo Fit shareholders were advised by Hall & Wilcox and Intrepid Investment Bankers.

PLNT DEADLINE: Levi & Korsinsky Reminds Planet Fitness, Inc. Investors of Upcoming Securities Class Action Deadline
PLNT Planet Fitness
FMP Stock News
Original source text
NEW YORK, July 20, 2026 (GLOBE NEWSWIRE) -- Levi & Korsinsky, LLP alerts investors in Planet Fitness, Inc. (NYSE: PLNT) that a class action has been filed on behalf of shareholders who purchased securities between November 6, 2025 and May 6, 2026. Find out if you may qualify to recover losses or call (212) 363-7500.

PLNT closed at $63.96 on May 6, 2026 and fell to $44.01 on May 7, 2026, a decline of $19.95 per share, or approximately 31.19%. The lead plaintiff deadline is September 14, 2026.

Market Impact From the May 7, 2026 PLNT Repricing

The complaint alleges that Planet Fitness had previously created an overly positive impression about its marketing effectiveness, membership growth outlook, Black Card pricing initiative, and ability to meet fiscal 2026 and long-term targets. After the Company announced first-quarter results, the market allegedly reassessed those assumptions in a single trading session.

The filing states that the Company attributed slower net member growth to internal and external headwinds during the peak sign-up period, including a marketing campaign that did not resonate with its core customer base. The action claims that this information was material because Planet Fitness’ subscription model depends heavily on member joins and recurring dues.

Alleged Market Impact Signals for PLNT Investors

Planet Fitness shares declined from $63.96 to $44.01 in one day after the May 7, 2026 announcement. The per-share decline was $19.95, representing approximately 31.19% of market value. The Company reduced expected same-club sales growth from the 4% to 5% range to approximately 1%.Revenue growth guidance moved from approximately 9% to approximately 7%.Adjusted EBITDA growth guidance was reduced from approximately 10% to approximately 6%.Planet Fitness paused the planned national Black Card price increase and withdrew its three-year growth algorithm. Why the Alleged Membership Slowdown Mattered to the Market

As alleged, the market impact was not limited to a single quarterly miss. The complaint contends that the May 7 disclosure called into question multiple investor assumptions at once, including marketing conversion, net member joins, price increase timing, and the durability of the Company’s stated growth model.

"When companies allegedly fail to disclose material information, shareholders may suffer significant losses. Here, the alleged correction coincided with a one-day $19.95 per-share decline in PLNT, which is precisely the kind of market impact investors should evaluate." -- Joseph E. Levi, Esq.

Frequently Asked Questions About the PLNT Lawsuit

Q: What court was the PLNT class action filed in? A: The case was filed in the United States District Court for the District of New Hampshire and asserts claims under the federal securities laws.

Q: Who are the defendants named in the PLNT lawsuit? A: The complaint names Planet Fitness, Inc. and individual defendants Colleen Keating, Chief Executive Officer and Director, and Jay Stasz, former Chief Financial Officer throughout the majority of the Class Period.

Q: What is the PLNT class action lawsuit about? A: A securities class action has been filed against Planet Fitness, Inc. (NYSE: PLNT) alleging materially false and misleading statements between November 6, 2025 and May 6, 2026. Shares fell approximately 31.19% after the Company disclosed slower net member growth, reduced 2026 guidance, withdrew its three-year growth algorithm, and paused the Black Card price rollout.

Q: What is a lead plaintiff and why does it matter? A: A lead plaintiff is the investor appointed by the court to represent the entire class. Lead plaintiffs are typically investors with the largest documented losses. Appointment gives direct oversight of how the case is run but does not increase an individual recovery.

Q: What documents should PLNT investors keep? A: Investors should keep brokerage statements or trade confirmations showing purchase dates, share quantities, prices paid, and any sale dates and sale prices.

Q: What if I already sold my PLNT shares, can I still recover losses? A: Yes. Eligibility is based on when shares were purchased and whether losses were suffered, not on whether the investor still holds the shares.

Q: Do I need to go to court or give testimony? A: No. The overwhelming majority of class members never appear in court or give testimony. If there is a settlement or recovery, eligible class members generally submit a claim form.

Q: What does it cost me to participate? A: There is no upfront cost to participate in a securities class action. These cases are generally handled on a contingency basis, and any attorneys’ fees and expenses are subject to court approval.

PLNT CLASS ACTION NOTICE: Faruqi & Faruqi, LLP Reminds Planet Fitness Investors of Securities Class Action Lawsuit Deadline on September 14, 2026
PLNT Planet Fitness

Faruqi & Faruqi, LLP Securities Litigation Partner James (Josh) Wilson Encourages Investors Who Suffered Losses In Planet Fitness To Contact Him Directly To Discuss Their Options

If you purchased or acquired securities in Planet Fitness between November 6, 2025, and May 6, 2026 and would like to discuss your legal rights, call Faruqi & Faruqi partner Josh Wilson directly at 877-247-4292 or 212-983-9330 (Ext. 1310).

[You may also click here for additional information]

New York, New York--(Newsfile Corp. - July 19, 2026) - Faruqi & Faruqi, LLP, a leading national securities law firm, is investigating potential claims against Planet Fitness, Inc.

You may also remain an absent class member and do nothing at this point. An investor's ability to share in any potential future recovery is not dependent upon serving as lead plaintiff.
