Second Quarter 2026 Highlights:

Quarterly GAAP revenues of $95.6 million, consistent with the second quarter of 2025. Quarterly revenues from consumables and service of $22.3 million, an increase of 13% compared to the second quarter of 2025. GAAP operating income of $12.3 million and *non-GAAP operating income of $16.0 million. Total cash position of $501.1 million as of June 30, 2026, including cash and cash equivalents, marketable securities and short-term bank deposits. Total GAAP revenues for the second quarter of 2026 were $95.6 million, consistent with the second quarter of 2025. Revenue from Asia reached a quarterly record, reflecting continued strength across key markets in the region. Quarterly revenues from consumables and service grew 13% compared to the second quarter of 2025, to $22.3 million, derived primarily from international sales.

GAAP gross margin for the second quarter of 2026 was 75%, compared to 80% for the second quarter of 2025.

*Non-GAAP gross margin for the second quarter of 2026 was 75%, compared to 80% for the second quarter of 2025.

GAAP operating margin for the second quarter of 2026 was 13%, compared to 24% for the second quarter of 2025. *Non-GAAP operating margin for the second quarter of 2026 was 17%, compared to 28% for the second quarter of 2025. These decreases were primarily attributable to higher cost of goods sold, product mix, the restructuring of the North America sales team implemented toward the end of 2025, additional marketing and sales investments to retain talent and maintain market share, and higher general and administrative expenses driven by increased professional services costs. We expect these trends to continue for the foreseeable future.

InMode reported GAAP net income of $17.1 million, or $0.29 per diluted share, in the second quarter of 2026, compared to $26.7 million, or $0.42 per diluted share, in the second quarter of 2025. On a *non-GAAP basis, InMode reported net income of $20.8 million, or $0.35 per diluted share, in the second quarter of 2026, compared to $30.1 million, or $0.47 per diluted share, in the second quarter of 2025.

To the Board Member of InMode:

As of the date of this letter, DOMA Perpetual Capital Management LLC ("DOMA") and its affiliates beneficially own approximately 4.63% of the outstanding ordinary shares of InMode Ltd. ("InMode" or the "Company").

We are writing as a concerned shareholder regarding the recently proposed acquisition of the Company led by the Chief Executive Officer in partnership with a group of investors. The circumstances surrounding this proposal raise serious concerns about conflicts of interest, governance, the Board's fiduciary responsibilities, and the fairness of the proposed transaction.

We believe the proposal materially undervalues the Company, particularly in light of its long-term potential and intrinsic assets. It is difficult to ignore that this proposal also follows a long period of operational underperformance under the current CEO's leadership. We have previously asked the Board, in a public communication dated May 9, 2025, to replace the CEO precisely because of his sustained underperformance, and that same CEO now appears positioned to benefit from the proposed transaction.1 In our view, these circumstances warrant close scrutiny, and DOMA reserves all of its rights in connection with the proposed transaction.

We strongly believe the proposal would allow management to capitalize on a depressed valuation that developed during its own stewardship and that, in our view, management's performance helped create. Such dynamics are deeply troubling from a governance perspective.

The Board has fiduciary obligations to act in the best interests of all shareholders, not management or any specific investor group. In this context, we urge the Board to take the following actions:

Establish a fully independent special committee with no ties to management to evaluate the proposal. Retain international independent financial and legal advisors to conduct a rigorous valuation and fairness assessment. Conduct a broad and transparent market check inviting public offers to determine whether superior offers exist. Ensure that shareholders are provided with full and fair disclosure regarding the process, assumptions, and any potential conflicts of interest. Any transaction that allows insiders to acquire the Company at a price influenced by their own stewardship must be subject to the highest level of scrutiny. Failure to do so could expose the Company and the Board to significant shareholder value destruction, as well as reputational and legal risk.

Shareholders rely on the Board to uphold strong governance standards and to protect against precisely this type of conflicted transaction. I trust that you will take these responsibilities seriously and act accordingly.

Business Strategy, Ltd. In 2025, the Company repurchased approximately $127.4 million of its outstanding ordinary shares through share repurchase programs. Despite a challenging macroeconomic environment, the Company continues to generate strong cash flow and believes that repurchasing shares at its current valuation represents an attractive use of capital.

While management remains focused on navigating the ongoing regional conflict and maintaining a disciplined approach to capital allocation, the Company will continue to evaluate additional share repurchase programs and other capital allocation opportunities going forward.

Total GAAP revenues for the first quarter of 2026 were $82.0 million, an increase of 5% compared to $77.9 million in the first quarter of 2025.

(Nasdaq: INMD) ("InMode" or the "Company"), a leading global provider of innovative medical technologies, today announced the appointment of Dr. Shlomo Nass as Chairman of the Company's Board of Directors (the "Board") and Moshik Itzkovich as Chief Financial Officer, effective immediately.

Dr. Nass succeeds Dr. Michael Anghel, who retired earlier this month, and will lead the Board in supporting the Company's long-term strategic growth and governance priorities. Dr. Nass brings decades of expertise in corporate law, accounting, governance, and audit oversight, with extensive experience advising public and private companies on complex regulatory and financial matters.
