CASE ALLEGATIONS: Hub Group is a supply chain solutions provider that offers transportation and logistics management services.

The Hub Group class action lawsuit further alleges that on May 12, 2026, Hub Group announced that it had "identified certain transactions that were prematurely or incorrectly recognized or not adequately supported," rendering its 2023 and 2024 financial reports to be materially misstated such that they "should no longer be relied upon."  Hub Group allegedly further announced that it expected "to conclude that it did not maintain effective disclosure controls and procedures and internal control over financial reporting for each of the years ended December 31, 2024 and 2023."  On this news, the price of Hub Group stock fell 13%, according to the complaint.

Nvidia Reportedly Agrees to Pay $12.9 Billion for the Central Hub of the Open-Source AI World, a Company With Just $150 Million in Revenue

Nvidia reportedly wants to buy the open-source platform where nearly every AI model in the world lives, but the price tag raises a question that goes beyond the billions: what happens to developer trust when the hub of a vendor-neutral…

NVIDIA (NASDAQ:NVDA | NVDA Price Prediction) has reportedly agreed to acquire Hugging Face for $12.9 billion, according to a report from The Information that was subsequently picked up by Reuters, CNBC and TechCrunch. Hugging Face generates roughly $150 million in annualized revenue, so NVDA would be paying approximately 86 times revenue. Neither company has confirmed the reporting, no contract has been signed, and deal structure, cash-versus-stock mix and any regulatory review remain undisclosed.

A multiple this high on a business this small reflects what the platform represents inside the open-source AI stack.

What Hugging Face Actually Is Founded in 2016, Hugging Face is widely described as the “GitHub of AI”: a hub where developers and companies share, download and publish open-source AI models, datasets and tools. It also operates infrastructure that lets developers run those models on rented cloud and compute, making it both a repository and a deployment and inference layer. In an AI market otherwise dominated by closed labs, it is the central and relatively vendor-neutral home for the open-model community.

Fast-Growing Revenue, Not Yet Profitable Hugging Face’s roughly $150 million annualized revenue is up from roughly $100 million about two months earlier. CEO Clem Delangue has described the company as “close to profitability,” but it is not yet profitable. Its last private valuation was $4.5 billion, set in a 2023 round that raised $235 million.

From Rejected Minority Bid to Reported Full Buyout The relationship has escalated in three stages. In 2023, NVIDIA participated in Hugging Face’s funding round as one of several investors. In late 2025, NVIDIA offered a $500 million minority investment that would have valued Hugging Face at $7 billion; leadership rejected it because they did not want a single dominant investor with outsized influence. Now, less than a year later, the reported figure is a $12.9 billion full acquisition.

Why NVIDIA Wants the Developer Layer NVIDIA’s largest customers are building their own silicon. OpenAI and Broadcom unveiled benchmark claims for their custom “Jalapeño” inference chip at the Hot Chips conference on Aug. 25, 2026, asserting it outperforms NVIDIA’s Blackwell-generation rack systems (see our coverage). Owning Hugging Face is reported as a way to keep developers building and deploying models in ways that favor NVIDIA’s hardware and software stack, and to give NVIDIA a credible path back into cloud through Hugging Face’s model-deployment and compute-rental platform.

The check is small against NVIDIA’s scale. The company reported $96.22 billion in revenue for Q2 fiscal 2027 and guided to $108.0 billion for the current quarter, with approximately $99.0 billion remaining under its share-repurchase authorization. CEO Jensen Huang told analysts, “nearly all open models run on NVIDIA”. Buying the venue where those models are hosted removes ambiguity about that claim.

Independence Question Looms Over the Deal Hugging Face’s value to the open-source community depends on its perceived neutrality across hardware and cloud vendors. Ownership by a chip company with direct financial interest in developer lock-in creates tension with that positioning. Delangue, in the context of a cyberattack on Hugging Face’s systems around June/July 2026, argued that open models matter because researchers can examine and act on security threats “without asking anyone’s permission.” That is the ethos being sold.

What to watch: whether the reporting hardens into a signed agreement, whether terms and any regulatory review are disclosed, and how the open-model developer base reacts before any close. Talks could still collapse.

Hub Group shares declined a cumulative $14.71 per share (28.6%) following two corrective disclosures that rendered the Company's 2023, 2024, and first nine months of 2025 financial statements unreliable. The lead plaintiff deadline is August 28, 2026.

What the Company Disclosed

From 2023 through 2025, Hub Group's quarterly and annual SEC filings included boilerplate language stating that revenue was recognized "when we transfer services to our customers in an amount that reflects the consideration we expect to receive" under ASC Topic 606. Each filing also contained certifications from the CEO and CFO stating that disclosure controls and procedures were "effective" and that financial statements "fairly present in all material respects" the Company's financial condition.

This identical language appeared in at least eleven SEC filings across the Class Period.

What the Complaint Charges Was Missing

The securities action contends that these formulaic disclosures concealed specific, known problems:

Purchased transportation and warehousing costs were allegedly understated by an estimated $77 million in the first nine months of 2025 alone Certain transactions were allegedly prematurely or incorrectly recognized, or not adequately supported, dating back to at least Q1 2023 Accounts payable were allegedly understated, masking the true magnitude of vendor obligations The Company's largest expense line item, representing 74%-76% of revenue, was allegedly misreported for years Internal controls were certified as effective in every filing despite alleged systemic failures in cost recording and revenue recognition The Company attributed declining costs to "strong cost controls" and "network optimization" when the reductions were allegedly the product of accounting errors Why Boilerplate Language May Not Shield the Company

As pleaded in the complaint, Hub Group's disclosures described how revenue should be recognized under ASC 606 but allegedly failed to disclose that the Company was not following those procedures correctly. The complaint challenges the gap between the Company's stated accounting methodology and its alleged actual practices.

When a company's risk factor language describes general accounting policies but omits the fact that those policies are allegedly being misapplied, the disclosures may fail to satisfy the anti-fraud provisions of the Exchange Act.

This news caused the price of Hub Group stock to decline roughly 18%, from $51.33 per share at close on February 5, 2026, to $41.96 per share at close on February 6, 2026.

On May 12, 2026, Hub Group announced that it had "identified certain transactions that were prematurely or incorrectly recognized or not adequately supported," causing its 2023 and 2024 annual reports filed with the SEC to be "materially misstated," such that they "should no longer be relied upon." On February 5, 2026, Hub Group announced that the Company's financial statements for the first three quarters of 2025 should not be relied upon and would be restated due to "an error that resulted in the understatement of purchased transportation costs and accounts payable in the first nine months of 2025." The Company revealed that its reports for those quarters "were in each case materially misstated due to the aforementioned error and should no longer be relied upon" and that "the Company [wa]s also continuing to assess the effectiveness of its disclosure controls and procedures and internal control over financial reporting and appropriate remediation steps." The Company also estimated that "[t]he total amount of the reduction to accounts payable and purchased transportation costs related to this issue that was recorded during these periods is $77 million."

This news caused the price of Hub Group stock to decline roughly 18%, from $51.33 per share at close on February 5, 2026, to $41.96 per share at close on February 6, 2026.

On May 12, 2026, Hub Group announced that it had "identified certain transactions that were prematurely or incorrectly recognized or not adequately supported," causing its 2023 and 2024 annual reports filed with the SEC to be "materially misstated," such that they "should no longer be relied upon." The Company did not quantify the expected misstatement, although it "expect[ed] to conclude that it did not maintain effective disclosure controls and procedures and internal control over financial reporting for each of the years ended December 31, 2024 and 2023."

This news caused the price of Hub Group stock to decline a further 13%, from $41.86 per share at close on May 11, 2026, to $36.62 per share at close on May 12, 2026.

On this news, Hub Group’s stock price fell $9.37 per share, or 18.25%, to close at $41.96 per share on February 6, 2026.
