NEW YORK, Oct. 21, 2026 (GLOBE NEWSWIRE) -- Critical Metals Corp. (Nasdaq: CRML) (“Critical Metals Corp” or the “Company”), a leading critical minerals exploration and mining company, today provided an update on its proposed acquisition of European Lithium Limited (ASX: EUR, FRA: PF8, OTC: EULIF) (“European Lithium”), ahead of the European Lithium securityholder meetings to be held on Thursday, October 22, 2026. Under the proposed transaction, Critical Metals Corp would acquire 100% of the issued share capital of European Lithium and all of European Lithium's listed options by way of Court-approved schemes of arrangement under Part 5.1 of the Australian Corporations Act 2001 (Cth), comprising a scheme between European Lithium and its shareholders (the “Share Scheme”) and a scheme between European Lithium and the holders of its listed options (ASX: EUROC) (the “Option Scheme”, and together with the Share Scheme, the “Schemes”).
Trump's promise of massive Greenland mineral exploration sent one rare earth stock surging while leaving its closest peers behind, and the reason the gap opened up comes down to a single project on the island that no other U.S.-listed company…
Critical Metals (NASDAQ:CRML) stock is at $6.80, up 4% in morning trading, after President Donald Trump said massive exploration for oil, gas and minerals is preparing to begin in Greenland. The gain lands on the only one of three closely followed U.S.-listed rare earth names with a project on the island. Even with the jump, Critical Metals shares remain down 1% year to date.
Meanwhile, MP Materials (NYSE:MP) stock is down 2% to $41.71; it’s sitting out the rally that’s raising Critical Metals shares, and it’s down 16% year to date. Both companies sit inside the same U.S. push for rare earth supply chains outside China, which makes the gap between their stocks stand out.
Sector-wide, the VanEck Rare Earth and Strategic Metals ETF (NYSEARCA:REMX) is down 1% to $56.96. Broader equities are a touch stronger, with the SPDR S&P 500 ETF Trust (NYSEARCA:SPY) only down 0.35% to $775.30. That range of price moves frames the session as a trade focused on CRML stock rather than a revaluation of the broader rare-earth sector.
Trump’s Greenland Post Puts Tanbreez in Focus Trump made the comments in a social media post, describing Greenland as potentially holding some of the world’s largest easily accessible oil reserves. He named no projects, no operators and no timetable for the work, and for now the announcement reaches the market as a statement of intent, with no permit, contract or award attached.
Critical Metals is progressing its Tanbreez project in southern Greenland, which the company says contains 19 critical elements used across several industries. The company secured government approval for its mining plans there earlier this month, and it holds the only exploitation permit for rare earths in Greenland. Last month, the U.S., Denmark and Greenland reached an agreement to expand the American military presence on the island. The exploration post follows that deal.
Greenland Exposure Splits the Rare Earth Group As a development-stage business, Critical Metals holds purchase term sheets for its Greenland project, reports no operating revenue and has disclosed substantial going concern doubt. That profile ties its value almost entirely to the Tanbreez asset itself. Separately, the company is seeking Greenland government approval to raise its ownership stake in the project, which could compound that concentration.
MP Materials operates a producing mine at Mountain Pass in California, along with a magnet facility in Fort Worth, Texas. Peer USA Rare Earth (NASDAQ:USAR), with its Round Top project in Texas and a magnet plant in Stillwater, Oklahoma, is also domestic. Both sit entirely in the U.S., away from Greenland. USAR stock is down 3% to $10.95.
Tanbreez Still Needs a Place in the Plan Critical Metals now faces one open question: whether the exploration push Trump described becomes a specific program naming Tanbreez. Nothing announced so far does. Until that changes, the gain rests on a broad policy signal tied to the island as a whole.
Investors should consider keeping their position sizes modest until the Greenland exploration plans name specific projects, and any named role for Tanbreez in a formal program could mark the point where Trump’s announcement reaches Critical Metals directly. That step could also show whether Washington’s interest turns into easier financing for the project.

Greenland-linked stocks are jumping before the bell after President Donald Trump said Wednesday that “massive” oil, gas and mineral exploration is about to start on the Arctic island. He made the claim in a post on Truth Social.
GRLD stock is soaring. See the chart and price action here. “Massive Oil, Gas, and Mineral Exploration is getting ready to begin in our new and beautiful Greenland!” Trump wrote.
He added that experts say the island’s supply of “easily available Oil is far greater than that of almost any land, anywhere in the World.”
The post also leaned on defense. Trump said any future attack on the U.S. “will have to come across Greenland.”
Oil Play LeadsTraders sent Greenland Energy Co. (NASDAQ:GLND) shares soaring following Trump’s comments. The stock traded at $4.20 premarket, up 90.08% from Tuesday’s close, per Benzinga Pro data.
Even with the jump, shares sit about 82% below their 52-week high of $23. They also remain well above the 52-week low of $1.09.

Miners FollowGreenland Mines Ltd. (NASDAQ:GRML) rose 43.50% to $7.95 premarket, up from a $6.02 close. The company is developing the Skaergaard project, one of the largest undeveloped palladium, gold and platinum deposits in the world. Its market value at Tuesday’s close was only about $16.7 million, according to Benzinga Pro market data.
Critical Metals Corp. (NASDAQ:CRML) moved less, but still gained 4.61% to $6.84 which still leaves the stock about 76% below its 52-week high of $28. The company is developing the Tanbreez heavy rare earths project in southern Greenland and expects first ore in the fourth quarter of 2028 or the first quarter of 2029, Reuters reported.
Familiar PatternAll three stocks have rallied on Trump’s Greenland comments before. In September, after a U.S.-Denmark security deal on the island, Greenland Mines jumped more than 200%, Greenland Energy rose 159% and Critical Metals gained nearly 37%.

Government of Greenland formally approves the Tanbreez Mining Plan and Closure Plan for one of the world’s largest heavy rare earth deposits – 19 critical elements approved, including the heavy rare earths terbium, dysprosium and yttrium and the magnet metals neodymium and praseodymium – with activity-specific operating permits the final step before construction
Key Highlights
Government Green Light Through 2050: The Government of Greenland has approved the Mining Plan and Closure Plan for the Company’s flagship Tanbreez Project, establishing a clear, long-term framework to build, operate and ultimately rehabilitate the mine through September 2050 – approximately 24 years of permitted operations under the Company’s existing exploitation licence.19 Critical Elements Approved for Extraction: The approvals cover the heavy rare earths terbium, dysprosium and yttrium, the magnet metals neodymium and praseodymium, and the strategic metals zirconium, hafnium, tantalum and niobium – materials essential to electric vehicles, wind turbines, advanced electronics and defense systems, and among the most supply-constrained critical minerals in Western markets.Major De-Risking Step Toward Construction: With the Mining and Closure Plans approved, the remaining gate to construction is the activity-specific operating permits under sections 120 and 121 of the Greenland Mineral Activities Act. The approvals give investors and prospective financing partners significantly greater clarity on the path to developing a Western-aligned source of heavy rare earths. NEW YORK, Oct. 05, 2026 (GLOBE NEWSWIRE) -- Critical Metals Corp. (Nasdaq: CRML) (“Critical Metals Corp” or the “Company”), a leading critical minerals exploration and mining company, today announced that the Government of Greenland (Naalakkersuisut) has formally approved the Mining Plan and Closure Plan for the Company’s flagship Tanbreez Project in Southern Greenland – one of the world’s largest heavy rare earth deposits. The approvals build on the exploitation licence granted to Tanbreez in 2020 and set out how the mine will be built, operated and ultimately closed and rehabilitated over a period running through 2050.
The approvals were granted to the Company’s Greenlandic subsidiary, Tanbreez Mining Greenland A/S, under sections 77 and 80 of the Greenland Parliament Act on Mineral Activities and Exclusive Licence No. 2020-54, which covers the exploitation of minerals at Killavaat Alannguat, between Narsaq and Qaqortoq in Southwest Greenland. They were signed on behalf of the Government of Greenland by Múte B. Egede, Minister for Foreign Affairs, Business and Mineral Resources, in Nuuk on September 29, 2026.
Scope of the Approvals
The approvals cover the period from signing until September 8, 2050, and set out the 19 elements the Company may extract at Tanbreez once the remaining operating permits are in place: zirconium, hafnium, tantalum, niobium, lanthanum, cerium, praseodymium, neodymium, samarium, europium, gadolinium, terbium, dysprosium, holmium, erbium, thulium, ytterbium, lutetium and yttrium.
Of particular significance, the approved elements include the heavy rare earths terbium, dysprosium and yttrium – among the scarcest and most strategically important rare earths, used in high-temperature permanent magnets for electric vehicle motors, wind turbines and defense applications – together with the magnet metals neodymium and praseodymium.
The Mining Plan sets out how the Company will build and operate the mine, processing facilities, port and supporting infrastructure at Tanbreez. The Closure Plan sets out how the site will be decommissioned and rehabilitated at the end of its life, reflecting the Company’s commitment to responsible development in partnership with the Government of Greenland and the communities of South Greenland.
Tony Sage, Chairman and Chief Executive Officer of Critical Metals Corp, commented:
“Approval of the Mining and Closure Plans is a defining milestone for Tanbreez and for Critical Metals Corp. It gives us a clear framework through 2050 to responsibly develop one of the world’s largest heavy rare earth deposits, in partnership with the Government of Greenland and the communities of South Greenland. We thank the Government and the Mineral Resources Authority for their thorough review, and we now move forward with the specific operating permits that will take us to construction.”
Michael Hanson, Independent Director of Critical Metals Corp, added:
“The approval of the Mining and Closure Plans is an important step in de-risking Tanbreez. It gives investors and potential financing partners greater clarity on the path to development of one of the most significant rare earth projects outside of established supply chains.”
Path to Construction
The next step is to obtain the operating permits for specific activities at Tanbreez under sections 120 and 121 of the Act, covering areas including environmental management, marine transport, health and safety, and the export and sale of minerals. Construction can begin once these permits are granted and the required financial security is in place. The Company will provide further updates as these approvals progress.

Critical Metals CRML shares ripped higher on Monday morning after the Trump administration announced a historic security pact between the US, Denmark, and Greenland.
This geopolitical milestone derisks CRML’s flagship Tanbreez project in southern Greenland – one of the world's largest undeveloped heavy rare earth deposits.
Despite the huge surge today, Critical Metals stock is trading at about half its price in late January.
Investors are cheering CRML shares mostly because of the formalization of a defense and security framework covering Greenland, designed to safeguard the critical supply chain for battery and defense technologies.
For the Nasdaq-listed firm, the landmark agreement acts as a massive geopolitical tailwind.
Tanbreez holds “massive reserves of heavy rare earth elements” essential for permanent magnets, military defense hardware, and AI hardware infrastructure.
By formally aligning Greenland’s mineral security with Western defense interests, the framework improves the likelihood of future non-dilutive federal grants, fast-tracked permitting support, and long-term Western offtake contracts.
Combined with Critical Metals' recent study on a $4.5 billion NPV joint-venture rare earth refinery in Romania, investors are increasingly viewing the stock as key to breaking China’s monopoly on critical minerals.
While the headline news is unquestionably bullish, investors are recommended caution in chasing today’s rally as it carries substantial short-term risks.
CRML remains a “pre-revenue”, development-stage miner with ongoing cash burn and an overall unprofitable profile – meaning its valuation relies more on future project execution than current fundamentals.
Short-term trading spikes on geopolitical headlines frequently suffer from sharp gap-fills once the initial hype cools down.
Plus, development-stage miners often leverage rapid price surges to issue equity and raise capital, introducing potential share dilution.
Even from a technical perspective, Critical Metals shares now have their relative strength index (RSI) set in the late 60s, indicating they’re now approaching overbought territory that often results in near-term profit-taking.
In the long run, CRML stock’s trajectory will depend on fundamental operational execution rather than political headlines.
The immediate event to watch is the October 22 shareholder vote on the acquisition of European Lithium Limited’s remaining stakes, a key consolidation move slated for completion by November.
Beyond the merger, the ultimate proving ground for Critical Metals will be the upcoming release of the Tanbreez Definitive Feasibility Study (DFS) before year-end.
A strong DFS, coupled with concrete debt financing or federal grant allocations, will provide the fundamental backbone needed to sustain valuation.
Until those tangible operational milestones are met, CRML remains a high-beta, headline-driven vehicle for speculative investors.
Interestingly, though, Wall Street nonetheless rates it at Moderate Buy, with the mean price target of $16 indicating massive upside potential from current levels.
Trump Sparks Massive Rally in Greenland Stocks With New Arctic Strategy Summary
A new U.S.-Greenland security agreement sparked a buying frenzy in Greenland-focused mining and energy stocks
Shares of Greenland Energy (GLND), Greenland Mines (GRML) and Critical Metals (CRML) surged on early Monday after investors reacted to a new U.S. security arrangement involving Greenland and Denmark.
Greenland Energy more than doubled, while Greenland Mines and Critical Metals posted sharp gains. The agreement outlines a larger U.S. role in Greenland's security affairs, prompting speculation that resource projects on the island could attract greater strategic attention from Washington.
The deal is expected to be finalized during the United Nations General Assembly. While details remain limited, leaders in Denmark and Greenland said the framework preserves the territory's sovereignty and interests.
Investors appeared to focus on Greenland's importance as a source of rare earths, precious metals and other materials used in defense and energy applications. Greenland Mines is advancing rare-earth and precious-metals projects, while Critical Metals is developing the Tanbreez deposit. Greenland Energy is pursuing oil and gas exploration opportunities in eastern Greenland.
No new project funding, permits or commercial agreements were disclosed as part of the security arrangement.

Shares of U.S.-listed companies exposed to Greenland surged on Monday after the U.S. and Denmark reached a deal regarding security arrangements on the Arctic territory.
Shares of Greenland Energy soared more than 141% during premarket trading, with Greenland Mines seen up nearly 70% and Critical Metals Corp more than 30% higher.
The agreement, which is expected to be signed during the United Nations General Assembly this week, sees the U.S., Denmark and Greenland enter into a pact to develop a significant military presence on the territory, while blocking Washington's adversaries from building their own bases there.
It comes after several months of Trump's threats to annex the self-governing Danish territory, with the president insisting Greenland is critical to U.S. national security.
Shares of Greenland Energy over the past six months.
Announcing the deal, Trump said via Truth Social on Friday that the U.S. would "FOREVER have the complete ability to do what is necessary in Greenland in order to secure and defend the security of Greenland, and the United States of America."
Trump said the agreement would come at no cost to the U.S., adding that Washington would "immediately begin the process of developing a large Military presence in the appropriate part of Greenland, of which there are many."
Key details of the agreement have not yet been made public.
Greenlandic and Danish officials sought to reassure citizens over the weekend that the deal would respect the island's right to self-determination and the sovereignty of the Danish kingdom.
"It is joyous that we are about to make an agreement that will ensure and strengthen the security of Greenland, the Kingdom of Denmark, the United States and the Western Alliance," Greenland's Prime Minister Jens-Frederik Nielsen said in a statement.
"The agreement recognizes Greenland's interests and our place in the international cooperation. It is to the benefit of us all," he added.
Shares of Critical Metals Corp. (NASDAQ:CRML) are trading lower Friday morning as investors continue to weigh a slate of company-specific catalysts.
Critical Metals shares are falling. Why is CRML stock trading dropping? Tanbreez Project Breakthrough and Romanian Refinery EconomicsThe Friday morning pullback follows a strong fundamental news cycle earlier in the week. On Wednesday, Critical Metals announced a processing breakthrough for its Tanbreez Rare Earth Project in Greenland, achieving greater than 99% dissolution of eudialyte concentrate.
Alongside the technical milestone, the company unveiled economic modeling for a proposed joint venture refinery in Romania. Management estimates the facility will require approximately $1.85 billion in preliminary capital expenditures but projects it could generate between $1.8 billion and $2.2 billion in annual revenue before operating costs, taxes and capital recovery.
The proprietary extraction process is designed to yield 19 ultra-high-purity rare earth products while significantly reducing tailings and generating high-value commercial by-products, including high-purity silica powder.
European Lithium Acquisition Advances Toward Final ApprovalAdding to the week’s strategic developments, Critical Metals confirmed on Tuesday that the Supreme Court of Western Australia issued orders advancing the company’s proposed acquisition of European Lithium. The court ruling directed European Lithium to convene securityholder meetings, now scheduled for October 22, to vote on the scheme of arrangement.
While these operational and M&A milestones represent significant commercial progress for Critical Metals, the massive $1.85 billion estimated capital requirement for the Romanian refinery leaves the stock highly sensitive to borrowing costs, driving Friday’s pullback amid elevated Treasury yields.
CRML Stock Falls Friday MorningCRML Price Action: Critical Metals shares were down 2.18% at $6.72 at the time of publication on Friday, according to Benzinga Pro data.

Critical Metals Corp. (NASDAQ:CRML) shares are trading higher Wednesday after the company announced breakthrough results from its Tanbreez heavy rare earth project, including greater than 99% dissolution of eudialyte concentrate into 19 ultra-high-purity rare earth products.
Critical Metals stock is surging to new heights today. Why is CRML stock up today? Critical Metals Refinery Study Projects $4.5B NPV, 55% IRRCritical Metals said a refinery study for its proposed Romanian joint venture facility projects annual revenue of approximately $2.2 billion before operating costs, taxes, and capital recovery, with a preliminary capital expenditure estimate of $1.85 billion. Current modeling indicates an NPV10 of approximately $4.5 billion, an IRR of approximately 55%, and a projected payback period of about two years. The refinery, designed to process up to 100,000 tons per year of eudialyte concentrate, incorporates three key process innovations: multistage mixed-acid reactor additions to prevent silica gel formation, complete silica recovery designed to produce high-purity silicon dioxide powder while cutting fresh acid consumption by roughly 85%, and vacuum freeze-drying of all 19 chloride salts to produce ultra-low-moisture powders.
The company projects the silica by-product alone could generate approximately $600 million in annual revenue, with the broader silicate recovery system contributing $400 million to $600 million per year in combined value. The refinery is planned for Romania, an EU and NATO member state, which Critical Metals said supports a secure Western supply chain for materials shipped from its Tanbreez project in Greenland.
“This represents a significant evolution in the Tanbreez value proposition and reinforces our commitment to a true mine-to-metals strategy,” said Tony Sage, Executive Chairman and CEO of Critical Metals Corp. “We believe this integrated approach has the potential to establish Critical Metals Corp. as an important non-Chinese supplier of critical materials to the European and U.S. markets.”

Critical Metals Corp. has steadily de-risked Tanbreez through ownership consolidation, increasing its stake from 42% to a full 100% control. The current 10,000-meter drilling campaign is focused on advancing mine development rather than simply expanding resources. Funding remains the key hurdle, though EXIM Bank interest, stronger project ownership, and commercial agreements have improved financing prospects.
Critical Metals Corp (NASDAQ:CRML) shares are trading marginally higher Monday as investors continue to weigh the company’s 10,000-meter diamond drilling launch against a mildly risk-off tape. Here’s what investors need to know.
Critical Metals stock is trading near recent lows. Where is CRML stock headed? What To Watch for Critical Metals’ Drilling ProgramThe company has started a 10,000-meter diamond drilling program at its Tanbreez Rare Earth Project in southern Greenland, positioning the work as an input into resource expansion, geological modeling, mine design, and long-term development planning. It also said it has completed the first phase of field infrastructure (including housing and operational support for the 2026 season) and that contractors and field crews are now on site.
Critical Metals is also operating in a macro tape where "higher for longer" rate fears can cap speculative appetite, after a week marked by heightened volatility tied to shifting Fed expectations and persistent inflation concerns. That backdrop can pressure pre-revenue explorers even when project-level milestones are constructive.
What Is Critical Metals Corp and Its Projects?Critical Metals operates as a mining exploration and development company focused on critical metals and minerals, with key activities centered on lithium and rare earth element deposits. Its projects include the Wolfsberg Lithium Project in Austria and the Tanbreez rare earth deposit in Greenland, giving it leverage to themes tied to supply-chain security and electrification.

NEW YORK, June 30, 2026 (GLOBE NEWSWIRE) -- Critical Metals Corp. (Nasdaq: CRML) (“Critical Metals Corp” or the “Company”), a leading critical minerals mining company, is pleased to announce the acquisition of the Ocean Endeavour, a 180-passenger vessel that will support the Company's ongoing development activities in Qaqortoq, Greenland.
The acquisition represents a significant investment in workforce safety, accommodation and transportation infrastructure, strengthening CRML's strategic and operational capabilities in one of the world's most important emerging critical minerals jurisdictions.
The Ocean Endeavour, originally built in 1982, is an ice-strengthened vessel with a proven operating history in both Arctic and Antarctic environments, making it well-suited to support year-round activities associated with the development of the Tanbreez critical minerals project. Most recently, the vessel was chartered by the Danish Defense, alongside NATO operations, to serve as a floating accommodation in Nuuk, Greenland, demonstrating its suitability for supporting personnel in remote and challenging environments.
The vessel purchased by CRML for €7.5 million is expected to provide flexible housing capacity for project personnel while minimizing additional demand on local housing and hotel capacity in Greenland. It is also expected to facilitate reliable transportation throughout the region. By providing self-contained accommodation for its workforce, CRML aims to avoid placing strain on the limited hotel and tourism infrastructure in Qaqortoq and the surrounding region, thereby supporting the local tourism economy alongside mining development. The company intends to moor the vessel adjacent to the Tanbreez project to support site operation, which will require approval from the Government of Greenland. By integrating accommodation and transport into a single maritime platform, CRML expects to improve logistical efficiency associated with remote Arctic operations, enhance workforce safety, improve operational efficiency, and support the timely execution of project development activities.
CRML is committed to engaging local businesses and suppliers in connection with the operation of the Ocean Endeavour, including in areas such as provisioning, waste management and regional transportation. The Company views collaboration with local Greenlandic enterprises as an integral part of its approach to responsible and community-oriented project development.
Critical Metals is fully aware that the company operates in a geographically and culturally sensitive area with limited infrastructure capacity. It is therefore an integral part of the company's approach to continually consider how the project can be carried out as responsibly as possible – with deep respect for the local environment, the Arctic wilderness and the local population of Greenland. Critical Metals recognizes that a project of this scale entails a responsibility that extends beyond the purely operational dimension, and the company is firmly committed to upholding good standards of environmental and social responsibility.
Critical Metals also wishes to emphasize that the company is actively seeking to involve the local Greenlandic business community in the opportunities created by the project. It is the company's firm belief that a successful mining project must not only add value for the company's shareholders, but must also contribute to the local economy and create tangible, lasting benefits for the communities affected by the project. Critical Metals therefore regards collaboration with local businesses, suppliers and stakeholders as a prerequisite for responsible project development.

Tony Sage, Chairman of CRML, commented:
“This acquisition represents another important step in advancing our Greenland strategy. Developing world-class critical minerals projects in remote regions requires innovative infrastructure solutions. The Ocean Endeavour provides us with a flexible, proven platform that will support our workforce, improve logistics, and enhance operational efficiency as we continue to progress our development activities in Qaqortoq. This strategic asset strengthens our ability to execute our long-term growth plans while maintaining a strong focus on safety and operational excellence.”

CRML Advisory Board Member Rear Admiral Peter Stamatopoulos (Retd.) commented:
“Having spent decades operating in complex maritime and strategic environments, I recognize the value of dependable infrastructure in challenging regions such as Greenland. The Ocean Endeavour has already demonstrated its effectiveness supporting military and allied personnel in Nuuk. Its acquisition by CRML reflects prudent planning and provides a robust platform to support workforce accommodation, transportation, and operational resilience as the Company advances its projects in Greenland.”

NEW YORK, July 21, 2026 (GLOBE NEWSWIRE) -- Critical Metals Corp. (Nasdaq: CRML) (“Critical Metals Corp” or the “Company”), a leading critical minerals mining company, today announced the Mrima Earth Limited Consortium (the “Consortium”), in which Critical Metals is the lead party, has been shortlisted as one of only three finalist bidders to proceed to the final stage of the Government of Kenya's competitive tender process for the right to develop the Mrima Hill rare earth and niobium project in Kwale County, Kenya, a powerful endorsement of the Consortium's financial strength, world-class technical capability and vision of developing Mrima Hill and Kenya as a regional rare earth processing hub. Mrima Hill is widely regarded as one of the most significant undeveloped rare earth and niobium deposits globally, positioned on Kenya's southern coast with direct access to the Port of Mombasa.
NEW YORK, July 21, 2026 (GLOBE NEWSWIRE) -- We are advised by Critical Metals Corp that journalists and other readers should disregard the news release, “Critical Metals Corp Advances to Final Round of Kenya Government Tender for the World-Class Mrima Hill Rare Earth and Niobium Project” issued July 21, 2026, over GlobeNewswire.
NEW YORK, July 23, 2026 (GLOBE NEWSWIRE) -- Critical Metals Corp. (Nasdaq: CRML) (“Critical Metals Corp” or the “Company”), a leading critical minerals mining company, today announced the Mrima Earth Limited Consortium (the “Consortium”), in which Critical Metals is the lead party, has been shortlisted as one of only three American finalists, from an initial field of seven bidders, to proceed to the final stage of the Government of Kenya's competitive tender process for the right to develop the Mrima Hill rare earth and niobium project in Kwale County, Kenya, a powerful endorsement of the Consortium’s financial strength, world-class technical capability and vision of developing Mrima Hill and Kenya as a regional rare earth processing hub.
Mrima Hill is widely regarded as one of the most significant undeveloped rare earth and niobium deposits globally, positioned on Kenya’s southern coast with direct access to the Port of Mombasa. The opportunity arrives at a pivotal moment for the industry: China currently controls approximately 90% of global rare earth supply and has signaled it will increasingly prioritize domestic needs, while demand for the rare earth magnets that power EVs, wind turbines and defense systems is projected to grow four to six times by 2040. Mrima Hill represents a natural and highly complementary addition to Critical Metals’ existing portfolio, sitting alongside the Company’s Tanbreez rare earth project in Greenland and consolidating its Western-aligned rare earth strategy.
The Consortium is exceptionally well capitalized to deliver. Together with ASX-listed European Lithium Ltd, which holds an approximate 31% interest in Critical Metals, the group carries a combined market capitalization of approximately US$1.5 billion and cash reserves in excess of US$400 million, with the Consortium further supported by institutional investors. This financial strength means the Consortium is fully funded through both the project development stage and Phase 1 construction.
The Consortium is built for speed as well as scale. An accelerated development approach, combining parallel engineering, permitting and procurement, early mobilization of EPC and technical contractors, and fast-tracked long-lead equipment procurement is expected to be designed to deliver earlier first production and earlier cash flow generation than a conventional development timeline would allow. The Consortium’s ambition extends across the full rare earth value chain, from initial concentrate production through to separated rare earth oxides and, ultimately, the production of high-value NdPr magnets — the single most valuable product in the rare earth supply chain, and one currently dominated entirely by China.
Underpinning all of this is a technical team that has not just studied rare earth projects but helped build them, including Molycorp’s Mountain Pass project in California (now owned by MP Materials), Pensana’s Longonjo project in Angola, NioCorp’s US$1 billion Elk Creek project in Nebraska, and Peak Resources’ Ngualla project in Tanzania. The Consortium’s long-term vision extends beyond mining to position Mrima Hill at the center of a regional rare earth processing hub, creating thousands of jobs across East and Southern Africa and underpinned by full alignment with IFC Performance Standards, the Equator Principles and the UN Global Compact.
Tony Sage, Chairman of CRML, commented:
“Being shortlisted for the final stage of this process is a defining moment for Critical Metals and our Consortium. Mrima Hill is precisely the kind of world-class, strategically located asset we have built this Company to pursue, and it sits perfectly alongside Tanbreez, further strengthening our Western-aligned rare earth strategy. We are deeply grateful to the Government of Kenya for the trust it has placed in us and our commitment of delivering lasting value for Kenya as this process moves into its final stage.”
The Consortium will now turn its full attention to the final stage of the Government’s evaluation process, with further updates to be provided in due course.

NEW YORK, Aug. 19, 2026 (GLOBE NEWSWIRE) -- Critical Metals Corp. (Nasdaq: CRML) (“Critical Metals Corp” or the “Company”), a leading critical minerals exploration and mining company, today provided an update on its proposed acquisition of European Lithium Limited (ASX: EUR, FRA: PF8, OTC: EULIF) (“European Lithium”). The Company and European Lithium have entered into a second deed to amend the Scheme Implementation Deed dated May 19, 2026 (as first amended and restated on July 3, 2026).
Shares of Critical Metals Corp. (NASDAQ:CRML) are trading higher Friday, possibly after the U.S. DOE recently selected seven projects to expand critical mineral and material processing, battery manufacturing and recycling capacity.
This third round of funding aligns with President Trump’s ‘Unleashing American Energy’ executive order that benefits critical metal and non-fuel mineral producers and processors.
The stock is also higher Friday following a late-Thursday SEC Form 6-K filing, which disclosed amended terms for its pending acquisition of European Lithium Ltd.
Here’s what investors need to know.
Critical Metals stock is showing exceptional strength. What’s fueling CRML momentum? Amended Exchange Ratio Establishes $8 to $16 Price CollarThe updated agreement restructures the acquisition consideration to better protect acquiring shareholders from market volatility.
The principal amendment replaces a previously fixed exchange ratio of 0.035 CRML shares per European Lithium share with a floating ratio tied to CRML’s 20-day volume-weighted average price.
The new structure incorporates a collar mechanism, capping the maximum exchange ratio at 0.045 if CRML trades at or below an $8.00 floor price, while setting a minimum ratio of 0.025 if the stock reaches or exceeds a $16.00 ceiling price.
Investors appear to be reacting positively to the cap-and-collar framework, as it shields existing equity holders from severe dilution risks.
Transaction Terms Remain On Track Management confirmed that, aside from the floating exchange ratio adjustment, all other material transaction terms and conditions precedent remain unchanged.
The acquisition will proceed via two interdependent schemes of arrangement under Australian law as the company continues consolidating regional critical mineral assets.

Critical Metals (CRML -11.44%) finished up 22.6% on Friday, Aug. 21, 2026, after the rare-earth miner's CEO said the timeline is holding for its critical Tanbreez Project in Greenland.
Tanbreez is on track to produce rare-earth within three years Critical Metals' CEO said that the Tanbreez project remains on track and should be producing rare-earth elements -- strategically important metals used in magnets for things like electric vehicles and defense equipment -- within three years.
The company also released financial details of its acquisition of European Lithium. The deal would take Critical Metals from a 92.5% control of Tanbreez to a full 100%.
Critical Metals laid out steps meant to limit dilution from the transaction, reassuring shareholders and helping to lift shares.
Critical Metals is pre-revenue and three years from first production Rare-earth metals are, as you might expect, hard to come by -- especially outside of China. That, in combination with the fact that they're essential for critical defense applications, has made producing more of them a top priority for the U.S. Government.

Uncle Sam has already made investments in other rare-earth miners, and many investors hope the government will do the same thing here. It might happen, but I wouldn't make my investing decisions based on speculation.
The company is essentially pre-revenue and may be three years out from even beginning production. While there could be real profits on the other end, that's a long way to go in a capital-intensive business like rare-earth mining.

Critical Metals is surging nearly 20% while its rare earth peers sit flat or slide lower, and no company announcement explains the gap. One unverified catalyst keeps surfacing in trader circles, and it has nothing to do with the ground…
The rare earth trade isn’t moving as a group Tuesday morning. One name is running well ahead of its peers, and the sector proxy is actually lower, so this looks like a single-stock event rather than a broad bid on domestic critical minerals.
Critical Metals (NASDAQ:CRML) stock is up 19% to $7.91, a move that stands out because it was down 4% year to date through Monday’s close and traded below its 50-day moving average of $7.64 heading in. Meanwhile, the VanEck Rare Earth and Strategic Metals ETF (NYSEARCA:REMX) is down 2% to $78.29, cutting against any read that this is a rotation into the space.
MP Materials (NYSE:MP) stock is up 1% to $58.09, a marginal move compared with Critical Metals despite carrying the largest domestic rare earth footprint. Also, United States Antimony (NYSE:UAMY) stock is up 2% to $5.21, another modest tick that keeps the divergence intact.
European Lithium Deal Is the Open Question No confirmed company announcement from Critical Metals has been identified for Tuesday, so any single trigger has to be labeled as unverified. The most plausible mechanism traders are pointing to is the pending purchase of European Lithium, a stock deal valued at about $835 million that Critical Metals agreed to in April, moved to a binding agreement in May, and updated in July on timing and structure.
That matters because Critical Metals is a pre-revenue mining development company whose flagship assets, the Tanbreez rare earths deposit in southern Greenland and the wholly owned Wolfsberg lithium project in Carinthia, Austria, are years from output. With Wolfsberg production expected in 2028 or 2029, there are no near-term earnings to reprice, so a 17% session reflects deal positioning rather than operating results.
Peers Aren’t Following the Move The cleanest tell is MP Materials. MP Materials stock was up 14% year to date through Monday’s close, and management on the Q2 2026 call described customer demand as outpacing production growth inside a market of “controlled scarcity“. If Tuesday’s Critical Metals move were a sector bid on domestic rare earths, MP shares would be participating today, and they aren’t.
A similar picture emerges at United States Antimony from a different angle. United States Antimony stock was up 2% year to date through Monday’s close and remains under pressure after a rough summer, with shares down 9% over the past week heading into Tuesday. A 2% tick today looks like drift, well short of a sympathy trade.
USA Rare Earth (NASDAQ:USAR) sits in the same domestic supply chain conversation, and its absence from Tuesday’s trading confirms the divergence. If a broad policy or China-related headline had crossed the wires, USA Rare Earth would be moving in step with Critical Metals.
What to Watch Now Critical Metals is a deal story running on European Lithium expectations, and the risk cuts both ways from here. Any formal update from the company can extend the move, and any delay disclosure can unwind it just as fast.
Investors should consider keeping their position sizes modest in Critical Metals, a name with a beta of 1.9, a 52-week range of $5.12 to $32.15, and going-concern language still in the filings. Insider ownership of 42.9% keeps the tradable float thin, which can amplify moves in either direction.
Moreover, traders can watch for whether Critical Metals holds the $7.50 area into the close, since a failure to hold Tuesday’s gains would suggest positioning got ahead of the deal calendar. The next scheduled information point is any 6-K filing that clarifies European Lithium closing mechanics.

Critical Metals stock is charging ahead with explosive momentum. Why are CRML shares rallying? Tailwinds From Trump’s $1.55 Billion Strategic Rare Earth PushMarket sentiment across the sector got a direct boost following Monday’s announcement that the Trump administration finalized a landmark $1.55 billion rare earth funding package.

Given that Tanbreez holds a massive heavy rare-earth profile critical for military-grade permanent magnets, traders are potentially bidding up CRML on expectations that it stands as a prime candidate for future U.S. defense-aligned capital and off-take partnerships.
