, /PRNewswire/ -- Crown Holdings, Inc. (NYSE: CCK) today announced its financial results for the third quarter ended September 30, 2026.
Highlights
Third Quarter
Diluted earnings per share of $2.08 versus $1.85 in 2025 Adjusted diluted earnings per share increased 7% to $2.39 compared to $2.24 in 2025 Global beverage can volumes increased 6% Net leverage ratio of 2.5x adjusted EBITDA 2026 Outlook
Full year guidance range for adjusted diluted earnings per share is $8.35 to $8.45 with adjusted free cash flow of at least $950 million Commenting on the quarter, Timothy J. Donahue, Chairman, President and Chief Executive Officer, stated, "The Company performed well during the third quarter, continuing its pace for another exceptional year in 2026. Robust global beverage can volumes helped offset the majority of rising input cost pressures. Global beverage can shipments advanced by more than 6% in the quarter, driven by double-digit gains in Asia, a 6% increase in North America and 4% growth across Europe.
"The outlook for continued long-term growth of beverage can demand remains robust as customers and consumers increasingly recognize aluminum cans as the most sustainable and responsible packaging choice. Cans continue to be the preferred format for brands across both alcoholic and non-alcoholic beverage categories, including many new product introductions worldwide. Previously announced capacity expansion projects in Brazil, Greece and Spain are on plan and will support continued customer needs. During September, groundbreaking commenced on the construction of a beverage can plant in the northern Indian state of Uttar Pradesh, marking Crown's entry into one of the world's fastest growing beverage markets with commercial start-up expected in the first quarter of 2028.
"During the quarter, the Company repurchased $81 million of its common stock and has acquired nearly 6% of its outstanding shares over the past twelve months. We remain confident in the Company's long-term prospects and in our ability to generate significant free cash flow. We remain steadfast in our approach to balanced capital allocation, with investment in attractive organic growth opportunities and returns to shareholders supported by our strong balance sheet."
Net sales in the third quarter were $3,711 million compared to $3,202 million in the third quarter of 2025 reflecting higher global beverage can shipments and the pass-through of $405 million in higher material costs.
Income from operations was $442 million in the third quarter of 2026 compared to $423 million in the third quarter of 2025. Segment income in the third quarter of 2026 was $484 million compared to $490 million in the prior year third quarter, as the contribution from higher global beverage can shipments was offset by input cost inflation.
Net income attributable to Crown Holdings in the third quarter of 2026 was $225 million compared to $214 million in the third quarter of 2025. Reported diluted earnings per share were $2.08 in the third quarter of 2026 compared to $1.85 in 2025 and adjusted diluted earnings per share were $2.39 compared to $2.24 in 2025.
Nine Month Results
Net sales for the first nine months of 2026 were $10,638 million compared to $9,238 million in the first nine months of 2025, reflecting the pass-through of $1,034 million in higher material costs, higher global beverage can shipments and favorable foreign currency translation of $102.
Income from operations was $1,271 million in the first nine months of 2026 compared to $1,179 million in the first nine months of 2025. Segment income in the first nine months of 2026 was $1,390 million compared to $1,364 million in the prior year period driven by 6% higher global beverage can shipments partially offset by input cost inflation.
Net income attributable to Crown Holdings in the first nine months of 2026 was $645 million compared to $588 million in the first nine months of 2025. Reported diluted earnings per share were $5.85 compared to $5.06 in 2025. Adjusted diluted earnings per share were $6.72 compared to $6.05 in 2025.
Outlook
Kevin C. Clothier, Senior Vice President and Chief Financial Officer, commented, "With our strong year-to-date performance and continued cash generation, Crown is on track to deliver another year of solid earnings and free cash flow. We expect full year adjusted diluted earnings per share to be in the range of $8.35 to $8.45 and adjusted free cash flow to be at least $950 million after capital spending of approximately $550 million. We expect fourth quarter adjusted diluted earnings per share to be in the range of $1.63 to $1.73. With our strong balance sheet and net leverage of 2.5 times, we remain well positioned to invest in attractive organic growth opportunities and return capital to shareholders."
Non-GAAP Measures
Segment income, adjusted free cash flow, net debt, adjusted net leverage ratio, adjusted net income, the adjusted effective tax rate, adjusted diluted earnings per share, net interest expense, EBITDA and adjusted EBITDA are not defined terms under U.S. generally accepted accounting principles (non-GAAP measures). Non-GAAP measures should not be considered in isolation or as a substitute for income from operations, cash flow, leverage ratio, net income, effective tax rates, diluted earnings per share or interest expense and interest income prepared in accordance with U.S. GAAP and may not be comparable to calculations of similarly titled measures by other companies.
The Company views segment income as the principal measure of the performance of its operations and adjusted free cash flow and adjusted net leverage ratio as the principal measures of its liquidity. The Company considers all of these measures in the allocation of resources. Adjusted free cash flow has certain limitations, however, including that it does not represent the residual cash flow available for discretionary expenditures since other non-discretionary expenditures, such as mandatory debt service requirements, are not deducted from the measure. The amount of mandatory versus discretionary expenditures can vary significantly between periods. The Company believes that adjusted free cash flow and adjusted net leverage ratio provide meaningful measures of liquidity and a useful basis for assessing the Company's ability to fund its activities, including the financing of acquisitions, debt repayments, share repurchases or dividends. The Company believes that adjusted net income, segment income, the adjusted effective tax rate and adjusted diluted earnings per share are useful in evaluating the Company's operations as these measures are adjusted for items that affect comparability between periods. Segment income, adjusted free cash flow, net debt, adjusted net leverage ratio, adjusted net income, the adjusted effective tax rate, adjusted diluted earnings per share, net interest expense, EBITDA and adjusted EBITDA are derived from the Company's Consolidated Statements of Operations, Cash Flows and Consolidated Balance Sheets, as applicable, and reconciliations to segment income, adjusted free cash flow, net debt, adjusted net leverage ratio, adjusted net income, the adjusted effective tax rate, adjusted diluted earnings per share and adjusted EBITDA can be found within this release. Reconciliations of estimated adjusted diluted earnings per share, adjusted free cash flow, the adjusted effective tax rates and adjusted net leverage ratio for the fourth quarter and full year of 2026 to estimated diluted earnings per share, operating cash flow, the effective tax rate and income from operations on a GAAP basis are not provided in this release due to the unavailability of estimates of the following, the timing and magnitude of which the Company is unable to reliably forecast without unreasonable efforts, which are excluded from estimated adjusted diluted earnings per share, the adjusted effective tax rates and adjusted net leverage ratio, and could have a significant impact on earnings per share, the effective tax rate and income from operations on a GAAP basis: gains or losses on the sale of businesses or other assets, restructuring and other costs, asset impairment charges, asbestos-related charges, losses from early extinguishment of debt, pension settlement and curtailment charges, the tax and noncontrolling interest impact of the items above, and the impact of tax law changes or other tax matters.

The impact of foreign currency translation represents the difference between actual current year U.S. dollar results and pro forma amounts assuming constant foreign currency exchange rates for translation in both periods. In order to compute the difference, the Company compares actual U.S. dollar results to an amount calculated by dividing the current U.S. dollar results by current year average foreign exchange rates and then multiplying those amounts by the applicable prior year average foreign exchange rates.

Space Race Meets Ground Reality for Tower REITsCrown Castle NYSE: CCI Executive Vice President and Chief Financial Officer Sunit Patel said artificial intelligence is expected to be a “clear positive” for mobile data demand, potentially supporting additional network investment and tower activity over the coming years.
Speaking at an investor event hosted by RBC analyst Jon Atkin, Patel said AI applications could alter the mix of mobile network traffic by increasing the amount of data uploaded from devices and infrastructure. Historically, mobile and home-network traffic has been weighted toward downloads, at roughly 80% download and 20% upload, he said. Research suggests that mix could shift toward 60% download and 40% upload.

3 Infrastructure Stocks Built Around the Backbone of the Economy“A lot of Physical AI will rest on mobile data traffic transmission,” Patel said, adding that AI also requires more information to be gathered and transmitted for inference purposes.
AI Could Support Larger Network Deployments Patel said rising data volumes generally require more power, which can translate into larger antenna and radio installations. While equipment manufacturers continue to shrink radios and antennas, mobile network operators have historically occupied more space on Crown Castle’s towers as network requirements have grown, according to Patel.
Tap Into 2026 AI Infrastructure Gains With This High-Growth ETFHe said urban and suburban markets are likely to see earlier and greater benefits from AI-driven mobile traffic demand than rural areas, though he characterized the opportunity as broad-based.
On edge computing, Patel said Crown Castle is focused on applications below one megawatt of power. The company has 40,000 towers, each with fiber and power connections, and can lease available horizontal space at tower sites to customers deploying equipment.
“The way to think about it is it’s having one more tenant like we have on the towers,” Patel said. Customers would provide and pay for their own power and computing equipment, he said.
Patel described Crown Castle’s edge-computing activity as an early-stage trial. Potential applications for lower-power deployments could include inference, quantum computing and cybersecurity, he said.
Spectrum Activity Seen as a Tailwind Patel said Crown Castle continues to expect 2026 to represent a low point for its U.S. site-rental leasing activity, with improvement expected thereafter. He cited recent spectrum transactions and upcoming auctions as potential sources of future tower demand.
AT&T’s purchases of low-band 600 MHz spectrum and 3.45 GHz spectrum, as well as Verizon’s acquisition of AWS spectrum, could support deployments, he said. Patel noted that lower-frequency spectrum can require large equipment installations; radios and antennas for 600 MHz deployments can exceed 6 feet in height.
He also pointed to an upper C-band auction expected to conclude by July of next year, involving approximately 165 MHz of spectrum around the 4 GHz range. Higher-frequency spectrum can require either network densification or more powerful radio and antenna structures on existing macro towers because of lower signal propagation, Patel said.
He added that spectrum expected to support future 6G applications could also benefit the tower sector.
Margin Initiatives and Ground-Lease Buyouts Patel said Crown Castle has “fairly aggressive ambitions” for margin expansion and is pursuing several operational initiatives. On the tower side, the company reduced its workforce by 20% at the beginning of the year, he said.
The company is also modernizing its information-technology infrastructure. Crown Castle deployed two operations systems this year and plans to deploy customer lifecycle management and human-capital management systems next year, followed by an enterprise resource planning system the year after that, Patel said.
Those systems are intended to improve efficiency, productivity and cycle times while reducing spending on older platforms. Patel also cited a companywide transformation program addressing headcount and non-headcount expenses.
Another focus is buying out ground leases. Patel said 70% of Crown Castle’s 40,000 towers have landlords under the sites. He said the company has stepped up its efforts to acquire those leases, particularly as power availability becomes more important.
Patel said Crown Castle has stated it expects to improve margins by 200 basis points from its guidance for this year through 2030.
Satellite and Capital Allocation Patel said satellite networks could represent an opportunity rather than a threat to Crown Castle’s business. He said satellite providers seeking to offer services comparable with mobile network operators may need macro towers to address in-building and in-vehicle coverage challenges in urban and suburban areas.
On capital allocation, Patel said Crown Castle’s dividend is $4.25 per share and that the company remains focused on maintaining investment-grade credit metrics. He said the company targets a leverage ratio of 6% to 6.5% and reported leverage of 6.3x in its most recently reported quarter.
The company also aims to pay dividends at a 75% to 80% coverage ratio of adjusted funds from operations, Patel said. While Crown Castle is currently above that range, he said growth in AFFO could support dividend growth over time.

Crown Point oznámila, že koncese na těžbu uhlovodíků v oblastech Río Cullen, Las Violetas a La Angostura v argentinské provincii Tierra del Fuego, v nichž její stoprocentně vlastněná argentinská dceřiná společnost Crown Point Energia S.A. držela 48,3275% neprovozní podíl, vypršely 18. srpna 2026 a budou vypořádány a vráceny provincii. Čisté závazky z těchto koncesí firma nečeká jako významné.
CALGARY, Alberta, Aug. 27, 2026 (GLOBE NEWSWIRE) -- Crown Point Energy Inc. (TSX-V:CWV) ("Crown Point" or the "Company") announces that the hydrocarbon exploitation concessions in the Río Cullen, Las Violetas and La Angostura areas of the Province of Tierra del Fuego, Argentina (the "TDF Concessions") in which the Company's wholly-owned Argentine subsidiary, Crown Point Energia S.A. ("CPESA"), held a 48.3275% non-operating participating interest, expired on August 18, 2026.
CPESA, together with the other members of the joint venture formed to operate the TDF Concessions, has entered into an agreement with the Province of Tierra del Fuego that provides for the final settlement, closure and reversion of the TDF Concessions to the Province. CPESA will be responsible for its share of the trailing liabilities associated with the TDF Concessions (including severance costs and abandonment liabilities), which will be offset by the remaining assets associated with the TDF Concessions (including accounts receivable, materials and crude oil inventories). CPESA's trailing net liabilities associated with the TDF Concessions are not expected to be material to Crown Point.
Due to Crown Point's acquisition of operated oil and gas assets in the Golfo San Jorge basin in the Provinces of Santa Cruz and Chubut during the last several years, the TDF Concessions were not material to Crown Point. The TDF Concessions had high fixed operating costs, declining production volumes, no identified low risk economic drilling opportunities and much lower operating netbacks than the Company's corporate average. During the six-month period ended June 30, 2026, revenue from the TDF Concessions represented less than 5% of the Company's total revenue for the period.
Sproule International Limited, the Company's independent qualified reserves evaluator, evaluated the oil and natural gas reserves attributable to all of the Company's properties as at December 31, 2025 (the "Sproule ERCE Report"). The gross proved plus probable oil and gas reserves ("2P Reserves") assigned to the TDF Concessions in the Sproule ERCE Report represented less than 4% of the total 2P Reserves assigned to all of Crown Point's properties in the Sproule ERCE Report. The net present value (before tax, discounted at 10%) of the 2P Reserves ("2P NPV") assigned to the TDF Concessions in the Sproule ERCE Report represented less than 3% of the total 2P NPV assigned to all of Crown Point's properties in the Sproule ERCE Report.

, /PRNewswire/ -- Crown Holdings, Inc. (NYSE: CCK) today announced its financial results for the second quarter ended June 30, 2026.
Highlights
Second Quarter
Diluted earnings per share of $2.23 versus $1.56 in 2025 Adjusted diluted earnings per share increased 16% to $2.49 compared to $2.15 in 2025 Global beverage can volumes increased 5% Share repurchases of $305 million during the quarter. Total share repurchases almost 7% of outstanding Company shares over previous twelve months Net leverage ratio of 2.5x adjusted EBITDA 2026 Outlook
Full year guidance range for adjusted diluted earnings per share increased to $8.30 to $8.50 with adjusted free cash flow of at least $900 million Commenting on the quarter, Timothy J. Donahue, Chairman, President and Chief Executive Officer, stated, "The Company continued its strong 2026 performance with excellent second quarter results. Global beverage can volume growth of 5% in the quarter was driven by double-digit gains in Asia and increases of 7% and 5% in Europe and North America, respectively, which more than offset softer demand in Latin America. Second quarter segment income results also reflect robust results across the Company's beverage can equipment and North American Tinplate businesses. The Transit business performed well despite a continuing tepid global industrial production environment.
"The Company is on pace for another exceptional year in 2026. Notably, we expect that global beverage can demand will continue to thrive, as customers and consumers alike continue to increasingly prefer aluminum cans as the most sustainable and responsible beverage packaging option. Cans are the ideal package for brands in both the alcoholic and non-alcoholic segments and continue to be the choice for new beverage product introductions around the world. To meet this expanded demand, the Company is advancing as planned with previously announced capacity expansion projects in Brazil, Greece and Spain as well as the construction of a state-of-the-art facility in Northern India, marking Crown's entry into one of the world's fastest growing beverage markets.
"The Company has repurchased more than $500 million in stock during the first six months of the year, reflecting both our confidence in the long-term outlook for the Company and the continued strength of free cash flow generation. We remain committed to a disciplined and opportunistic approach to share repurchases while balancing investment opportunities and maintaining financial flexibility through a strong balance sheet. The net leverage ratio was 2.5x at the end of the second quarter of 2026."
Net sales in the second quarter were $3,668 million compared to $3,149 million in the second quarter of 2025 reflecting higher global beverage can shipments, the pass-through of $395 million in higher material costs and favorable foreign currency translation of $32 million.
Income from operations was $464 million in the second quarter of 2026 compared to $391 million in the second quarter of 2025. Segment income in the second quarter of 2026 was $501 million compared to $476 million in the prior year second quarter driven by 5% higher global beverage can shipments and strong results across the beverage can equipment and North American tinplate businesses offset by inflationary cost increases.
Net income attributable to Crown Holdings in the second quarter of 2026 was $245 million compared to $181 million in the second quarter of 2025. Reported diluted earnings per share were $2.23 in the second quarter of 2026 compared to $1.56 in 2025 and adjusted diluted earnings per share were $2.49 compared to $2.15 in 2025.
Six Month Results
Net sales for the first six months of 2026 were $6,927 million compared to $6,036 million in the first six months of 2025, reflecting the pass-through of $629 million in higher material costs, favorable foreign currency translation of $106 million and higher global beverage can shipments.
Income from operations was $829 million in the first half of 2026 compared to $756 million in the first half of 2025. Segment income in the first half of 2026 was $906 million compared to $874 million in the prior year period driven by 5% higher global beverage can shipments partially offset by inflationary cost pressures.
Net income attributable to Crown Holdings in the first six months of 2026 was $420 million compared to $374 million in the first six months of 2025. Reported diluted earnings per share were $3.78 compared to $3.21 in 2025. Adjusted diluted earnings per share were $4.34 compared to $3.81 in 2025.
Outlook
Kevin C. Clothier, Senior Vice President and Chief Financial Officer, commented "The global beverage can market remains healthy, our manufacturing network continues to perform at a high level and our balance sheet remains strong. As a result, the Company is raising 2026 adjusted diluted earnings per share guidance from a range of $7.90 to $8.30 to a range of $8.30 to $8.50 and expects third quarter adjusted diluted earnings per share in the range of $2.20 to $2.30."
The Company expects to generate adjusted free cash flow of at least $900 million in 2026 after capital spending of approximately $550 million.
Reconciliations of estimated adjusted diluted earnings per share, adjusted free cash flow, the adjusted effective tax rates and adjusted net leverage ratio for the third quarter and full year of 2026 to estimated diluted earnings per share, operating cash flow, the effective tax rate and income from operations on a GAAP basis are not provided in this release due to the unavailability of estimates of the following, the timing and magnitude of which the Company is unable to reliably forecast without unreasonable efforts, which are excluded from estimated adjusted diluted earnings per share, the adjusted effective tax rates and adjusted net leverage ratio, and could have a significant impact on earnings per share, the effective tax rate and income from operations on a GAAP basis: gains or losses on the sale of businesses or other assets, restructuring and other costs, asset impairment charges, asbestos-related charges, losses from early extinguishment of debt, pension settlement and curtailment charges, the tax and noncontrolling interest impact of the items above, and the impact of tax law changes or other tax matters.

Except for historical information, all other information in this press release consists of forward-looking statements. These forward-looking statements involve a number of risks, uncertainties and other factors, including expected levels of capital expenditures, free cash flow and earnings; the Company's ability to continue to operate its plants, distribute its products, and maintain its supply chain, including any impact of the ongoing Middle East conflict; the Company's ability to complete the projects in Brazil, Greece, Spain and Northern India; the future impact of currency translation; the continuation of performance and market trends in 2026, including consumer preference for beverage cans and global beverage can demand; the future impact of inflation, including the potential for higher interest rates and energy and transportation prices and the Company's ability to recover raw material and other inflationary costs, including tariffs and retaliatory trade measures; future demand for food cans; the Company's ability to deliver continuous operational improvement and future demand in the Transit Packaging segment that may cause actual results to be materially different from those expressed or implied in the forward-looking statements. Important factors that could cause the statements made in this press release or the actual results of operations or financial condition of the Company to differ are discussed under the caption "Forward Looking Statements" in the Company's Form 10-K Annual Report for the year ended December 31, 2025 and in subsequent filings made prior to or after the date hereof. (1) The impact of foreign currency translation represents the difference between actual current year U.S. dollar
results and pro forma amounts assuming constant foreign currency exchange rates for translation in both periods.
In order to compute the difference, the Company compares actual U.S. dollar results to an amount calculated by
dividing the current U.S. dollar results by current year average foreign exchange rates and then multiplying those
amounts by the applicable prior year average foreign exchange rates.
